Authority Compensation. Without prejudice to any rights of the Company at common law or in equity, where the Company suffers or incurs Academy Direct Losses or Indirect Losses in connection with a breach of the PFI Project Agreement by the Authority or an Authority Related Party and/or this Agreement or any other liability under the PFI Project Agreement attributable to the Authority or the Authority Related Party or the negligence or wilful misconduct of the Authority or an Authority Related Party, and the indemnities contained in clauses 21.1 to 21.4 (inclusive) do not apply, the Authority shall compensate the Company for all such Academy Direct Losses and Indirect Losses.

Authority Compensation. The Authority shall provide Concession Compensation to the Concession Company as an Adverse Action (i) to the extent that the Concession Company becomes responsible for or subject to any income tax in excess of the fixed income tax rate of twenty percent (20%) over the net income derived from the operations provided under this Agreement as currently provided for in the Act in lieu of any other income tax, if any, provided by the P.R. Revenue Code or by any other applicable Law of the Commonwealth, including, but not limited to the alternative minimum tax and the tax on dividend equivalent amount imposed under the P.R. Revenue Code and (ii) to the extent that the Equity Participants become subject to income tax on distributions of dividends or benefits from utilities and benefits arising from the net income derived from the operations provided in this Agreement.

  • Extra Compensation 1. CTSO Advisors will be paid twenty-five ($25) per hour (capped at eight (8) hours per day) for non-discretionary CTSO activities (e.g., conferences, conventions, and competitions) involving students on days not scheduled as part of the regular school year calendar.

  • Provision for Generation Compensation Grid unavailability in a contract year as defined in the PPA: (only period from 8 am to 6 pm to be counted): Generation Loss = [(Average Generation per hour during the Contract Year) × (number of hours of grid unavailability during the Contract Year)] Where, Average Generation per hour during the Contract Year (kWh) = Total generation in the Contract Year (kWh) ÷ Total hours of generation in the Contract Year. The excess generation by the SPD equal to this generation loss shall be procured by the Buying Utility at the PSA tariff so as to offset this loss in the succeeding 3 (three) Contract Years.

  • Holiday Compensation 1. Those employees working a five-day per week schedule with Saturdays and Sundays as normal days off shall receive cash payment for eight (8) hours per holiday subject to the conditions of this article.

  • Monetary Compensation 3-4.01 In accordance with section 34 of the Act respecting the representation of resources, an integrated, overall percentage of 10.1% stands in lieu of monetary compensation for days of leave equivalent to those paid under the Act respecting labour standards (CQLR, c. N-1.1) and the National Holiday Act (CQLR, c. F-1.1).

  • Standby Compensation (a) Employees who are required by the Employer to standby shall receive standby pay of sixteen dollars and twenty-one cents ($16.21) for each standby period of eight (8) hours or less.

  • Consultant Compensation F.1 The Consultant’s firm will be compensated for professional services as indicated in the Notice of Project Award in accordance with the fee proposal submitted by the Consultant and negotiated and/or accepted by the Owner.
