Authority Indemnity. The Authority shall indemnify the Service Provider, the Sub-Contractor and any Secondary Contractor and keep the Service Provider, the Sub-Contractor and any Secondary Contractor fully and effectively indemnified from and against:

The Authority agrees that to the extent that any action is required to be taken by itself in exercising its right under clause 29.1 the Authority shall, and shall procure that any other third party employed by the Authority to carry out the Service shall, carry out such Service in accordance with Good Industry Practice and if clause 29.6 applies the Authority shall indemnify the Service Provider against its liability for actions, claims, demands, costs, charges and expenses which arise directly as a result of a breach by the Authority of this clause 29.9 (and in the case of costs, charges and expenses such having been properly and reasonably incurred).

Xxxxxxx Mac represents and warrants that it has all proprietary right, title and interest in and to the information contained in the Mortgage Securities Data, that it owns or has licensed the copyright and all trade secret, trade name and other proprietary rights in and to the Mortgage Securities Data and all such information contained therein and has full power, right and authority to obtain, transmit and distribute the Mortgage Securities Data to Licensee, and to permit it to grant to Licensee the license granted hereby. Xxxxxxx Mac agrees to indemnify Distributor and hold it harmless and at Xxxxxxx Mac’s expense defend Distributor against any claim that the data contained in the Mortgage Securities Data provided by Xxxxxxx Mac hereunder infringe any copyright, trademark or other contractual, statutory or common law rights, provided that (a) Distributor promptly notifies Xxxxxxx Mac in writing of the claim, (b) Xxxxxxx Mac shall have sole control of the settlement or defense of any action to which this indemnity relates, and (c) Distributor cooperates in every reasonable way to facilitate such defense.

Guidance If any party otherwise entitled to be an Indemnified Party wishes to be indemnified, the PBO needs to submit to the Authority a Claims Handling and Insurance Agreement (in the form attached), duly executed by it and the prospective Indemnified Party and then procure compliance with its terms.

Shipbuilder’s risk indemnity In addition to any other indemnity granted by the Authority under this Contract,, the Authority shall, subject to Clauses 19.11 (Reinstatement), 47.6.6 and 47.7.4, also indemnify the Contractor upon the terms and conditions set out in Schedule 15 (Shipbuilder’s Risk Indemnity). The Parties acknowledge and agree that Schedule 15 (Shipbuilder's Risk Indemnity) does not constitute an insurance policy and the Marine Insurance Act 1906 does not apply to Schedule 15 (Shipbuilder's Risk Indemnity).
Authority Indemnity. The Authority agrees that to the extent that any Required Action is taken by the Authority otherwise than as a result of a breach by the Service Provider, the Authority shall carry out such Required Action in accordance with Good Industry Practice and the Authority shall indemnify the Service Provider against its liability for actions, Claims, demands, costs, charges and expenses which arise directly as a result of a breach by the Authority of this Clause 81.8 (Authority Indemnity) (and in the case of costs, charges and expenses such having been properly and reasonably incurred). Authority Indemnity. The Authority shall indemnify the Contractor against any claims made against the Contractor by any Relevant Employee who is the subject of a Relevant Transfer where the cause of action arose prior to the date of the Relevant Transfer, providing any such claim is not in connection with the Relevant Transfer.
