Authorized Users and Use Restrictions. Authorized User credentials may not be shared or distributed. As between the parties, Customer is responsible for any unauthorized access resulting from Customer’s, or Customer’s Authorized Users’ use of, or failure to protect, their passwords. In the event Customer elects to use federated user authentication, Customer acknowledges and agrees that Customer shall be solely responsible for verifying the identity of users and for managing user credentials. Customer shall notify KPMG if an Authorized User is no longer employed, or permitted, by Customer to use the XXXX Connected Solution. Customer shall be responsible for all use of the XXXX Connected Solution by its Authorized Users, as well as Authorized Users’ compliance with the Agreement.

Authorized Users and Use Restrictions. (a) Client shall be responsible for identifying those users who are authorized by Client to access the Services (“Authorized Users”). Client shall limit Authorized Users to those who need to use the Services in connection with Customer’s internal business activities. For XxxX, Client shall require each Authorized User to safeguard his or her user name and password for accessing the Services and from disclosing his or her user name and password to any other person, including without limitation another Authorized User. If Client determines that another party has gained access to an Authorized User’s username and password, or that another has wrongfully accessed such Services, Client shall promptly notify Cohesive. Client is responsible for misuse of such Services by Authorized Users and by unauthorized users who gain access due to Client’s or any Authorized User’s failure to maintain security. Client’s access to the Services will be limited to the maximum number of concurrent and named Authorized User access rights purchased by Client. Client agrees to promptly notify Cohesive in the event more access is needed. If overuse is discovered by Xxxxxxxx, Client agrees to pay for such additional access rights as required to meet the new level of use upon receipt of invoice from Cohesive.

  • Service Use Restrictions In connection with your use of the Services, you sha l not in any way transmit, publish, post, upload, disseminate, or distribute any (i) corrupted files, viruses, trojan horses, worms, spyware, time bombs, cancelbots, or any other similar software or programs; and/or ( i) defamatory, infringing, vulgar, sexua ly explicit, obscene, indecent, o fensive, inappropriate, profane, or unlawful content or any hate speech (i.e., racist/discriminatory speech). You sha l also not (i) impair anyone else from using the Services or interfere with the proper functioning of the Services; ( i) access the Services (including by use of robots, scripts, spiders or other automated means) other than via the means provided by us; ( i) misrepresent your identity in any way; (iv) overburden the Services in any way; and/or (v) violate any law, rule or regulation in connection with your use of or access to the Services.

  • Specific Restrictions on Use of Licensed Materials Unauthorized Use. Licensee shall not knowingly permit anyone other than Authorized Users to use the Licensed Materials.

  • Authorized Uses The Participating Institutions and the Authorized Users may make all use of the Licensed Materials as is consistent with the applicable law and with this Agreement, including but not limited to the following licensing conditions ("Authorized Uses").   • Use Restriction (a) If a natural disaster, incident or any other emergency situation occurs or is likely to occur, SORACOM may restrict the use of the SORACOM Air Global Service by the Subscriber in order to give priority to communications whose content are necessary for the prevention of or relief from calamities, for the securing of transportation, communications or electric power supply, the maintenance of public order or any other public interest.

  • Authorized Use The Student Data shared pursuant to the Service Agreement, including persistent unique identifiers, shall be used for no purpose other than the Services outlined in Exhibit A or stated in the Service Agreement and/or otherwise authorized under the statutes referred to herein this DPA.
