Authorized Users and Use Restrictions. Authorized User credentials may not be shared or distributed. As between the parties, Customer is responsible for any unauthorized access resulting from Customer’s, or Customer’s Authorized Users’ use of, or failure to protect, their passwords. In the event Customer elects to use federated user authentication, Customer acknowledges and agrees that Customer shall be solely responsible for verifying the identity of users and for managing user credentials. Customer shall notify KPMG if an Authorized User is no longer employed, or permitted, by Customer to use the XXXX Connected Solution. Customer shall be responsible for all use of the XXXX Connected Solution by its Authorized Users, as well as Authorized Users’ compliance with the Agreement.

Authorized Users and Use Restrictions. (a) Client shall be responsible for identifying those users who are authorized by Client to access the Services (“Authorized Users”). Client shall limit Authorized Users to those who need to use the Services in connection with Customer’s internal business activities. For XxxX, Client shall require each Authorized User to safeguard his or her user name and password for accessing the Services and from disclosing his or her user name and password to any other person, including without limitation another Authorized User. If Client determines that another party has gained access to an Authorized User’s username and password, or that another has wrongfully accessed such Services, Client shall promptly notify Cohesive. Client is responsible for misuse of such Services by Authorized Users and by unauthorized users who gain access due to Client’s or any Authorized User’s failure to maintain security. Client’s access to the Services will be limited to the maximum number of concurrent and named Authorized User access rights purchased by Client. Client agrees to promptly notify Cohesive in the event more access is needed. If overuse is discovered by Xxxxxxxx, Client agrees to pay for such additional access rights as required to meet the new level of use upon receipt of invoice from Cohesive. (b) Client must require that its Authorized Users may only use the Services in connection with its internal business activities and not for the benefit of or on behalf of any third party. In addition, Client shall require that each Authorized User comply with the provisions of all applicable license agreements applying to the Services.

  • Public Posting of Approved Users’ Research Use Statement The PI agrees that information about themselves and the approved research use will be posted publicly on the dbGaP website. The information includes the PI’s name and Requester, project name, Research Use Statement, and a Non-Technical Summary of the Research Use Statement. In addition, and if applicable, this information may include the Cloud Computing Use Statement and name of the CSP or PCS. Citations of publications resulting from the use of controlled-access datasets obtained through this DAR may also be posted on the dbGaP website.

  • Installation and Use Rights You may install and use any number of copies of the software on your devices.

  • Access to Work Locations Reasonable access to employee work locations shall be granted officers of the Association and their officially designated representatives for the purpose of processing grievances or contacting members of the Association concerning business within the scope of representation. Such officers or representatives shall not enter any work location without the consent of the City Manager. Access shall be restricted so as not to interfere with the normal operations of the department or with established safety or security requirements. Solicitation of membership and activities concerned with the internal management of the Association, such as collecting dues, holding membership meetings, campaigning for office, conducting elections and distributing literature, shall not be conducted during working hours.

  • Breach by Authorized User An Authorized User’s breach shall not be deemed a breach of the Centralized Contract; rather, it shall be deemed a breach of the Authorized User’s performance under the terms and conditions of the Centralized Contract.

  • Customer Instructions The documentation shipped with the returned defective Boeing Product may include specific technical instructions for additional work to be performed on the Boeing Product. The absence of such instructions will evidence Customer's authorization for Boeing to perform all necessary Corrections and work required to return the Boeing Product to a serviceable condition.
