(a) Following the Commencement of Coke Production at the Coke Plant and continuing until the Full Production Date, Seller shall, subject to the terms, conditions and requirements of this Agreement, sell to Purchasers, and Purchasers shall accept and pay for, all Coke produced from ovens at the Coke Plant for the Contract Price,
(b) Commencing on the Full Production Date and throughout the Take or Pay Term, Seller shall, subject to the terms, conditions and requirements of this Agreement, sell to each Purchaser, and each Purchaser shall accept from Seller on a take or pay basis, Coke in accordance with the Coke Supply and Purchase Obligation applicable to such Purchaser for the Contract Price.
(c) Following the Take or Pay Term and throughout the Requirements Term, Seller shall, subject to the terms, conditions and requirements of this Agreement, sell to each Purchaser, and each Purchaser shall accept from Seller, Coke in accordance with such Purchaser’s Requirements for the Contract Price.
Basic Obligations of the Parties. Each Party shall perform obligations required under the related Laws, the Articles of Incorporation, and other agreements in order for APUS to carry forward the Project.

On and subject to the terms and conditions of this Contract, including Section 2.03, the Maximum Contract Demand defined in Article V, and the provisions of Article VIII, Company shall supply, sell, and deliver to Customer, and Customer shall accept and pay for, Electric Service. The Electric Service provided hereunder is subject to the applicable rules, regulations, and orders of the Commission, including any changes enacted thereto under law. Except as expressly modified by this Contract and Appendix A hereto, the Electric Service provided by Company to Customer shall be subject to applicable rates, terms and conditions in the Company’s publicly-filed tariffs.

Basic Obligations of the Parties. Buyer may purchase and Supplier shall sell the goods pursuant to applicable prices, terms and conditions defined infra and specific Addenda. All Purchase Orders issued to Supplier by Buyer during the term of this Agreement shall be governed only by the Terms and Conditions of this Agreement (as supplemented by the terms and conditions of the Addenda) without requirement of any specific reference hereto in an Intel Purchase Order, and notwithstanding any preprinted terms and conditions on Supplier’s acknowledgment or Buyer’s Purchase Order or terms required generally for bidders in electronic “Internet Negotiations” offered by Buyer. Certain purchasing activities may occur between the subsidiary entities of Buyer for consumption by such legal entity, and such purchases may be in the name of the local Buyer and Supplier legal entities. Any additional or different terms in Supplier’s documents are hereby deemed to be material alterations and notice of objection to and rejection of them is hereby given. In the event of any conflict or inconsistency between the terms and conditions set forth herein and those of set forth on any Addenda to this Agreement, the Addenda shall control to the extent the conflict is specific to the subject matter of the Addenda. Any conflict or inconsistency between the negotiated terms set forth on the face (but not the preprinted terms on the reverse side) of any Buyer’s Purchase Order accepted by Supplier and the terms of any Addenda shall be governed by the terms set forth on such Purchase Order.
Basic Obligations of the Parties. (a) Home Depot will provide on behalf of the Program:
(i) dedicated space in Participating Home Depot stores’ retail showrooms for display of the USRI Products and Services to Participating Home Depot store customers who are potential purchasers of the USRI Products and Services;
(ii) services with respect to qualifying potential customers for the USRI Products and Services, completing sales lead information forms and transmitting sales leads to USRI in accordance with Program policies and procedures;
(iii) payment to USRI, as applicable, of an agreed-upon percentage of revenue derived from sales of USRI Products and Services as provided herein.
(b) USRI will provide on behalf of the Program:
(i) design, construction, set-up and maintenance of USRI Products and Services displays in Participating Home Depot stores “USRI Displays”);
(ii) authorized employees or agents of USRI to man the USRI Displays 4 hours per week in each Participating Home Depot store. USRI and Home Depot shall mutually agree upon specific the days and times such employees and agents must be present at the Participating Home Depot store;
(iii) training to Participating Home Depot store sales personnel to more effectively market the USRI Products and Services and generate sales leads;
(iv) follow-up on all sales leads generated at Participating Home Depot stores;
(v) in-person residential sales calls to potential customers, including design consultation and price quotation;
(vi) procurement of final sales contracts for the USRI Products and Services (all sales of USRI Products and Services will be memorialized in contracts between the customers and Home Depot), the form of which contracts shall be specified by Home Depot, and in each case subject to final review and approval by authorized personnel at the applicable Participating Home Depot store;
(vii) all labor and materials (as an independent contractor in relation to Home Depot and at the sole expense of USRI) which are reasonably necessary to complete all customer orders for USRI Products and Services;
(viii) all follow-up service to address any customer complaints and/or warranty claims; and
(c) USHS will provide on behalf of the Program:
(i) such management, oversight, and operational support of or for USRI as may reasonably be required by Home Depot to guarantee USRI’s fulfillment of its obligations under this Pilot Program Agreement;

Subject to the terms, conditions and requirements of this Agreement, throughout the Term and, as applicable, the Option Term Provider shall process Conforming Feed Water (delivered by Off-Taker to Provider at the Feed Water Delivery Point) into Steam on behalf of Off-Taker and Off-Taker shall accept such Steam at the Steam Delivery Point. Following the Initial Operating Period, such Steam deliveries shall be in accordance with the Minimum Steam Supply Obligation. In consideration thereof, Off-Taker shall pay to Provider the sum of (i) Monthly Feed Water Processing Fee based upon the quantity of Conforming Steam delivered to the Steam Delivery Point (provided such quantity of Conforming Steam is at or above the Minimum Steam Supply Obligation) less, as applicable, (ii) any credit in respect of Provider’s failure to meet the Minimum Steam Supply Obligation as particularly set forth in Section 6.9(d).
