EMPLOYEES / SUBCONTRACTORS. AGENTS All employees, subcontractors or agents performing work under the Contract must be trained technicians who meet or exceed the technical and training qualifications set forth in the Bid Specifications or the Bid, whichever is better, and must comply with all security and administrative requirements of the Authorized User. The Commissioner reserves the right to conduct a security background check or otherwise approve any employee or agent furnished by Contractor and to refuse access to or require replacement of any personnel for cause, including but not limited to, technical or training qualifications, quality of work or change in security status or non- compliance with Authorized User’s security or other requirements. Such approval shall not relieve the Contractor of the obligation to perform all work in compliance with the Contract terms. The Commissioner reserves the right to reject and/or bar from the facility for cause any employee, subcontractor, or agents of the Contractor.

EMPLOYEES / SUBCONTRACTORS. (a) The Company has provided to the Buyer a true and complete list of all employees and independent contractors of the Company, along with the position of each such person, their date of hire or engagement, their work location, their total 2021 compensation, and (as to employees) their classification as overtime “exempt” or “non-exempt” under the Fair Labor Standards Act. Copies of non-competition agreements with employees of the Company that will survive termination of their employment with the Company have previously been made available to the Buyer. Section 2.19(a) of the Disclosure Schedule contains a list of all current employees of the Company who, to the Knowledge of the Company, are not citizens of the United States. To the Knowledge of the Company, no Key Employee, Non-Key Employee or group of employees has any plans to terminate employment with the Company within the six (6) months immediately following the Closing (other than for the purpose of accepting employment with the Buyer following the Closing).
EMPLOYEES / SUBCONTRACTORS. (a) Schedule 5.14(a) sets forth the name, job title and current salary with respect to each employee of Company as of the Effective Date. Schedule 5.14(a) lists any employment, severance or bonus agreements with any employee who is listed thereon. Company has provided Buyer complete and correct copies of all such agreements. Company is not a party to or bound by any collective bargaining agreement. Company is not as of the time immediately prior to the Closing experiencing any strike, slowdown, picketing or work stoppage. There is no lockout of any employees by Company as of the time immediately prior to the Closing. To the Sellers’ Knowledge, there is no organizational effort being made or threatened by or on behalf of any labor union with respect to employees of Company as of the time immediately prior to the Closing. Schedule 5.14(a) identifies each employee of Company who is not fully available to perform work because of disability or other leave and sets forth the nature of such leave (STD, LTD or workers compensation related injury) and, to the Sellers’ Knowledge, the anticipated date of return to full service. To the Sellers’ Knowledge: (i) the consummation of the transactions contemplated by this Agreement will not have a material adverse effect on Company’s labor relations, and (ii) none of Company’s employees with an annual base salary in excess of $75,000 has indicated (orally or in writing), at any time within the ninety (90) days prior to the date hereof, an intent to terminate his or her employment with Company.
EMPLOYEES / SUBCONTRACTORS. All personnel assigned by Consultant to perform Services will be either employees of Consultant or subcontractors with which Consultant has contracted and which have been approved in advance by Client (“Subcontractors”). Such approval shall not relieve the Contractor of the obligation to perform all work in compliance with the Contract terms. The Commissioner reserves the right to reject and/or bar from the facility for cause any employee, Subcontractor, or agents of the Contractor.

Such approval shall not relieve the Contractor of the obligation to perform all work in compliance with the Contract terms. The Commissioner reserves the right to reject and/or bar from the facility for cause any employee, officer, agent, subcontractor, reseller or distributor of the Contractor.
EMPLOYEES / SUBCONTRACTORS. Contractor shall be responsible for the conduct and discipline of its employees and Subcontractors. All workmen shall have sufficient knowledge, skill, and experience to perform properly the Work assigned to them. Any xxxxxxx who does not perform his Work in a skillful manner, appears to be incompetent, or acts in a disorderly or intemperate manner, shall be removed from the Work Site by the Contractor's superintendent at the request of the Project Manager or Property Manager if applicable. Such removal is not cause for an extension of time in which to complete the Work.

  • Contractors All LAUSD Contractors and their Representatives are expected to conduct any and all business affiliated with LAUSD in an ethical and responsible manner that fosters integrity and public confidence. A “Contractor” is any individual, organization, corporation, sole proprietorship, partnership, nonprofit, joint venture, association, or any combination thereof that is pursuing or conducting business with and/or on behalf of LAUSD, including, without limitation, consultants, suppliers, manufacturers, and any other vendors, bidders or proposers. Party will on request provide to the Agency of Human Services information pertaining to the classification of its employees to include the basis for the classification. Failure to comply with these obligations may result in termination of this Agreement.

  • Use of Subservicers and Subcontractors The Servicer shall not hire or otherwise utilize the services of any Subservicer to fulfill any of the obligations of the Servicer as servicer under this Agreement or any Reconstitution Agreement unless the Servicer complies with the provisions of paragraph (a) of this Section. The Servicer shall not hire or otherwise utilize the services of any Subcontractor, and shall not permit any Subservicer to hire or otherwise utilize the services of any Subcontractor, to fulfill any of the obligations of the Servicer as servicer under this Agreement or any Reconstitution Agreement unless the Servicer complies with the provisions of paragraph (b) of this Section.

  • Use of Subcontractors Nothing in this Appendix 2 shall prevent the Interconnection Parties from utilizing the services of subcontractors as they deem appropriate to perform their respective obligations hereunder, provided, however, that each Interconnection Party shall require its subcontractors to comply with all applicable terms and conditions of this Appendix 2 in providing such services.
