BE IT FURTHER ENACTED BY THE COUNTY COUNCIL OF HARFORD. 9 COUNTY, MARYLAND, That the Treasurer is hereby designated and appointed as registrar and paying 10 agent for the Installment Purchase Agreement (the “Registrar”). The Registrar shall maintain, or cause to 11 be maintained, books of the County for the registration and transfer of ownership of the Installment 12 Purchase Agreement. In addition, the County may, from time to time, designate and appoint the 13 Department of the Treasury of the County, any officer or employee of the County or one or more banks, 14 trust companies, corporations or other financial institutions to act as a substitute or alternate registrar or 15 paying agent for the Installment Purchase Agreement, and any such substitute or alternate shall be deemed 16 to be the Registrar or an alternate Registrar for all purposes specified in the resolution appointing such 17 substitute or alternate. Any such appointment shall be made by the County Council by resolution and the 18 exercise of such power of appointment, no matter how often, shall not be an exhaustion thereof.
BE IT FURTHER ENACTED BY THE COUNTY COUNCIL OF HARFORD. 12 COUNTY, MARYLAND, That the Installment Purchase Agreement shall be signed by the County 13 Executive by his manual signature, and the Installment Purchase Agreement shall bear the corporate seal of 14 the County, attested by the manual signature of the Director of Administration of the County (the “Director of 15 Administration”). In the event that any officer whose signature shall appear on the Installment Purchase 16 Agreement shall cease to be such officer before the delivery of the Installment Purchase Agreement, such 17 signature shall nevertheless be valid and sufficient for all purposes, the same as if such officer had remained 18 in office until delivery.

BE IT FURTHER ENACTED BY THE COUNTY COUNCIL OF HARFORD. 4 COUNTY, MARYLAND, That for the purpose of paying the installments of the Purchase Price when due 5 and payable and the interest on the unpaid balance of the Purchase Price when due and payable, there is 6 hereby levied, and there shall hereafter be levied in each fiscal year that any portion of the Purchase Price 7 payable under the Installment Purchase Agreement remains outstanding, ad valorem taxes on real and 8 tangible personal property and intangible property subject to taxation by the County, without limitation of 9 rate or amount, and, in addition, upon such other intangible property as may be subject to taxation by the 10 County within limitations prescribed by law, in an amount sufficient, together with the portion of the 11 transfer tax imposed on transfers of real property in Harford County which is dedicated to agricultural 12 land preservation and other available funds, to pay any installment of the Purchase Price under the 13 Installment Purchase Agreement maturing during the succeeding year and to pay the annual interest on 14 the outstanding balance of the Purchase Price until the Purchase Price and all interest have been paid in 15 full; and the full faith and credit and the unlimited taxing power of the County are hereby irrevocably 16 pledged to the punctual payment of the Purchase Price under the Installment Purchase Agreement and the 17 interest on the unpaid balance of the Purchase Price as and when the same respectively become due and 18 payable.

  • Benefit to Citizens of Xxxxxxx County The safety of the citizens of Xxxxxxx County is enhanced through this Agreement, which promotes safe boating conditions and reduces costs associated with patrols of recreational waterways.

  • Chief Executive Office; Change of Name; Jurisdiction of Organization (a) The exact legal name, type of organization, jurisdiction of organization, federal taxpayer identification number, organizational identification number and chief executive office of such Grantor is indicated next to its name in Sections I.A. and I.B. of the Perfection Certificate. Such Grantor shall furnish to the Collateral Agent prompt written notice of any change in (i) its corporate name, (ii) the location of its chief executive office, its principal place of business, any office in which it maintains books or records relating to Collateral owned by it or any office or facility at which Collateral owned by it is located (including the establishment of any such new office or facility), (iii) its identity or type of organization or corporate structure, (iv) its federal taxpayer identification number or organizational identification number or (v) its jurisdiction of organization (in each case, including, without limitation, by merging with or into any other entity, reorganizing, dissolving, liquidating, reincorporating or incorporating in any other jurisdiction). Such Grantor agrees (A) not to effect or permit any such change unless all filings have been made under the UCC or otherwise that are required in order for the Collateral Agent to continue at all times following such change to have a valid, legal and perfected first priority security interest in all the Collateral (subject to, with respect to priority, Permitted Encumbrances having priority by operation of law) and (B) to take all action reasonably satisfactory to the Collateral Agent to maintain the perfection and priority of the security interest of the Collateral Agent for the benefit of the Credit Parties in the Collateral intended to be granted hereunder. Each Grantor agrees to promptly provide the Collateral Agent with certified Organization Documents reflecting any of the changes described in the preceding sentence. (b) The Collateral Agent may rely on opinions of counsel as to whether any or all UCC financing statements of the Grantors need to be amended as a result of any of the changes described in SECTION 4.3(a). If any Grantor fails to provide information to the Collateral Agent about such changes on a timely basis, the Collateral Agent shall not be liable or responsible to any party for any failure to maintain a perfected security interest in such Grantor’s property constituting Collateral, for which the Collateral Agent needed to have information relating to such changes. The Collateral Agent shall have no duty to inquire about such changes if any Grantor does not inform the Collateral Agent of such changes, the parties acknowledging and agreeing that it would not be feasible or practical for the Collateral Agent to search for information on such changes if such information is not provided by any Grantor.

  • Payment by the Judicial Council A. In accordance with the terms and conditions of this Agreement, the Judicial Council will pay the Contractor the actual cost not to exceed the total Contract Amount, as set forth in Table 1, below, for performing the Work of this Agreement. Such collaboration will be as follows: (a) exchanges on science and technology as well as policies and laws relating the sustainable use of forest resources; (b) cooperation in training programs, internships, exchange of experts and projects advisory; (c) advice and technical assistance to public institutions and organizations of the Parties on sustainable use of forest resources and environmental protection; (d) facilitating forest policy dialogue and technical cooperation under the Network of Sustainable Forest Management and Forest Rehabilitation in Asia- Pacific Region, initiated at the 15th Asia Pacific Economic Cooperation (APEC) Meeting; (e) encouraging joint studies, working visits, exchange of experiences, among others; and (f) others activities mutually agreed.
