BUYER-FURNISHED MATERIAL. Seller shall not use, reproduce, or appropriate for or disclose to anyone other than Buyer, any material, tooling, dies, drawings, designs, or other property or information furnished by Buyer ("Material") without Buyer's prior written approval. Title to all Material shall remain in Buyer at all times, and where practicable the Material shall be clearly marked or tagged to indicate this ownership. Seller shall bear the risk of loss or damage to the Material until it is returned to Buyer. All Material, whether or not spoiled or used, shall be returned to Buyer at termination or completion of this order unless Buyer shall otherwise direct.
BUYER-FURNISHED MATERIAL. Seller shall not use, reproduce, or appropriate for or disclose to anyone other than Buyer, any material, tooling, dies, drawings, designs, trademarks, service marks, names, logos, data, texts, pictures, sound, video, graphics, icons, symbols and other materials, in whatever form, including any intellectual property rights related thereto, that are owned or licensed by Buyer or any of its affiliates and provided by Buyer to Seller for use pursuant to this Order or other property or information furnished by Buyer ("Material") without Buyer's prior written approval.
(A) Title to all Material shall remain in Buyer at all times, and where practicable the Material shall be clearly marked or tagged to indicate this ownership. Seller shall bear the risk of loss or damage to the Material until it is returned to Buyer.
(B) Seller undertakes that (i) it and its affiliates shall not to use Materials for any purpose other than the purpose which is authorized by the Buyer in writing in connection with this Order; (ii) all representations of the Materials shall comply strictly with the format approved by Buyer in writing; (iii) it and its affiliates shall not use the Materials in conjunction with other marks, names or identification (whether belonging to Seller or a third party) without the prior written consent of Buyer; and (iv) without prejudice to any rights and remedies available to Buyer, forthwith recall and at Buyer’s option, destroy or deliver up to Buyer, all materials, media and document on which the Materials are used in any manner not expressly permitted by Buyer under this Order (C) Seller represents, warrants and undertakes that at no time shall it or any of its affiliates (or any of their respective representatives) be permitted to engage, or be engaged, whether directly or indirectly, in the re-printing, copying, falsification, reproduction, distribution, modification, making, sale, offering to sell, import, use or exploitation of the Materials or products in any way whatsoever in whatever medium and in any territory
(D) All Materials shall remain the exclusive property of Buyer and/or its affiliates. Seller shall not and shall ensure that its affiliates and their respective representatives shall not use the Materials for any purpose whatsoever in the world save that Buyer hereby grants to Seller a limited, non-transferable, nonexclusive right (without right to sub-license) to use, reproduce and modify any Materials solely as expressly directed by Buyer...
BUYER-FURNISHED MATERIAL. Any and all material, tools, or other property of BUYER furnished by BUYER to SELLER prior to subsequent to or concurrently with this Purchase Order, or in the possession of SELLER, shall at all times be and remain the property of BUYER. Materials not used in the manufacture of Product(s) covered by this Purchase Order shall, as directed, be returned to BUYER at BUYER’s expense and if not accounted for or so returned, or if spoiled, shall be paid for by SELLER. SELLER shall be liable for the safekeeping and preservation of all property in its possession, title to which is BUYER or other government, and SELLER, agrees to procure a policy or policies of insurance insuring all property of BUYER or the government in the possession of SELLER against any loss, theft, or damage.
BUYER-FURNISHED MATERIAL. SELLER may not use, reproduce or appropriate for anyone other than ZEISS any material, tooling, dies, drawing, designs or other property or information furnished by ZEISS ("Material") without ZEISS's prior written approval. Title to all Material shall remain in ZEISS at all times and where practicable the Material shall be clearly marked or tagged to indicate this ownership. SELLER shall bear the risk of loss or damage to the Material until is returned to ZEISS. All Material, whether or not spoiled or used, shall be returned to ZEISS at termination or completion of this Order unless ZEISS shall otherwise direct. XXXXXX agrees to hold in confidence and to use only for the benefit of ZEISS all methods, processes, techniques, shop practices, formulas, compounds, compositions, equipment, designs, drawings, blueprints, specifications, research data, marketing and sales information, customers lists, plans and information provided or know‐how and trade secrets owned by ZEISS or in ZEISS's possession and disclosed to SELLER as a result of this Order. Until such information has been lawfully published or disclosed to the general public, XXXXXX agrees not to use or disclose such information others and then only with ZEISS's prior written consent.
BUYER-FURNISHED MATERIAL. Any material furnished by Buyer on other than a charge basis in connection with this order will be deemed held by the Seller for mutual benefit and title thereto shall at all times remain in the Buyer, and Xxxxxx agrees to pay for all such materials spoiled by it or not otherwise satisfactorily accounted for.
BUYER-FURNISHED MATERIAL. (WHERE APPLICABLE) It is the responsibility of the Seller to provide notice to the Buyer of required on-dock dates for all raw material to ensure production continuity, Seller's notice shall provide Buyer with sufficient time to allow Buyer to competitively bid the raw material if so desired. Material furnished to Supplier shall be administered per the Bonded Stores Agreement between the parties. Updates on the status of all Buyer furnished raw material shall be submitted quarterly by the Seller to Buyer.
BUYER-FURNISHED MATERIAL. All material, including tools, furnished or paid for by Buyer, title is deemed the Buyer. Upon completion of the purchase order, said material and tools shall be delivered to Buyer. No design, pattern, tool or drawing furnished by the Buyer to manufacturer the item covered hereby, shall be used for manufacturing any other article for any other purchase unless authorized by Buyer in writing. Whenever Seller has in its possession any property belonging to Buyer, Seller shall be deemed an insurer thereof, and shall be responsible for its prompt return to Buyer on and extended coverage, war damage, and malicious damage insurance covering all material and equipment delivered by or for the account of Buyer.
BUYER-FURNISHED MATERIAL. Any and all mate rial, tools, or other property of Buyer furnished by Buyer to Seller prior or subsequent to or concurrently with this order, or in pos session of Seller, shall at all times be and remain the property of Buyer. Materials not used in the manufacture of the products covered by this purchase order shall be returned as directed, to Buyer at Buyer's expense, and if not accounted for or so returned, or if spoiled, shall be paid for by Seller. Seller shall be absolutely liable for the safekeeping and preservation intact of all property in its possession, title to which is in Buyer or the Government, and Xxxxxx agrees to procure and keep in force a policy or policies of insurance insuring all property of Buyer or the Government in the possession of Seller against any loss or damage resulting from fire (including extended coverage), mali- cious mischief, and vandalism. Except for performance under this order, Seller shall make no use of any technical information furnished by the Buyer in conjunction with this order, whether in the form of drawings, specifications, data, or otherwise, without the Buyer's prior writ- ten consent If Buyer furnishes operation or manufacturing process sheets of any type, outlining or suggesting techniques or meth- ods, use thereof by Seller shall be at Seller's risk, and Buyer shall not be responsible for any failures or defects resulting from such use. In all cases, articles or services ordered hereunder will be subject to final inspection and acceptance only in accor- dance with the applicable engineering drawings and specifica- tions,
BUYER-FURNISHED MATERIAL. Buyer may require Contractor to use Buyer-Furnished Material. Contractor will not disassemble or rework any prefabricated Buyer-Furnished Material, unless so directed by Buyer in a Purchase Order or a Change Order.
BUYER-FURNISHED MATERIAL. Title to and the right to immediate possession of all Buyer furnished material (BFM) such as tooling, raw or finished material, test equipment, and the like, provided by Buyer to Seller hereunder shall remain with Buyer. BFM shall be segregated and safely stored when not in use, shall be maintained in good condition save for normal wear and tear, shall be used solely in the performance of work under this order, shall not be commingled with the property of Seller or others except for such material as is incorporated into of attached to Supplies or consumed in the performance of this order, and shall be held, or promptly disposed of at any time, as Buyer may direct at no additional cost to Buyer. Seller shall maintain inventory control of BFM and furnish inventories and reports as required by Xxxxx.
