CALCULATION OF COSTS. The parties acknowledge that it is their intent to allocate the cost of the Services utilizing actual cost data. Accordingly, the parties will utilize meters to the extent available to calculate the amount of any specific Services used; in those cases where a meter is not available, such calculation will be developed on the basis of mutually acceptable proxy information.
CALCULATION OF COSTS. Direct Development Costs shall be allocated on a reasonable and consistent basis, and charged to Xxxxxx Corp. II for services performed by DURA on behalf of Xxxxxx Corp. II hereunder. DURA's expenditures and estimated expenditures for performing the Development hereunder shall be determined using generally accepted accounting principles, consistent with DURA's internal financial and accounting systems, allocated on a reasonable and consistent basis. CALCULATION OF COSTS. Where reimbursement of depreciation and amortization are permitted by this Section 8.2, the calculation of such amounts will be based on useful lives consistent with Yahoo!’s past practices with respect to financial reporting (e.g., 10K), subject to a minimum of three years as the useful life for computer servers. For the avoidance of doubt, (a) references toresearch and development costs” and “sales and marketing expenses” in this Section 8.2 include all costs or expenses considered by Yahoo! as research and development costs and sales and marketing expenses, respectively, as of the most recent calendar year 2009 forecast prior to the Effective Date for internal budgeting purposes; provided, further, that in such forecast no research and development costs or sales and marketing expenses were re-categorized for the purpose of increasing cost reimbursement under this Section 8.2, and (b) all expenses to be reimbursed pursuant to this Section 8.2 are net of any reimbursements from third parties. Notwithstanding Section 9.2.3(f), for reimbursement under this Section 8.2 Yahoo! will submit costs or expenses to Microsoft no later than the end of the calendar month following the calendar month in which the item was expensed by Yahoo!. Yahoo! does not waive its right to claim a type of cost or expense for reimbursement in a future month solely as a result of not claiming this type of cost or expense in any prior month.
CALCULATION OF COSTS. On or before the second Business Day immediately following the last day of each Accrual Period, at the Seller's request each Company shall deliver to the Seller a written estimate of the aggregate amount of Allocated CP Costs expressed as a per annum rate for each Company for the applicable Accrual Period. On or before the fifth Business Day immediately following each Accrual Period, each Company shall deliver to the Seller a final written report of the foregoing aggregate amount of Allocated CP Costs for the applicable Accrual Period.

EQUIPMENT AND MATERIALS In the event that the Customer replaces or adds additional equipment or a piece of equipment fails and the repair is authorized by the Customer, the cost of the materials or repairs shall be separately invoiced to the Customer. Any equipment found defective during a PM inspection and applicable to the manufacturer’s warranty shall be replaced or repaired under the manufacturer’s warranty.
