EARLY TERMINATION COSTS. The parties acknowledge that BOSTON FINANCIAL has made significant concessions to XX Xxxxxx, including a substantial reduction in the Fees to be paid by XX Xxxxxx for Services under the Agreement, partially in exchange for XX Xxxxxx’x agreement to a longer term. Should XX Xxxxxx terminate the Agreement to which this Exhibit A is attached prior to the end of its term, BOSTON FINANCIAL will suffer damages in an amount difficult to calculate and uncertain in scope and, accordingly, the parties have agreed that, as liquidated damages and not as a penalty, in such event, BOSTON FINANCIAL shall be entitled to impose the mutually agreed upon liquidated damages equal to the sum of the previous 12 months fees excluding Out of Pocket Charges. Notwithstanding the foregoing, in the event that XX Xxxxxx terminates the Agreement during the last year of the Initial Term, the foregoing early termination damages amount shall be calculated as noted above but shall be subject to a pro rata reduction over the final twelve months of the term depending on XX Xxxxxx’x actual deconversion date. F. Non-Institutional open account rates will be discounted as follows: Accounts in the range of 1,150,000 – 1,500,000 10% discount Accounts in the range of 1,500,001 – 2,000,000 15% discount Accounts greater than 2,000,000 20% discount

EARLY TERMINATION COSTS. The termination fee shall be calculated on the outstanding fees and charges for each of the Terminating Services as at the Termination Date and shall be determined as follows:
EARLY TERMINATION COSTS. 20.1. Unless stated to the contrary in the relevant COF, the termination fee for all Services other than Customer Specific Services shall be calculated on the outstanding Charges for each of the Terminating Services as at the Termination Date thereof and will be determined as follows: 20.1.1. In the event that the Terminating Services are terminated prior to the Service Commencement Date thereof, the Customer shall be liable for an amount equal to the NRC, plus six (6) months of the MRC; 20.1.2. In the event that the Contract Term for the Terminating Service is twelve (12) months or less, 100% of the MRC for the remainder of the Contract Term of the Terminating Service; 20.1.3. In the event that the Contract Term for the Terminating Service is greater than twelve (12) months, 100% of the MRC for the Terminating Service for the remainder of the first twelve (12) months (if any), and 50% of the MRC for the Terminating Service for each month thereafter; and 20.1.4. In the event that the Terminating Service is terminated subsequent to the COF Initial Period and the Contract Term has been renewed automatically in accordance with clause 5.2, 50% of the MRC for the Terminating Service for each month thereafter. 20.2. The termination fee for all Customer Specific Services shall be set out in the relevant Service Schedule. 20.3. The amounts referred to in clauses 20.1 and 20.2 shall be in addition to all Charges payable in the ordinary course in respect of the applicable COF for the Terminating Services, plus any other Services which continue unchanged, as at the Termination Date.

The Lessee requires the following early termination matrix as detailed below applied to all Vehicles where the Lessee exercises such right by giving at least thirty (30) days of notice in writing and the number of Vehicles terminated in any year under the Agreement or any other agreement with the Supplier pursuant to the Framework is equal to or less than 10% of the number of Vehicles leased by the Lessor to the Lessee at the beginning of that calendar year. EARLY TERMINATION COSTS. International assignments are temporary in nature. The duration of your Assignment is based on present business requirements and is subject to change at the discretion of the Home Company. Any personal or job-related commitments you make should take into consideration the temporary nature of this Assignment. The Home Company assumes the responsibility of any early termination fees related to any contracts you enter into while in the Host Country that are necessary for you or your dependent’s housing, and transportation in the event that your Assignment or your employment is terminated by the Home Company without Cause (as later defined) prior to the expiration of the term. Any early termination fees for contracts related to items of a personal nature, such as private club memberships, will be your responsibility, regardless of the reason for the termination of the Assignment unless agreed to by Home Company prior to signing of any contracts and/or memberships. Pre-Assignment Benefits: To be sure, pre-assignment benefits described later in this Letter, such as relocation, home-finding trips, tax planning, or similar benefits, may be utilized prior to the start of the Initial Term to the extent necessary to affect your relocation to the Host Country.
EARLY TERMINATION COSTS. If this Contract is terminated early, CONTRACTOR shall be entitled to allowable costs accrued prior to the date of termination, plus reasonable closeout costs approved by GSJTA.
