Closing Conditions Precedent to Closing. 1. Subject to the conditions stated in this Master Agreement, the Closing shall occur at a mutually agreeable time on or before the time and date specified as such in the Schedule. The time and date the Closing actually occurs is referred to herein as the "Closing Date". The Closing shall be held at the offices of Sullxxxx & Xromxxxx, 005 Xxxxx Xxxxxx, Xxx Xxxx, Xxx Xxxx 00000, xx the Closing Date, or at such other place and time as Borrower and Lender may agree in writing.

Closing Conditions Precedent to Closing. THE PARTIES AGREE THAT TIME IS OF THE ESSENCE FOR THIS AGREEMENT. The closing of the sale and purchase of the Property (“Closing”) shall occur on or before May 9, 2014 or an earlier date designated by Seller on no fewer than five (5) business days’ prior written notice to Buyer (the “Closing Date”) subject to potential extension as contemplated in this Section and Section 5.1. Buyer acknowledges the need for Court approval of the sale as well as Receiver’s intention to close the sale of the Property to Buyer simultaneously with the closing of the sale of any remaining portions of the Real Property in Receivership (as defined above) to one or more third party buyers. Seller’s obligation to complete the purchase and sale of the Property pursuant to this Agreement is subject to the prior satisfaction or waiver of the following conditions precedent: (a) the Court’s post-auction issuance of an order approving of the Agreement and the completion of the transactions described herein as a “free and clear” sale pursuant to Chapter 7.60, RCW (the “Court Approval of Sale”); (b) if any appeal period relating to the Court Approval of Sale has not yet lapsed, then the title insurance company’s issuance of a binding commitment to insure Buyer’s title to the Property upon Closing, regardless whether any appeal period relating to the Court Approval of Sale has lapsed; (c) the Title Company’s irrevocable commitment to issue to Buyer an owner’s policy of title insurance effective as of the date of Closing insuring fee simple title to the Property in Buyer, subject only to the general and special exceptions listed in the Commitment and any Updates thereto, excepting only the Disallowed Exceptions, and any Disapproved Exceptions Seller agrees to remove pursuant to Section 5.1 hereof (“Buyer’s Title Policy”); and (d) the closing of the sale or sales of all portions of the Real Property in Receivership on the same date as the Closing Date hereunder. The Closing Date shall be extended if additional time is needed to secure Court Approval of Sale, to insure the issuance of Buyer’s Title Policy, or to otherwise satisfy the conditions precedent of this Section 6; provided, however, that if said conditions precedent are not satisfied or waived on or before sixty (60) days after the Closing Date, this Agreement shall terminate, the Xxxxxxx Money Deposit shall be returned to Buyer, and Buyer and Seller shall have no further rights or obligations hereunder, except those rights and oblig...
