COLD BOX. Has a general understanding of lower and upper column operation, can trace streams and knows what each does. Understands function of all sub-coolers. Understands main condenser operation and controls. Understands operation of Krypton columns. Can demonstrate how plant bottles up on a trip and can work necessary manual valves. Understands operation and maintenance of all above equipment so as to be able to recognize problems, and perform emergency repairs as required. - Successful completion of Praxair Operator Training Manual Modules 8, 15 and 19. Understands function and meaning of all relay protective equipment and which ones can be safely reset after a trip. Understands operation of Deoxo unit. Understands and can start up, manually cycle and troubleshoot argon drier skid. Understands design and layout. Can safely start up and place on line. Is completely knowledgeable on all compressor indications and their significance to the machine. Variances from normal are noted and acted upon. Has complete knowledge of all oil and cooling systems. Understands theory of crude argon column and pure argon column, can trace streams and knows what each is for. Has assisted in start up of argon unit and understands sequence of start up and build-in of the entire unit. Understands hydrogen system and its constraints and safety issues. Can manually operate fire pumps. Understands operation and maintenance of all above equipment so as to be able to recognize problems, and perform emergency repairs as required. - Successful completion of Praxair Operator Training Manual Modules 18 and 20.
COLD BOX. The cold box will be visually inspected to identify any corrosion or mechanical defects. Valve and inspection panels in critical areas will be removed to verify the condition of the rock wool insulation and to facilitate leak checking of the process circuits. The adsorber valves and piping will be cleared of insulation for inspection and leak checking. Silica gel will be drained from the crude and guard adsorbers and inspected for water contamination. Process circuits will be pressurized and leak checked with dry nitrogen. The copper lines between the face of the cold box and the vent stack will be leak checked up to the block valve. Absorption valves may need to be replaced before process piping can be tested for leaks. Fin samples will be pulled from the main heat exchanger for off-site laboratory analysis. The fin analysis is recommended to verify the condition of the heat exchanger which is a key indicator of its remaining useful life. The fin sampling will be subcontracted to a qualified aluminum welder. The analysis of the results will be by Solutionwerks. The adsorber regeneration heater will be tested electrically to determine its serviceability. All valve and pipe penetration boots will be inspected to determine if replacement is necessary. The cold end check valves will be removed to verify their serviceability. All sample taps will be opened and blown thru to verify the condition of sample lines. The waste nitrogen vent silencer will be inspected for corrosion and the accumulation of debris. The cold box purge system will be inspected and tested to verify that it flows properly.

  • Comfort Letters On the date of this Agreement and on the Closing Date or the Additional Closing Date, as the case may be, Xxxxxx LLP shall have furnished to the Representatives, at the request of the Company, letters, dated the respective dates of delivery thereof and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, containing statements and information of the type customarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in each of the Registration Statement, the Pricing Disclosure Package and the Prospectus; provided, that the letter delivered on the Closing Date or the Additional Closing Date, as the case may be, shall use a “cut-off” date no more than two business days prior to such Closing Date or such Additional Closing Date, as the case may be.

  • Opinion and Comfort Letter Furnish, at the request of any Holder requesting registration of Registrable Securities, on the date that such Registrable Securities are delivered to the underwriter(s) for sale, if such securities are being sold through underwriters, or, if such securities are not being sold through underwriters, on the date that the registration statement with respect to such securities becomes effective, (i) an opinion, dated as of such date, of the counsel representing the Company for the purposes of such registration, in form and substance as is customarily given to underwriters in an underwritten public offering and reasonably satisfactory to a majority in interest of the Holders requesting registration, addressed to the underwriters, if any, and to the Holders requesting registration of Registrable Securities and (ii) letters dated as of (x) the effective date of the registration statement covering such Registrable Securities and (y) the closing date of the offering, from the independent certified public accountants of the Company, in form and substance as is customarily given by independent certified public accountants to underwriters in an underwritten public offering and reasonably satisfactory to a majority in interest of the Holders requesting registration, addressed to the underwriters, if any, and to the Holders requesting registration of Registrable Securities.

  • Comfort Letter The Agent shall have received the Comfort Letter required to be delivered pursuant to Section 7(n) on or before the date on which such delivery of such Comfort Letter is required pursuant to Section 7(n).

  • Company Counsel Legal Opinions The Agent shall have received the opinions and negative assurance letters, as applicable, of Company Counsel and Intellectual Property Counsel required to be delivered pursuant to Section 7(n) and Section 7(o), as applicable, on or before the date on which such delivery of such opinions and negative assurance letters are required pursuant to Section 7(n) and Section 7(o), as applicable.

  • Company Counsel Legal Opinion Xxxxx shall have received the opinions of Company Counsel required to be delivered pursuant to Section 7(n) on or before the date on which such delivery of such opinion is required pursuant to Section 7(n).

  • Reports to the Representative For a period of five years from the Effective Date or until such earlier time upon which the Company is required to be liquidated or is no longer required to file reports under the Exchange Act, the Company will furnish to the Representative and its counsel copies of such financial statements and other periodic and special reports as the Company from time to time furnishes generally to holders of any class of its securities, and promptly furnish to the Underwriters, (i) a copy of each periodic report the Company shall be required to file with the Commission, (ii) a copy of every press release and every news item and article with respect to the Company or its affairs that was released by the Company, (iii) a copy of each current Report on Form 8-K or Schedule 13D, 13G, 14D-1 or 13E-4 received or prepared by the Company, (iv) two (2) copies of each registration statement filed by the Company with the Commission under the Act, and (v) such additional documents and information with respect to the Company and the affairs of any future subsidiaries of the Company as the Representative may from time to time reasonably request; provided the Representative shall sign, if requested by the Company, a Regulation FD compliant confidentiality agreement which is reasonably acceptable to the Representative and its counsel in connection with the Representative’s receipt of such information. Documents filed with the Commission pursuant to its XXXXX system shall be deemed to have been delivered to the Representative pursuant to this Section.

  • Subsequent Delivery of Comfort Letters Each time that the Registration Statement or the Prospectus shall be amended or supplemented to include additional financial information or there is filed with the Commission any document incorporated by reference into the Prospectus which contains additional financial statement information relating to the Company or the Company sells Notes pursuant to a Terms Agreement, the terms of which so require, the Company shall use its best efforts to cause the Company's independent public accountants promptly following such amendment, supplement or filing or on the Settlement Date with respect to such Terms Agreement, as the case may be, to furnish the Agents or to the Agent party to the Terms Agreement, as the case may be, a letter, dated the date of filing of such amendment, supplement or document with the Commission, or such Settlement Date, as the case may be, in form satisfactory to counsel for the Agents (or such Agent), of the same tenor as the portions of the letter referred to in clauses (i) and (ii) of Section 5(e) hereof but modified, as necessary, to relate to the Registration Statement and Prospectus, as amended and supplemented to the date of such letter, and of the same general tenor as the portions of the letter referred to in clause (iii) (other than the information required by clause (B) thereof, except in the case of a Terms Agreement, the terms of which so require) and clause (iv) of said Section 5(e) with such changes as may be necessary to reflect changes in the financial statements and other information derived from the accounting records of the Company; PROVIDED, HOWEVER, that if the Registration Statement or the Prospectus is amended or supplemented primarily to include financial information as of and for a fiscal quarter, the Company's independent certified public accountants may limit the scope of such letter to the unaudited financial statements included in such amendment or supplement.
