Annual Research Plans. The initial Annual Research Plans and budgets for the MERCK Funded Research Projects and, if applicable, the MERCK Internal Research Projects shall be developed by the JPT, and approved by the JSC and attached as exhibits to the minutes of the JSC meeting at which such JSC approval is obtained as soon as practicable after the acceptance by ARCHEMIX of the applicable Target proposed by MERCK for inclusion on the Target Exclusivity List as provided in Sections 3.8.1 and 3.8.
Annual Research Plans. The initial Annual Research Plan and budget, which describes the research activities to be carried out by each Party during the first Fiscal Year of the Research Program Term for the initial Program Targets shall be prepared by the JPT and submitted to, and approved by, the JSC within [***] days of the Effective Date. For each subsequent Fiscal Year during the Research Program Term commencing with the second Fiscal Year, an Annual Research Plan and budget shall be prepared by or at the direction of the JPT and submitted to the JSC for its approval. The JPT shall manage the preparation of each Annual Research Plan in a manner designed to obtain JSC approval no later than [***] days prior to the end of the then-current Fiscal Year. Each Annual Research Plan shall: (a) set forth (i) the research objectives and activities to be performed for the Fiscal Year covered by the Annual Research Plan with reasonable specificity, (ii) the research plans and protocols to be employed to complete each stage of the Research Program, (iii) changes to the OLSC for each Program Target and any other criteria that the JPT utilizes to evaluate the results of the Research Program in order to nominate Optimized Lead Compounds for Program Targets, (iv) the Party that shall be responsible for performing such activities, (v) a timeline and budget for such activities (including any Third Party Costs), and (vi) with respect to ARCHEMIX Research Activities, the number of FTEs estimated to be required to perform such activities, and (b) shall be consistent with the other terms of this Agreement. Without limiting the generality of the foregoing, the objectives of each Annual Research Plan shall include, as appropriate from time to time during the Research Program Term, conducting the necessary research activities to identify Program Aptamers or to determine whether Program Aptamers should be nominated to the JSC as Optimized Lead Compounds. Any Annual Research Plan may be amended from time to time by the JSC pursuant to Section 2.
Annual Research Plans. Within sixty (60) days after the Effective Date, the Joint Research Committee shall agree upon a written plan for the specific activities to be conducted in connection with the Research Collaboration during the first Contract Year (the "Annual Research Plan"), which plan shall be based on the Draft Overall Research Plan. Thereafter, by each anniversary of the Effective Date of each year during the Research Collaboration, GTC shall submit to the Joint Research Committee a written proposed Annual Research Plan for the following Contract Year. The Joint Research Committee shall review each such proposal as soon as practicable and shall approve within forty-five (45) days of each such submission the final Annual Research Plan for the next succeeding Contract Year.

Annual Research Plans. Within forty-five (45) days after the Effective Date, the Joint Research Committee shall agree upon a written plan for the specific activities to be conducted in connection with the Research Collaboration during calendar year 1996 (the "Annual Research Plan"). Thereafter, by October 1 of each year during the Research Collaboration beginning with October 1, 1996, GTC shall submit to the Joint Research Committee a written proposed Annual Research Plan for the following calendar year. The Joint Research Committee shall review each such proposal as soon as practicable and shall approve no later than December 31 of such year the final Annual Research Plan for the next succeeding calendar year.
Annual Research Plans. The Research Collaboration shall be carried out ---------------------- in accordance with a written Annual Research Plan, which shall establish specific research objectives for the applicable year consistent with the amount of research funding being provided by BMS pursuant to this Agreement, and the research tasks to be performed by each party. Each Annual Research Plan, when approved by the RSC, shall be signed and dated by a representative of each party serving on the RSC. The Annual Research Plan for the first year of the Research Collaboration shall be determined as soon as practicable after the Execution Date. The date of execution of the Annual Research Plan for the first year shall be deemed to be the "Effective Date" for all purposes under this Agreement. Discussions regarding subsequent Annual Research Plans shall be commenced by the Research Steering Committee at least three (3) months prior to the annual anniversary of the Effective Date during the Research Term, and shall be finalized by *** Information omitted and filed separately with the Commission under Rule 24b-2. the RSC at least thirty (30) days prior to such annual anniversary of the Effective Date. The Annual Research Plan shall be reviewed on an ongoing basis and may be amended by the Research Steering Committee from time to time.
Annual Research Plans. (a) For the First Contract Year of the Research Term, commencing on the Effective Date, the Steering Committee will discuss and prepare an Annual Research Plan for each Research Project and will finalize an Annual Research Plan for each Research Project on or prior to thirty (30) days after the Effective Date. Thereafter, during the Research Term, the Steering Committee shall (i) commencing not less than three (3) months prior to the commencement of the subsequent Contract Year, discuss and prepare an Annual Research Plan for each Research Project for the upcoming Contract Year, and (ii) prior to the commencement of each Contract Year during the Research Term, finalize an Annual Research Plan for each Research Project for such Contract Year. Each Annual Research Plan shall be reviewed on a quarterly basis by the Steering Committee and may be amended from time to time upon Steering Committee approval. Each Annual Research Plan, and any amendment thereto, shall be signed and dated by a representative of each Party on the Steering Committee.
(b) Each Annual Research Plan shall contain the specific research objectives to be achieved during the Contract Year, the specific activities to be performed under the Research Program and the timeline for performing such activities, and the Party which shall be responsible for performing each of the activities and, with respect to deCODE, the number of FTEs being funded by Roche who are assigned to each Research Project.
(c) Each Annual Research Plan shall also contain the specific criteria to be met for the achievement of research milestones agreed upon by the Parties in the Addendum relating to such Research Project.
(d) Each Annual Research Plan shall be consistent with the other terms and conditions of this Agreement, including the objectives set forth in Section 5.1.
Annual Research Plans. The Annual Research Plan for the first Contract Year has been agreed upon in writing by the Parties. An Annual Research Plan for each subsequent Contract Year for each DS Target shall be prepared by or at the direction of the JRC, approved by the JEC no later than the end of the third quarter of the preceding Contract Year and attached as an exhibit to the minutes of the JEC meeting at which such JEC approval is obtained. As soon as practicable after the designation of any additional DS Target the JRC shall prepare an update to the Annual Research Plan as provided in Section 3.5.2
Annual Research Plans. For each year of the Research Program commencing with the second year, the Annual Research Plan shall be prepared and approved by the Joint Steering Committee no later than thirty (30) days before the end of the prior year. The Annual Research Plan for the first year shall be determined by the Joint Steering Committee no later than (30) days after the
Annual Research Plans. For each year of the Research Program --------------------- commencing with the second year, the Annual Research Plan shall be prepared and approved in preliminary form by the JRSC no later than ninety (90) days before the end of the prior year and approved by the JRSC in final form no later than thirty (30) days before the end of the prior year. The Annual Research Plan for the first year shall be prepared and approved by the JRSC in final form by no later than October 31, 1998. Each Annual Research Plan shall be in writing and shall set forth with reasonable specificity research objectives, milestones and any Baits selected for use in the ProNet Technology for the period covered by the Annual Research Plan. The JRSC may make adjustments in the Annual Research Plan at its quarterly meetings or otherwise as it may determine.
