Collective Bargaining Arrangements. Neither the Company nor any of the Company Subsidiaries is a party to or bound by any employee collective bargaining agreement, nor is the Company or any of the Company Subsidiaries a party to or, to the Knowledge of the Company, threatened with, any dispute or controversy with a union or with respect to unionization or collective bargaining involving the employees of the Company or any of the Company Subsidiaries.

HealthWeb is not a party to or bound by any employee collective bargaining agreement; HealthWeb is not a party to or affected by or, to the knowledge of HealthWeb or the HealthWeb Partners, threatened with, any dispute or controversy with a union or with respect to unionization or collective bargaining involving the employees of HealthWeb.

CBS and its Subsidiary are not a party to or bound by any employee collective bargaining agreement; CBS and its Subsidiary are not a party to or affected by or, to the knowledge of CBS or the CBS Stockholders, threatened with, any dispute or controversy with a union or with respect to unionization or collective bargaining involving the employees of CBS or its Subsidiary.

The Company is not a party to or bound by any employee collective bargaining agreement, nor is the Company a party to or affected by or, to the Knowledge of the Company, threatened with, any dispute or controversy with a union or with respect to unionization or collective bargaining involving the employees of the Company.

Except as set forth on Schedule 3.16, Seller is not a party to or bound by any employee collective bargaining agreement, a party to or affected by or, to Seller’s or Owner’s respective Knowledge, threatened with, any dispute or controversy with a union or with respect to unionization or collective bargaining involving the employees of Seller.

Neither RIMS nor any of its Subsidiaries is a party to or bound by any employee collective bargaining agreement, nor is RIMS or any of its Subsidiaries a party to or affected by or, to the Knowledge of the Shareholders, RIMS, Kircx xx Heimxxxx, xxreatened with, any dispute or controversy with a union or with respect to unionization or collective bargaining involving the employees of RIMS.
Collective Bargaining Arrangements. Except as set forth in the SEC Filings, neither TriZetto nor any of its Subsidiaries is a party to or bound by any employee collective bargaining agreement, nor is TriZetto or any of its Subsidiaries a party to or affected by or, to the Knowledge of TriZetto, threatened with, any dispute or controversy with a union or with respect to unionization or collective bargaining involving the employees of TriZetto.
Collective Bargaining Arrangements. There are no labor or collective bargaining agreements to which the Company is a party; there is no union or labor organization that is certified or recognized as the collective bargaining representative for any employees of the Company; no union organizing activities have taken place since January 1, 2005; no unfair labor practice charges or representation petitions have been filed with the National Labor Relations Board, or similar local agency, against or with respect to Employees or independent contractors of the Company, and to the Company’s Knowledge, the Company has not received any notice or communication reflecting an intention or a threat to file any such complaint or petition. There are not, and in the preceding twelve (12) months have not been any labor disputes, strikes, work stoppages, work slowdowns or lockouts, or concerted activity by any Employee or independent contractor of the Company and none are expected.
