COMMENCEMENT AND RENEWAL. This Agreement shall commence on the date set forth above and shall remain in effect for one year. Thereafter, this Agreement shall be renewed automatically without interruption for successive one (1) year terms at the same terms, conditions and prices as set forth herein except that there shall be no additional grants of options to purchase stock without separate Board action. After the initial one year term, either party may notify the other party, in writing, of its election not to renew, in which event this Agreement will terminate one hundred eighty (180) days after receipt of such notice. This Agreement may be renewed with revised terms, conditions and prices only upon written agreement of both parties.
COMMENCEMENT AND RENEWAL. 2.1 See page 31, “Terms and Termination,” paragraph 1, of the RFP. 2.2 The District shall send written notice to the Contractor regarding the District’s election to renew/not renew this Agreement for another Agreement Year on or before February 15 of the then current Agreement Year. The Contractor agrees to provide written notice to the District within ten (10) business days of its receipt of the District’s renewal notice, or within ten (10) business days after February 15 of any Agreement Year if the District fails to timely provide such renewal notice, if the Contractor does not intend to renew the Agreement for the next Agreement Year. In the event the District fails to timely provide such written notice electing to renew the Agreement and the Contractor does not provide a notice of non-renewal as described above, then the parties agree to commence a renewal agreement for another Renewal Term on the terms and conditions set forth herein (unless the parties mutually and reasonably agree to USDA- permitted revisions for such Renewal Term). 2.3 In order to provide transition assistance to the District in the event that this Agreement is terminated or expires, the Contractor agrees that the District may provide written notice to the Contractor retaining the Contractor for a minimum of one calendar month, and on a month-to-month basis for a period not to exceed six months, on the same terms and conditions set forth in this Agreement. However, the compensation to be paid to the Contractor during this period shall be 103% of the prior Fixed Meal Price (the “Transition Assistance”). The provisions of this section will not apply if this Agreement is terminated by the Contractor based on an uncured event of default by the District (in which event the Contractor reserves all rights at law). 2.4 Any provision of this Agreement that contemplates performance or observance subsequent to any termination or expiration of this Agreement, including those provisions relating to the obligations of Contractor in connection with the Transition Assistance, shall survive any termination or expiration of this Agreement and continue in full force and effect. 2.5 Except for those actions preceding the date of this Agreement, the Services shall commence according to the schedule set forth in the RFP, unless the District notifies the Contractor otherwise in writing.

COMMENCEMENT AND RENEWAL. Section “Term of Contract,” of the RFP is deleted in its entirety and replaced with the following: Santa Xxxx The term of the resultant contract will be for five (5) years and shall commence on July 1, 2018 and shall remain in effect until June 30, 2023 unless terminated, canceled, or extended as otherwise provided herein. Either party may cancel the contract, without reason, with written notification. Cancellation must be in writing and received two hundred and seventy (270) days prior to June 30th of each contract year. Silence from both parties will be considered as acceptance for another contract year at the same terms and conditions. This condition is not to preclude providing the lowest possible price based on current economic conditions. If economic conditions warrant a change in the conditions or terms of the contract, either party may exercise the cancellation privilege on the next anniversary date without prejudice. The resulting contract from this proposal can be canceled by the School Board at any time for cause (“Cause” shall be defined as a material breach that has gone uncured for 15 (fifteen) days after Contractor has received notice of such material breach.): however, due process will be given to resolve any unsatisfactory matters. As per Florida law, the contract will be canceled if not funded. The Board reserves the right to unilaterally extend the period of any resultant contract for one (1) supplemental period of five (5) years.
