Compensation Payable Upon Termination. In the event of termination of this Agreement by EMPLOYER for any reason set forth hereinabove (in subparagraphs B or C) other than death of the EMPLOYEE, EMPLOYEE shall be entitled to receive termination pay equal to six months of the annual salary then in effect, payable in six monthly installments, PROVIDED, however, that any salary paid during a period of disability preceding termination shall be credited toward the payments due hereunder.

If a Change in Control of the Company shall have occurred, the Executive shall be entitled to the compensation provided in Section 4 hereof upon the termination of the Executive's employment with the Company by the Executive or by the Company unless such termination is as a result of:
Compensation Payable Upon Termination. In the event this Agreement is terminated pursuant to either Section 13.3 or 13.4, so long as SDHS has been providing the Services specified herein, SDHS shall be entitled to receive the compensation and fees accrued through the effective date of termination.

In the event of termination of Employee's employment, other than pursuant to sections 2. or 8.a. hereof or voluntarily by Employee, the Employee or his estate shall receive the current salary and all benefits to the expiration date of the employment agreement as may be extended hereunder. Compensation Payable Upon Termination. (a) If Executive's employment is terminated pursuant to the provisions of subsections 5(a)(i), (ii), (iv) or (v) above, the Company shall pay Executive all sums due Executive hereunder through the date of such termination ("Earned Compensation").

Upon termination of this Agreement and the Coach’s employment with the Company for any reason, the Coach shall be entitled to receive his accrued but unpaid Base Salary (and any Company approved expenses incurred by the Coach but not yet reimbursed by the Company) as of the effective date of such termination and shall not be entitled to any additional compensation or benefits, except for those specified in accordance with Section 2.3(b) hereof, if any, with respect to termination due to the Coach’s disability and/or except as may be otherwise provided on Schedule I attached hereto.
