Composition of the Steering Committee. The Steering Committee shall xxxxxx the collaborative relationship between the parties and shall in particular monitor the progress of the Development Program and Impax’s progress with respect to the ANDA Products. The Steering Committee shall be comprised of two (2) named representatives of Impax and two (2) named representatives of Medicis. Each party shall appoint its respective representatives to the Steering Committee from time to time, and may substitute one or more of its representatives, in its sole discretion, effective upon notice to the other party of such change but shall use commercially reasonable efforts to maintain stability of Steering Committee representation. The Steering Committee shall not have the power to amend the terms of this Agreement but shall have the power to change the Development Plan upon agreement of at least one (1) representative of the Steering Committee from each party.
Composition of the Steering Committee. Each Party shall appoint one Representative to participate on a steering committee (the “Steering Committee”). The Steering Committee shall meet via teleconference at least once a quarter during the term of this Agreement if not otherwise agreed. A precise agenda shall be drawn up before each meeting of the Steering Committee.
Composition of the Steering Committee. The SCOM is chaired by the LP and composed by one representative from each Project Participant (hereinafter referred to as "SCOM Members"). The SCOM Members representing the Project Participants shall be appointed in written form by the concerned partners, after a written request from the LP. Alternatively, the SCOM Members will be appointed by each Project Participant representative during the kick- off meeting, under a specific point of the agenda. In this case, the appointment has to be done in writing and shall be part of the minutes prepared in line with point e). The SCOM Members have the right to be substituted in two ways:
a) by appointment of deputies; or
b) by sending substitutes to the meeting, informing the Chairperson of the SCOM not later than one working day before the meeting. Representatives of ASPs may participate in the SCOM in an advisory capacity.
Composition of the Steering Committee. From the Date of Registration, each Party shall appoint two (2) Representatives to participate on a steering committee (the “Steering Committee”) to oversee the activities under this Agreement. The Steering Committee shall meet via teleconference at least once a quarter during the Term of this Agreement and no later than (1) one month after a Party asks for a meeting of the Steering Committee. ERYTECH shall appoint the chairman of the Steering Committee. A precise agenda shall be drawn up before each meeting of the Steering Committee by the chairman, consulting the Representatives of the other party. Subsequent to each meeting, the chairman shall draw up the minutes and distribute such minutes for signature by both Parties. All decisions of the Steering Committee shall be made by consensus, with each Party’s representatives on the Steering Committee collectively having one (1) vote.
Composition of the Steering Committee. Each Partner shall appoint a representative to the Steering Committee and a possible substitute. The Partner shall reserve the right to appoint a new representative during the execution of the present membership Agreement, after having informed in writing the chairman of the Steering Committee. An Inria representative shall act as the chairman of the Steering Committee. On the date this membership Agreement comes into force, Inria’s representative shall be Xxxxxxxx Xxxxxxx. In the event of a change, Inria shall appoint a successor and shall inform the other Partners in writing. The Steering Committee secretariat services shall be provided by Inria.
Composition of the Steering Committee. The Steering Committee shall be comprised of at least six (6) individuals: three (3) appointed by RCSI and three (3) appointed by First Data. The Quality Leaders from First Data and RCSI shall also be members of the Steering Committee, as well as other persons as may be mutually agreed by the Parties.

The Research Program shall be conducted under the direction of the Steering Committee comprised of three (3) named representatives of Ixsys and three (3) named representatives of Xxxxxxx-Xxxxx. Each party shall appoint its respective representatives to the Steering Committee from time to time, and may substitute one or more of its representatives, in its sole discretion, effective upon notice to the other party of such change. Members of the Steering Committee may be represented at any meeting by another member of the Steering Committee, or by a deputy.
Composition of the Steering Committee. The Steering Committee shall initially consist of three (3) members, with each Member entitled to appoint one representative to the Steering Committee. Subject to applicable Gaming Laws and receipt of all required Gaming Approvals, the members of the Steering Committee shall initially be the members set forth in Exhibit C, appointed by CEOC, CERP and CGPH respectively as set forth therein. Subject to the provisions of this Agreement, the Steering Committee shall be entitled to establish its own rules and procedures of operation in its discretion.

Each representative shall be a senior executive of the designating Party. Each Party shall appoint its respective initial representative to the Steering Committee within [*] after the Effective Date, and may from time to time substitute its representative, in its sole discretion, effective upon notice to the other Party of such change. Additional representatives or consultants may from time to time be invited to attend Steering Committee meetings, subject to such representatives’ and consultants’ written agreement to comply with the requirements of Section 8 and the agreement of each Party. Each Party shall bear its own expenses relating to attendance at such meetings by its representatives and consultants.

The Steering Committee shall direct the Research Program and shall be comprised of three (3) named representatives of Immune Response and three (3) named representatives of Bayer. Each party shall designate a co-chairperson included as one of the representatives to the Steering Committee. Each party shall appoint its respective representatives to the Steering Committee from time to time, and may substitute one or more of its representatives, in its sole discretion, effective upon notice to the other party of such change. From time to time, the Steering Committee may establish subcommittees to oversee particular projects or activities, and such subcommittees will be constituted as the Steering Committee agrees.
