Consent to Sublicense. Elan hereby consents to the sublicense by Acorda to Biogen of its rights to package, use, import, export, promote, distribute, offer for sale, sell and otherwise exploit the Product in the Sublicensed Territory under Clause 2.1 of the Elan License Agreement (including those amendments to the License Agreement agreed to pursuant to this Amendment and Consent Agreement) to the extent that such rights are to be sub-licensed to Biogen pursuant to the Partner License Agreement (as defined below) as disclosed to Elan prior to the date of this Amendment and Consent Agreement.
Consent to Sublicense. 4. ICRT hereby consents to Biomira's sublicense of the ICRT Licensed Technology to the Sublicensee on the terms of the Collaboration as further described in the collaboration agreement dated May 3, 2001 between Biomira and the Sublicensee (the "Collaboration Agreement"), the applicable portions of which are summarized in Schedule "C" hereto and/or attached as Schedule "A" hereto, and in the supply agreement dated May 3, 2001 between Biomira and the Sublicensee, the applicable portions of which are summarized in Schedule "C" hereto and/or attached as Schedule "B" hereto (collectively, the "Sublicense"). A certificate of an officer of Biomira is attached as Schedule "D" hereto certifying that the summary and extracts attached as Schedules "A", "B" and "C" are, in all material respects, true and complete summaries and/or extracts of all portions of the Sublicense pertaining to the sublicense under the License Agreement. ICRT also hereby consents to the further sublicense of the ICRT Licensed Technology by the Sublicensee to affiliates of the Sublicensee on similar terms as the Collaboration. Such consents of ICRT to sublicense are not and shall not be deemed to be approval of or consent to the terms of the Sublicense for the purposes of clause 3.3(d) of the License Agreement. ICRT hereby acknowledges that the Collaboration Agreement incorporates by reference any provision specifically required by the License Agreement to be included in such Sublicense. ICRT hereby agrees to such incorporation by reference.
Consent to Sublicense. Ginkgo may grant sublicenses of the license granted to Ginkgo under Section 9.1.1 (Scope of Grants) and Section 9.1.2 (License Grant to Exploit [***]) with the prior written consent of BLI[***]; provided that such prior written consent of BLI shall not be needed for any sublicense granted by Ginkgo to (a) a Permitted Subcontractor of Ginkgo under Section 2.7 (Subcontracting) to the extent such sublicense relates to the subcontracted activities, (b) any wholly-owned subsidiary of Ginkgo existing as of the Effective Date or (c) any other Person, including other Affiliates and any Third Party, under Section 9.1.2 (
Consent to Sublicense. NovaDel hereby consents to the terms of this Agreement and the sublicense granted hereunder.
Consent to Sublicense. Solefound hereby provides its consent to the Sublicense Agreement, a copy of which has been received by it and is attached hereto as Exhibit A, and acknowledges that, as of the date of execution of this Agreement, the License Agreement is in full force and effect and Solefound is not aware of any outstanding claims of breach of any of the terms or conditions thereunder.
Consent to Sublicense. Pfizer hereby gives its consent, pursuant to Section 2(b) of the Pfizer Agreement, to Licensor granting sublicenses to Licensee pursuant to the Licensee Agreement under the rights and licenses granted to Licensor under the Pfizer Agreement. Licensor and Licensee agree to promptly notify Pfizer as to the date the Licensee Agreement becomes effective (the “Effective Date”).
Consent to Sublicense. WLC hereby consents to the sublicense from Salix to King, effective upon the Effective Date, of the applicable Assigned Partial License rights with respect to the Anusol Trademark and Anusol Mold as necessary for King to perform its obligations under the Supply Agreement.
Consent to Sublicense. KUCR consents to the terms of the PQ License, including: (i) the sublicense of the Patent Rights and Know-How by ProQuest to Guilford pursuant to the PQ License; and (ii) to the extent applicable, the license, development and commercialization of Agreement Compounds and Program Products by Guilford, provided that nothing herein shall be deemed to constitute any endorsement by KUCR or the University of Kansas of the terms of the PQ License.
Consent to Sublicense. Wxxxxx hereby consents to Redhook’s sublicense of the Trademarks and related intellectual property to Fxxxxx Street Brewery, Inc. (“FSB”), pursuant to the terms of a Sales, Marketing And Licensing Agreement effective March 1, 2008 between Redhook and FSB (the “FSB Agreement”).
Consent to Sublicense. Pursuant to Section 11 of the License Agreement, USC hereby consents to the Sublicense and, under the terms of the Exclusive License, Abxxxx xgrees to be bound by the terms of the License Agreement as a Sublicensee. Pursuant to Section 24(g) of the License Agreement, Abxxxx xereby agrees to (a) indemnify USC to the same extent and degree as Rubicon has agreed to indemnify USC under the License Agreement and (b) provide insurance identical in coverage and amount to that required of Rubicon in subparagraphs 24 (a), (b) and (c) of the License Agreement, naming both Rubicon and USC as additional insureds.
