CONSTRUCTION AND DELIVERY. (Delete the unnecessary) 3.3.1 The Lxxxxx undertakes to construct the building to include the leased premises according to the construction specifications and deliver it to the Lessee according to the instruction of the Contract by no later than the date fixed in Appendix A. 3.3.2 Despite what is mentioned in the above section 3.3.1, the leased premises will be considered fit for delivery and the Lessee will be obliged to receive possession of the leased premises on the date required by the Lxxxxx even if the building or the Lessee are not in a fully prepared if the leased premises is in a usable condition. It has been declared and agreed that the leased premises will be considered usable for the purpose of delivery even if one of the following works is not yet complete: 3.3.2.1 Land development works surrounding the building. 3.3.2.2 The installation and/or works specified in Appendix A. 3.3.2.3 Finishing works to the building and/or the leased premises only if they do not fundamentally disrupt the reasonable use of the leased premises. The above mentioned delivery date will be automatically delayed in case of force majeure including but not solely, a state of war, recruitment of reserves, including, but without derogating from the mentioned generalities a lack of laborers due to the Intifada or due to curfew or due to and sanctions that may the laborers arrival difficult, weather conditions or other natural phenomena, orders, regulation or laws that mat delay the construction or lengthen its duration of execution, a freezing of the construction due to governmental orders, strikes or sanctions, or any other cause that is not under the Leasers control, in such a case the date of delivery will be delayed, for the period of the hindrance with an additional thirty (30 days for organization.

CONSTRUCTION AND DELIVERY. (a) The sale of the Designated Unit shall be as a finished Unit/Bungalow constructed and completed by the Vendor in the manner and to the extent mentioned in the Agreement and the relationship between the Vendor and the Purchaser(s) shall be strictly as seller and Buyer of the designated Unit and until and unless the payment of the consideration and all other amounts is paid in full by the Purchaser(s) to the Vendor in terms hereof, all right title and interest in the Designated Unit shall remain vested to the Vendor. (b) The Vendor shall, subject to force majeure events, construct the Designated unit in accordance with the Specifications mentioned in PART- II of the Third Schedule hereunder written within the period mentioned in PART-III of the Third Schedule hereunder written.
CONSTRUCTION AND DELIVERY i. The sale of said designated unit / said complete unit shall be constructed and completed by the promoter in the manner and to the extent mentioned in this agreement. ALI shall also exert its best efforts to complete the construction of the Building by April 15, 2005 for the purpose of turning over possession of the entire Office Space to PEOPLESUPPORT not later than April 15, 2005 to allow PEOPLESUPPORT to fit-out the Office Space; provided that, ALI shall exert its best efforts to turn over possession of that portion of the Office Space in the third floor of the Building to PEOPLESUPPORT not later than February 1, 2005, and to turn over possession of that portion of the Office Space on the ground, fourth and fifth floors of the Building not later than March 1, 2005 in order to allow PEOPLESUPPORT to start fitting-out the Office Space on said floors; ALI shall endeavor to complete and turn over the common areas of the Building simultaneous with, and to cause all life-support systems of the Building (including air-conditioning, elevator and elevator shaft) to be operational and in place not later than, the completion of the Building. It is agreed by the Parties that the effective turn over of the Office Space or any portion thereof shall be conditioned on the same being ready for fit-out by PEOPLESUPPORT as may be agreed upon by the Parties. The best efforts delivery by ALI of the Office Space, whether partially or entirely, as indicated above, shall, however, be subject to the execution by the Parties of a contract of lease, the form of which shall be agreed upon by the Parties on or before February 28, 2004, and which shall in all aspects be in conformity with the terms agreed to by the Parties together with such other changes as negotiated and further agreed upon by the Parties (the "CONTRACT OF LEASE") pursuant to Section 2.3 hereof. The Contract of Lease as agreed upon by the Parties shall likewise form part of this MOA. For the purpose of advising PEOPLESUPPORT of the date of completion of construction of the Building and/or of informing PEOPLESUPPORT that the Office Space (or any portion thereof) is ready for fit-out, ALI shall notify PEOPLESUPPORT in writing of the readiness of the Office Space (or any portion thereof) for delivery (the "NOTICE OF DELIVERY").
CONSTRUCTION AND DELIVERY. Tenant has prepared, at its own expense, detailed plans and specifications for said storeroom building to be constructed by the Landlord and covered by the terms of this lease, which said plans and specifications have been approved by the Landlord and have been initialed by the parties hereto and made a part hereof, and Landlord agrees that the said premises shall be constructed in a good and workmanlike manner in accordance therewith, and in such manner as shall comply with all requirements of lawful authorities. Until the delivery of possession of the said designated Flat/Unit/Apartment upon payment of the consideration and all other amounts in full by the Purchaser(s) to the Developer in terms hereof all right, title and interest in the said designated Flat/Unit/Apartment shall remain vested to the Developer. 11.2 The Developer shall, subject to force majeure, construct the said designated Flat/Unit/Apartment in accordance with the specifications mentioned in Part – II of the Third Schedule herein within the period mentioned in Part – III of the Third Schedule hereunder written.

  • Shipment and Delivery Seller grants the Company the right at any time to specify the carrier and/or method of transportation to be employed in conveying any part or all of the Goods covered herein. In the event that Seller uses an unauthorized carrier and/or method of transportation, then all shipping expenses shall be assumed by Seller. Unless otherwise stated in the Order, all Goods will be shipped FCA shipment point. FCA shall be interpreted in accordance with the version of Incoterms valid at the time of the Seller’s acceptance of the Order. The Seller shall be responsible for preparing and filing all export documentation for all shipments. The Company shall not be obligated to accept early deliveries, partial deliveries or excess deliveries. If Goods are incorrectly delivered, the Seller shall be responsible for any additional expense incurred in delivering the Goods to the correct destination. The delivery date set forth on the Order is of the essence of the Contract. If the Seller anticipates that it will not be able to deliver the Goods upon the agreed delivery date, then the Seller shall immediately notify the Company thereof in writing; provided, however, that such notice shall not relieve the Seller of its responsibilities and liabilities with respect to on-time delivery hereunder. In such event, the Company may request that the Seller expedite delivery to the maximum extent possible at the Seller’s sole expense. If the Seller does not deliver the Goods by the agreed delivery date, then the Company shall be entitled to liquidated damages as agreed between the parties, up to and including the total Order value. Notwithstanding the foregoing, the Company reserves the right to claim repayment for any and all costs, losses, expenses and damages incurred by the Company that are attributable to the Seller’s delay in delivery. Such liquidated damages shall be paid at the Company’s written demand. Partial deliveries shall not relieve the Seller from liability for any late delivery hereunder. If the Seller discovers that it has shipped any non-conforming Goods to the Company, it shall immediately (and not more than 24 hours after such discovery) notify the Company thereof in writing; provided, however, that such notice shall not relieve the Seller of its responsibilities and liabilities with respect to defective goods hereunder.

  • Orders and Delivery 4.1 The Purchaser may from time to time place Purchase Orders on the Supplier for the Goods and/or Services. Nothing in this Agreement shall prevent the Purchaser from purchasing the same or similar goods and services from a third party. 4.2 The Purchaser may at any time terminate a PO, or where applicable this Agreement, for convenience if the relevant contract in terms whereof Goods and/or Services are on-sold by the Purchaser to a Customer is terminated, by giving the Supplier 30 (thirty) days’ written notice to such effect, in which event the Purchaser shall be liable to pay only for Goods ordered under Purchase Orders placed prior to the delivery of such notice of termination. 4.3 The Goods to be supplied pursuant to this Agreement shall be delivered by the Supplier DDP Delivered Duty Paid (at the Purchaser’s or the Customer’s premises, Gauteng) on or before the delivery date/s stated in the relevant PO or delivery schedule. Time is of the essence in the performance of the Supplier’s obligations. 4.4 Subject to the Supplier’s strict compliance with this clause 4, the Purchaser shall grant to the Supplier an extension of time if and to the extent that delivery is or will be delayed by the following causes: 4.4.1 Additional Goods and/or Services are ordered under clause 5, or 4.4.2 Any delay, impediment or prevention caused by either force majeure or the Purchaser occurs. 4.5 If the Supplier considers itself entitled to an extension of time, the Supplier shall give notice to the Purchaser describing the event or circumstance giving rise to the requested extension of time (in this clause referred to as the “claim”). The notice shall be given as soon as practicable, and in any event not later than 2 (two) days after the Supplier became aware, or should have become aware, of the event or circumstance. 4.6 Within 7 (seven) days after the Supplier sent the notice referred to in clause 4.5 or within such other period as may be proposed by the Supplier and approved by the Purchaser, the Supplier shall send to the Purchaser a fully detailed claim and revised draft delivery schedule which includes full supporting particulars of the basis and duration of the claim. If the event or circumstance giving rise to the claim has a continuing effect: 4.6.1 this fully detailed claim shall be considered as interim; 4.6.2 the Supplier shall send further interim claims at weekly intervals, giving the accumulated delay, and such further particulars as the Purchaser may reasonably require; and 4.6.3 the Supplier shall send a final claim within 7 (seven) days after the end of the effects resulting from the event or circumstance, or within such other period as may be proposed by the Supplier and approved by the Purchaser. 4.7 Within 7 (seven) days after receiving a claim or any further particulars supporting a previous claim, or within such other period as may be proposed by the Purchaser and approved by the Supplier, the Purchaser shall respond with approval, or with disapproval and detailed comments. It may also request further clarification or additional particulars. Should the Purchaser fail to respond within the stated time, it shall be deemed to have rejected the claim. 4.8 A revised delivery schedule shall only become valid and binding once approved by the Purchaser, which approval shall not be unreasonably withheld.
