Contents of Statements of Work. Each Statement of Work will specify (i) the development goals and objectives of the Statement of Work and the activities and tasks to be undertaken by each party hereto in connection with such activities, (ii) any obligations on the part of TFG Radiant N-E to make payments to Ascent so as to provide funding for such activities (“TFG Radiant N-E Funding”) and the schedule for the payment of such funds, (iii) the purposes for which, and manner in which, any TFG Radiant N-E Funding is to be utilized by Ascent, (iv) the milestones and deliverables to be achieved or delivered by each party, (v) the respective Project Coordinators for such Statement of Work, and (vi) such other matters as deemed appropriate by the parties. In the event of a conflict between the terms of any Statement of Work and the terms set forth in the body of this Agreement, the terms set forth in the body of this Agreement shall prevail unless the Statement of Work expressly states that the inconsistent term is meant to prevail over the terms of this Agreement, in which case the terms set forth in the Statement of Work shall prevail over the terms of the body of this Agreement solely for purposes of such Statement of Work.

Contents of Statements of Work. The Statements of Work shall contain or incorporate as attachments or by reference: (i) a reference to this Agreement; (ii) a designation of the names and addresses of the contact person for each of FXRE and ThrillRides, who shall be responsible for all administrative matters pertaining to the subject Statement of Work, in particular, and to this Agreement, in general (each, a “Contract Coordinator”); (iii) a detailed description of the Services to be undertaken and provided by the selected Provider; (iv) a description of the specific work location for the Services; (v) a schedule for the performance and completion of the Services; (vi) a description of any Deliverables to be created or otherwise provided by the Provider; (vii) a budget for procurement and supply of any third party services, materials, parts and components and any and all other expenses pertaining to the subject Statement of Work; (viii) the duration of the term for Services to be performed on a regular periodic basis, if any; (ix) the proposed completion date for the Services pertaining to the subject Statement of Work; and (x) performance, acceptance or approval criteria for the Services and any Deliverables, all of which shall be subject to the mutual agreement of FXRE and ThrillRides.
Contents of Statements of Work. The parties shall describe each individual deliverable to be provided under this agreement in its own statement of work (each, a "Statement of Work"), each one including a complete description of the deliverable provided under the Statement of Work, the number of [PARTY A] personnel who will be assigned to provide the deliverable in question, key [PARTY A] personnel the parties agree are essential to the provision of the particular deliverable (shall not exceed [SPECIFY] percent of the total personnel assigned to this Statement of Work) (each one a "Key Personnel"), the applicable fees and fee schedule, including any milestones and milestone payments if applicable, for the particular deliverable, the service levels and acceptance criteria for the particular deliverable, any materials the parties will provide for the particular deliverable, a timeline for providing the particular deliverable, and a unique identification number for the Statement of Work and explicit reference to this agreement. Integration. A Statement of Work signed by both parties, bearing a unique identification number and making explicit reference to this Agreement, shall be deemed to form an integral part of this Agreement.
