Contract takeover. 1. Contracting party shall not have the right to transfer any obligation from the Agreement to third parties without the written consent of Contractor. Insofar as Contractor may have given written permission for a contract takeover, Contracting party shall at all times be jointly liable with such third party for the obligations from the Agreement of which these General Terms and Conditions constitute a part.

Contract takeover. 16.1 The Client is not permitted to transfer (any obligation under) the Agreement to third parties unless the Contractor explicitly agrees to this in writing. The contractor is entitled to attach conditions to this permission. The Client undertakes in any case to impose all relevant (payment) obligations under the Agreement on the third party in that case. The Client will always remain jointly and severally liable in addition to this third party for the obligations under the Agreement unless the Parties explicitly agree otherwise in writing.
Contract takeover. Unless we give our express written consent, you shall not be permitted to assign the Engagement or any obligation laid down in it to third parties. We shall be entitled to attach conditions to our consent, which shall not be withheld on unreasonable grounds. You undertake in any case to impose on the third party all relevant payment and other obligations laid down in the Engagement and these General Terms & Conditions. In addition to the third party, you shall continue to be jointly and severally liable for the obligations laid down in the Engagement and these General Terms & Conditions.

  • NOTICE TO BUYER OF LABOR DISPUTES Whenever Seller has knowledge that any actual or potential labor dispute is delaying or threatens to delay the timely performance of this Contract, Seller shall immediately give notice thereof, including all relevant information, to Buyer.

  • JOB BIDDING The City reserves the right to organize work and assignments. Bureau managers will consult with the Union prior to implementation of a reorganization to discuss proper application of this Article. Whenever the City determines that it will fill a vacancy in a new or existing job, present employees shall be given the first opportunity on the following basis: the City may choose from among the two (2) most senior qualified bidders for 25% of all vacancies occurring within a bureau in a Fiscal Year. Prior to posting, the City must identify a posting as one which will be subject to this provision.
