Contracts with Members. The Company may engage in business with, or enter into one or more agreements, leases, contracts or other arrangements for the furnishing to or by the Company of funds, goods, services or space with, any Member or Affiliate of a Member, and may pay reasonable compensation in connection with such business, funds, goods, services or space. Contracts with Members or Affiliates of Members, at the discretion of the Managing Member, need not be in writing.

Contracts with Members. No Member shall cause or permit the Company or any Subsidiary Entity or Outside Partnership to engage or pay any compensation to a Member or any Affiliate of a Member for the provision of services to the Company or any Subsidiary Entity or Outside Partnership.

Contracts with Members. The Authority may not enter into contracts with members for the provision of administrative services required to be performed by the Authority pursuant to this Agreement. However, the Authority may enter into contracts with members for the purchase or lease of equipment, sites, or real property. Additionally, the City of Rifle and Garfield County may enter into contracts with the Authority for the provision of initial general emergency dispatch and communication services. Such contracts may continue until the Authority is able to provide general emergency county-wide communications and dispatch services through its own staff and equipment.

Note that antitrust issues can be raised by certain supermajority provisions. For example, provisions giving one or both joint venturers an effective veto over capacity expansions, output levels, etc. could be problematic, especially if the parent companies would compete absent the joint venture but creation of the joint venture itself is allowed because of the efficiencies it produces.
