CONTRACTUAL CLAUSES. 1 Pursuant to this Subscription List for Registered Preferred Shareholders, the Company, duly represented by the INSTITUTION PARTICIPATING IN THE BRAZILIAN OFFERING identified in field 35 below and authorized by the Offering Coordinators, hereby delivers to the SUBSCRIBER the amount of Preferred Shares indicated in field 30 above. The Amount to Pay indicated in field 32 above was obtained by multiplying the amount of Preferred Shares described in field 30 above based on the respective Price per Preferred Share indicated in field 31 above. 2 The Preferred Shares will entitle their owners to the same rights, advantages and restrictions as the holders of preferred shares issued by the Company, under the terms laid out in its by-laws and in the Brazilian Corporations Law, including: (i) voting rights restricted to only certain matters provided by law or the Company’s by-laws; (ii) priority repayment of capital in the event of the Company’s liquidation; (iii) full participation in the Company’s results from the date of publication of the Announcement of Commencement; with respect to the item below; (iv) dividends per priority share, calculated as the greater of (a) 6% (six percent) per year over the dividends per common share, calculated from the amount resulting from dividing the Company’s capital stock by the total number of shares issued by the Company; or (b) 3% (three percent) per year over the dividends per common share, calculated from the amount resulting from dividing the Company’s net book value by the total number of shares issued, from the date of publication of the Announcement of Commencement; and (v) the right to vote separately in decisions related to the hiring of non-Brazilian entities that are related to the controlling shareholders, with regards to agreements for the provision of administrative services, including technical assistance

CONTRACTUAL CLAUSES. These Clauses are attached to and made a part of the Data Protection Agreement (“DPA”) between Dell and Provider, and apply where any Dell entity named in the master agreement located in the United Kingdom may serve as a data exporter, as defined below. Such Dell entity, together with all other Dell group entities (as defined below), each such Dell entity having the right to enforce the terms of these Standard Contractual Clauses as a third party beneficiary against the data importer in respect of any personal data which are processed by such Dell entity as a controller, as if such Dell entity were entering into its own separate set of Standard Contractual Clauses with the data importer.
CONTRACTUAL CLAUSES pursuant to Executive Order Memorandum Number 2021-003 from the Governor of Puerto Rico and Circular Letter CC- 001-2021 from the Office of Management and Budget of the Government of Puerto Rico.
1.5.1 As applicable, the contracted services under this RFQ can be rendered to any entity of the Executive Branch, with which ASES executes an interagency agreement or by direct disposition of the Governor’s Chief of Staff. These services shall be rendered under the same terms and conditions specified on the ensuing contract, as for work hours and compensation. The term “entity of the Executive Branch” includes all agencies of the Government of Puerto Rico, as well as instrumentalities and public corporations, and the Office of the Governor.
1.5.2 The Governor’s Chief of Staff has the power to cancel the ensuing contract under this RFQ at any moment.
1.5.3 Contract Review Policy of the Financial Oversight and Management Board for Puerto Rico: The Parties shall acknowledge that the Contractor will submit the certification entitled "Contractor Certification Requirement" required in accordance with the Contract Review Policy of the Financial Oversight and Management Board for Puerto Rico and in force as of November 6, 2017 and as amended on October 30, 2020, signed by the Contractor's Executive Director (or other official with a position or authority equivalent to issue such certifications). A signed copy of the Contractor Certification Requirement shall be included as an annex to the ensuing contract. *ASES understands that clauses in subsections 1.5.1 and 1.5.2 are not applicable to the Contract resulting from this RFQ but includes the same in the abundance of caution as any contract for professional services without these clauses will be deemed to be null and void from its inception.

2.2 The illustrative indemnity set out in the SCCs is deemed deleted.
2.3 Any replacement to the SCCs adopted in accordance with Article 93(2) of the General Data Protection Regulation ((EU) 2016/679) shall supersede the SCCs incorporated into this Appendix, and this Appendix shall be interpreted so as to give full effect to such replacement SCCs.

CONTRACTUAL CLAUSES. The client agrees that all work performed by the client or the clients’ subcontractors, that falls under the umbrella of the building permit issued under CHS license, will be performed by licensed, qualified individuals/companies, and will be performed to the requirements of local and state building codes.
