Controlled Information. The parties understand that information and materials provided pursuant to or resulting from this Contract may be export controlled, classified, or unclassified sensitive and protected by law, executive order or regulation. Each party is responsible for compliance with all applicable laws and regulations. Nothing in this Contract shall be construed to permit any disclosure in violation of those restrictions.
Controlled Information. The parties understand that information and materials provided pursuant to or resulting from this Agreement may be export controlled or unclassified sensitive and protected by law, executive order, or regulation. Nothing in this Agreement may be construed to permit any disclosure in violation of these restrictions.
Controlled Information.
33.1 This Clause 33 shall apply in addition to any other confidentiality provisions in the Contract and/or under this Framework Agreement.
33.2 The Supplier shall:
(a) hold the Controlled Information and not use it other than for the purpose of discharging its’ obligations under the Contract;
(b) not copy the Controlled Information except as strictly necessary for the purpose of discharging its’ obligations under the Contract, and only with the prior written authorisation of the Authority (which shall not be unreasonably withheld);
(c) not disclose the Controlled Information to any third party unless authorised in writing beforehand by the Authority;
(d) protect the Controlled Information diligently against unauthorised access and against loss;
(e) act diligently to ensure that:
(i) Controlled information is disclosed to its’ employees only to the extent necessary for the purpose of discharging its’ obligations under the Contract;
(ii) employees to whom Controlled Information is disclosed are made aware of and required to comply with the terms of this Clause.
33.3 Where Controlled Information is provided to the Supplier, it shall;
(a) compile a register of that Controlled Information, which shall include explicit description of the Controlled Information, a record of the number of copies made and a record of all access to the Controlled Information including access to any copies of the Controlled Information.
(b) maintain this register for the duration of the Contract and for two (2) years following completion of the Task(s);
(c) make a register of access available to the Authority upon reasonable notice for inspection and audit for so long as it is required to be maintained under this Condition; and,
(d) at the completion of the Contract, return to the Authority all original and duplicate copies of the Controlled Information, or else at the Authority’s option destroy these copies and provide a certificate of destruction to the Authority.
33.4 This Clause shall not diminish or extinguish any right of the Supplier to copy, use or disclose any other information to the extent that it can show:
(a) that the information concerned was or has become published or publicly available for use without breach of any provision of the Contract and this Framework Agreement or any other agreement between the Parties;
(b) that the information was already known to it (without restrictions on disclosure or use) prior to receiving it under or in connection with the Contract;...
Controlled Information. The Parties understand that information and materials provided pursuant to or resulting from this Agreement may be export controlled, classified, or unclassified sensitive and protected by law, executive order or regulation. This Agreement does not permit any disclosure in violation of these restrictions or other applicable law or regulation. Furthermore, MIT LL reserves the right to review the provided information and materials and any test results or materials generated therefrom to ensure compliance with any and all restrictions or other applicable law or regulation prior to release to the Customer.
Controlled Information. 11.1 This Condition shall apply in addition to and notwithstanding clause 10 or any other confidentiality condition of the Agreement.
11.2 For the purposes of this Condition “Controlled Information” shall mean any information in any written or tangible form which is disclosed to one party by or on behalf of the other party in connection with the Agreement, and which is identified by the legend “Controlled Information” or other approved legend notified to the Agreement or. Controlled Information shall exclude information provided by oral communication.
Controlled Information. This Clause 34 shall apply in addition to any other confidentiality provisions in the Contract and/or under this Framework Agreement.
Controlled Information. 1. Except as otherwise provided in this TRDP Agreement or authorized in writing by the originating Party, Controlled Information provided or generated pursuant to this TRDP Agreement and its PAs shall be controlled as follows:
a. such information shall be used only for the purposes authorized for use of Project Information as specified in Article VIII (Disclosure and Use of Project Information);
b. access to such information shall be limited to personnel whose access is necessary for the permitted use under subparagraph 1a above, and shall be subject to the provisions of Article XII (Third Party Sales and Transfers); and
c. each Party shall take all lawful steps, which may include national classification, available to it to keep such information free from further disclosure (including requests under any public access provisions), except as provided in subparagraph 1b above, unless the originating Party consents to such disclosure. In the event of unauthorized disclo sure, or if it becomes probable that the information may have to be disclosed to a third party or a judicial body under any legislative provi sion, immediate notification shall be given to the originating Party.
2. To assist in providing the appropriate controls, the Parties must agree in advance on the marking to be placed on the Controlled Information.
Controlled Information. The provisions of the "Bilateral Nondisclosure Agreement" Exhibit C shall be applicable herein.
Controlled Information. The Parties and their employees shall not disclose any information furnished hereunder in any manner contrary to the laws and regulations of the United States of America, including but not limited to, the Export Administration Regulations of the U.S. Department of Commerce, the International Traffic in Arms Regulations of the U.S. Department of State, and the National Industrial Security Program Operating Manual (DoD 5220.22-M).
Controlled Information. In the course of negotiating and implementing this Agreement, each party has and will continue to have access to certain information considered proprietary and confidential by the other party ("Controlled Information"). Each party agrees that, unless written consent is otherwise granted by the other party, release of, access to, or use of Controlled Information disclosed by the disclosing party to the receiving party shall be restricted to those employees and officers of the receiving party's organization who are advised that it has been received from the disclosing party under their employer's commitment of confidentiality and who have a need to know the Controlled Information in order to permit the receiving party, in good faith, to communicate with the disclosing party for purposes of this Agreement. The receiving party agrees to use the same degree of care to protect the confidentiality of the Controlled Information disclosed to it as it uses to protect its own Controlled Information, but in all events shall use at least a reasonable degree of care.
