COOPERATION FRAMEWORK AGREEMENT. On December 29, 2020, Shenzhen iDreamSky and Tencent Computer entered into the 2021 Game Cooperation Framework Agreement for a period of three years from January 1, 2021 to December 31, 2023, pursuant to which the Group and Tencent Computer agreed to:

COOPERATION FRAMEWORK AGREEMENT. Reference is made to the announcements of the Company dated 13 November 2019 and 8 March 2021 (the “Announcements”) in relation to the entering into of a cooperation framework agreement (the “Cooperation Framework Agreement”) with Guangzhou Zhifeng Technology Co., Ltd.* (廣州智峰科技有限公司) (“Guangzhou Zhifeng”, a company incorporated in the PRC with limited liability). COOPERATION FRAMEWORK AGREEMENT. On 16 February 2016, the Subsidiary, the Owner, the Project Company and the EPC Contractor entered into the Cooperation Framework Agreement pursuant to which the parties agreed to collaborate in relation to the Project according to the terms set out therein including the Project Price, the Prepayment and the timeline for completion of the Project. The parties also agreed that subject to, among other things, Construction Completion, the Owner and the Subsidiary shall enter into a sale and purchase agreement for the Equity Transfer. As the applicable ratios set out in Rule 14.07 of the Listing Rules in respect of the Cooperation Framework Agreement and the transactions contemplated thereunder are more than 5% and all of such ratios are below 25%, the Cooperation Framework Agreement and the transactions contemplated thereunder constitute a discloseable transaction for the Company under Chapter 14 of the Listing Rules and are therefore subject to the notification and announcement requirements under Chapter 14 of the Listing Rules.

COOPERATION FRAMEWORK AGREEMENT. On 6 May 2022, the Company entered into the Cooperation Framework Agreement with CMC and Huaren Wenhua pursuant to which the Group, and CMC and/or Huaren Wenhua and/or their respective Associated Companies may cooperate in (i) the Investment Projects and (ii) the Artistes Engagement. With its unique digital operating platform driven by artificial intelligence and big data, Xxxxxx assists in transforming and upgrading traditional catering companies with an aim to unify their payment channels, membership systems, marketing and promotion, quality control services and brand images, and provides operational and promotional services to them in an efficient and professional manner. To the best knowledge, information and belief of the Directors, having made all reasonable enquiries, Misnew and its ultimate beneficial owners are third parties independent of and not connected with the Company and its connected persons (as defined under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “Listing Rules”)) as at the date of this announcement.
