Business Cooperation. Each Party agrees to cooperate with each other in certain business relating to commercial property sector in China after the completion of the Separation and Distribution in accordance with the business cooperation agreement, a form of which is attached hereto as Exhibit B.

Business Cooperation. Party A and Party B unanimously agree that the proposed cooperation shall be the internet-based sale and promotion of tour products conducted by Party A and its subsidiaries or other value-added business carried out by Party A. Party B shall provide the business consultancy and technical services as well as the technical consultancy as set forth in Article 3 hereinafter to Party A and its subsidiaries to facilitate them to conduct the aforementioned business and supply relevant products and services.

Business Cooperation. 1. The Parties shall encourage stronger business-to-business linkages and enhance government-business linkages through two-way visits and activities involving business, including in the ASEM context. 2. This cooperation shall, in particular, aim at improving the competitiveness of small and medium-sized enterprises ("SMEs"). This cooperation may include, inter alia: (a) stimulating transfers of technology; (b) exchanging good practices on access to finance; (c) promoting corporate social responsibility and accountability; and (d) developing the existing cooperation on standards and conformity assessment. 3. The Parties agree to facilitate and develop dialogue and cooperation between their competent trade and investment promotion agencies.

Business Cooperation. The Parties may exchange public business information, upon the request of the other party on issues such as business environment, government credit guarantee policy, etc.

Business Cooperation. 1. The Parties, taking into account their respective economic policies and objectives, agree to promote industrial policy cooperation in all fields deemed suitable particularly with a view to improving the competitiveness of small and medium-sized enterprises (SMEs), inter alia, through: a) exchanging information and experiences on creating framework conditions for SMEs to improve their competitiveness and on procedures related to the creation of SMEs; b) promoting contacts between economic operators, encouraging joint investments and establishing joint ventures and information networks notably through existing programmes; c) facilitating access to finance and marketing, providing information and stimulating innovation; d) facilitating the activities established by SMEs of both sides; e) promoting corporate social responsibility and accountability and encouraging responsible business practices, including sustainable consumption and production. 2. The Parties shall facilitate the relevant cooperation activities established by the private sectors of both sides.

Business Cooperation. 1.1 As agreed by both parties, Party B leases the HASH computer servers (hereinafter referred to as the “Servers”) to Party A. Party A, as the lessee, will display it on its platform and provide cloud computing power services to the users of Party A in the name of Party A. 1.2 Both parties agree that Party A will remotely invoke the Servers provided by Party B for Party A’s cloud computing power service operation, sales and promotion etc. 1.3 According to its own business plan, Party A shall propose Party A’s Server rental demand for the next quarter to Party B at least one month in advance before the end of every quarter; Meanwhile, Party B shall provide Party A with a list of Servers available for lease. After both Parties’ confirm and agree, they shall sign the Minimum Guarantee Commitment of lease amount for next quarter. 1.4 At the end of every month, Party A estimates the computing power quantity of the next month and make purchase order to Party B. Party B shall distribute the computing power to Party A in timely basis according to the estimated purchase number of Party A. The actual amount of rental Server and time shall be confirmed in writing by both parties at the beginning of next month. 1.5 The Server rental price and related services fee price under this contract fluctuate every, which shall be subject to price in the purchase order of the next [***] confirmed at the end of each [***]. 1.6 Party A can adjust the pricing of its cloud computing power products on Party A’s platform in timely basis according to Party A’s own pricing model and considering the market price.

Business Cooperation. The business cooperation agreement between Tencent or any of its Affiliates and the Company or any of its Affiliates shall have been duly executed.

Business Cooperation. 5.1 Full-scenario payment and settlement cooperation in the industry chain: Based on the advantage of payment license owned by CHANPAY (Party A’s affiliated party), and in combination with the scenario payment and settlement needs of Party B’s automotive aftermarket industry chain, Party A and Party B shall jointly discuss and design the account system, and the payment and settlement scheme centering on the multi-subject and multi-link between B-sides, and help hundreds of thousands of industry entities in the automotive aftermarket through the innovative design of the underlying account system and payment settlement to improve payment and settlement efficiency, save payment and settlement channel fees, gradually promote the online and digital payment and settlement in the automotive aftermarket, and truly realize the integration of the capital flow, order information flow and delivery logistics of the automotive aftermarket; 5.2 Insurance business cooperation: Based on the insurance brokerage license owned by Party A’s affiliated party, and in combination with Party B’s integrated business of maintenance, repair and distribution of asset-light and operation-heavy strategy, Party A and Party B shall jointly discuss and design innovative solutions and products related to auto insurance, including online underwriting of national auto insurance, auto insurance claim settlement and repair, financial and tax treatment of auto insurance, etc.. In addition, Party A and Party B shall design a closed-loop point system centering on the underwriting commission, and loss assessment and claim service fee based on the aforementioned payment and settlement scheme; 5.3 Platform product cooperation: The platform docking between Party A and Party B shall be based on the mature products such as the financial cloud of Party A’s group.
