Covenants and Representations of the Company. The Company covenants and agrees as follows:
Covenants and Representations of the Company. (a) From the date of this Agreement, the Company shall not, without the prior written consent of the holders of at least a majority of the outstanding Registrable Securities held by the Holders, enter into any agreement with any holder or prospective holder of any securities of the Company which gives such holder or prospective holder rights that are superior to, or which adversely affect, the rights granted under this Agreement; provided however, that the foregoing covenant shall be null and void upon the earlier of (i) the Registration of the Registrable Shares pursuant to Section 2.1; (ii) the Registration of the Registrable Shares pursuant to Section 2.2; (iii) the availability for resale of the Registrable Shares pursuant to Rule 144, or other applicable rule.
Covenants and Representations of the Company. (i) All shares which may be issued upon the exercise of the rights represented by this Warrant will, upon issuance in accordance with the terms hereof, be fully paid and nonassessable and free from all taxes, liens and charges with respect to the issue thereof (other than taxes in respect of any transfer occurring contemporaneously with such issue.
