Customer Representation. I am at least 18 years old and fully authorized to enter into this Agreement. I am the authorized account holder or have been given proper and binding authorization to change the Services and enter into this Agreement on behalf of the account holder.
Customer Representation. Customer warrants and represents that this Agreement and all purchase orders, Patient Orders, amendments, and other documents provided hereunder has been and shall be duly executed by its duly authorized officers or agents, and that NxStage shall be entitled to rely on and perform under all such documents. Customer further represents that Fresenius USA Marketing, Inc. is the primary entity through which Fresenius Medical Care AG & Co. KGaA, and its subsidiaries, sell renal products (including dialysis equipment and related disposables) in the United States.

Customer Representation. Customer represents and warrants that on each date that it enters into a transaction with Royal Bank:
(i) it has the requisite power and authority and is duly authorized to execute and deliver the Agreement, to use the Service and to enter into and execute each transaction on the Service;
(ii) it is knowledgeable about the currencies traded or routed or referred to by use of the Service and understands and accepts the terms, conditions and the risks relating to electronic trading and the use of the Service or any portion thereof;
(iii) it has obtained, or will prior to entering into any transaction obtain, all regulatory and other consents and all necessary exchange control permissions to enable it to enter into and fulfill its obligations in respect of such transaction;
(iv) the execution, delivery and performance of the Agreement and the execution of each transaction shall not violate any applicable law, regulation, rule, authority or ordinance, by-law or internal policy applicable to Customer;
(v) it understands that Royal Bank or its affiliates may be active participants in the markets for the foreign currencies that are the subject of transactions executed through the Service;
(vi) it understands that the prices or rates posted on the Service are not to be used for valuation purposes and should not be relied upon for such purposes;
(vii) that it is acting for its own account, and has made its own independent decision to enter into the Agreement and any transaction using the Service based upon its own judgment and upon the advice of any advisors as it has deemed necessary;
(viii) it understands that Royal Bank is not acting as principal and not as an agent, fiduciary or advisor, and Xxxxxxxx is not relying on any communication (written or oral) of Royal Bank as investment advice, a recommendation to enter into a transaction or an assurance of expected results of a transaction; and
(ix) if it is located in the European Economic Area, then it understands that Royal Bank will not be providing “best execution” (as set out in the Markets in Financial Instruments Directive 2004/39/EC); and
(x) if it is located in Australia or is dealing with Royal Bank of Canada, Sydney Branch,
(a) it is a wholesale client, as defined in the Corporations Act 2001 (as amended from time to time),
(b) it will remain a wholesale client for as long as it uses the Service and
(c) it acknowledges that should it cease to be a wholesale client, or be unable at any time to produce evi...
Customer Representation. Customer represents and warrants that the Collateral will not be subject to any other liens or encumbrances other than those granted to the Bank under the Custodian Agreement.
Customer Representation. Customer represents that you possess the legal right and ability to enter into this Agreement and are authorized to act on behalf of your company. You also agree to provide Nu-TEL with your company name, address, phone number, email addresses, and other such company information and that this information is correct and for business use only. You understand that Nu-TEL relies on this accurate information to register phone numbers for the purposes of E911 routing to the proper emergency personnel (fully detailed below). You agree to immediately provide Nu-TEL with any information changes that may occur such as, but not limited to, physical address, email addresses, contact information, and credit card numbers and expiration dates. Failure to provide this information may result in the termination of Service.

You represent and warrant that you are at least 18 years old or, as applicable, the age of majority in the country, state or province in which you reside, and are legally entitled to and have all necessary power and authority to enter into this agreement. You represent and warrant that your name, user name, contact information and location are true and accurate. You agree to be financially responsible for your use of the Services (as well as for use of your account by others, including minors living with you). In order to use the Service, you agree, at your sole expense: to 1) provide and be responsible for payment for all equipment and service fees necessary to establish a connection to the Internet and/or to the Publicly Switched Telephone Network ('PSTN'), as may be required to use the Service; 2) supply and pay for all phone service features required for your use of the Service; and 3)
Customer Representation. Customer acknowledges and agrees that the employees of SKYWIRE constitute a valuable asset of SKYWIRE. Accordingly, Customer agrees not to make any offer(s) of employment to, nor enter into a consulting relationship with, any current employee of SKYWIRE or any former employee who was employed or retained by SKYWIRE within the immediately preceding three- hundred sixty-five (365) days who either: (i) provided services to Customer under or in connection with this Agreement; or (ii) was introduced to Customer during the performance of this Agreement.

Customer represents that (a) (if an individual), such person is of the age of majority, of sound mind, and authorized to open accounts and enter into this Agreement and to effectuate transactions in futures contracts as contemplated hereby; (b) if an entity, Customer is validly existing and empowered to enter into this Agreement and to effect transactions in futures contracts as contemplated hereby; (c) the statements and financial information contained on Customer’s Application submitted herewith (including any financial statement submitted therewith) are true and correct; (d) Customer has read, understands and has signed the CFTC Risk Disclosure Statements previously furnished by Broker; and (e) no person or entity has any interest in or control of any account of which this Agreement pertains except as disclosed in the Customer Information and Application (Customer Application). Customer further represents that, except as theretofore disclosed to Broker in writing, he is not an officer or an employee of any exchange board of trade, clearing house, bank or trust company or an “affiliated person” (as defined in the regulations of the CFTC) of any futures commission merchant, or an introducing broker, or an officer, partner, director, or employee of any securities broker or dealer. Customer agrees to furnish appropriate financial statements to Broker, to disclose to Broker any significant changes in the financial position of Customer and to furnish promptly such other information concerning Customer as broker reasonably request.
Customer Representation. Customer represents and warrants that: The execution, delivery and performance by Customer of this Agreement will not, in any material respect, violate or be in conflict with, result in a breach of or constitute (with or without notice or the lapse of time or both) a default under any contract to which Customer is a party or by which Customer is bound or affected; and If and to the extent Customer has submitted any Target Image to Zygote, Customer has the right to submit the Target Image to Zygote and to authorize Zygote to design and develop the Product in accordance with the requirements of the Product Requirements Document, and such actions will not directly or indirectly infringe upon or otherwise violate the rights of any third party, including by way of illustration but not limitation, the patent, trademark, copyright, trade secret or other intellectual property rights or protections of law of any third party anywhere in the world. Change Orders. Zygote shall not be obligated to perform any extra work not covered by the Product Requirements Document or to make any additions, omissions, changes or alterations to any Product Requirements Document without a written Change Order signed by both Zygote and Customer. Any Change Order shall correspondingly extend the timetable for completion of the work and, unless otherwise expressly agreed in a written Change Order, Zygote reserves the right to charge Customer for Zygote’s labor and materials costs arising from or related to services performed under any Change Order, at Zygote’s then current labor and materials rates, and Customer agrees to pay for such charges within thirty (30) days of receipt of Zygote’s invoice.
