Customer Representation. I am at least 18 years old and fully authorized to enter into this Agreement. I am the authorized account holder or have been given proper and binding authorization to change the Services and enter into this Agreement on behalf of the account holder.
Customer Representation. Customer acknowledges and agrees that the employees of SKYWIRE constitute a valuable asset of SKYWIRE. Accordingly, Customer agrees not to make any offer(s) of employment to, nor enter into a consulting relationship with, any current employee of SKYWIRE or any former employee who was employed or retained by SKYWIRE within the immediately preceding three- hundred sixty-five (365) days who either: (i) provided services to Customer under or in connection with this Agreement; or (ii) was introduced to Customer during the performance of this Agreement. If Customer employs or retains (through a consulting agreement or otherwise) an employee of SKYWIRE, Customer shall immediately pay SKYWIRE, solely for violation of this Section 40, an amount equal to fifty percent (50%) of the total salary paid by SKYWIRE to such employee in the three-hundred sixty-five (365) days immediately preceding such recruitment. Customer agrees that the provisions of this Section 40 shall not preclude or limit any other available actions at law or in equity, including, without limitation, any form of damages or any injunctive or equitable relief, for misappropriation of trade secrets, unfair competition, breach of contract or other cause(s) of action arising from or out of the hiring or recruitment of SKYWIRE’s employees. Notwithstanding the foregoing, it shall not be a breach of this Agreement for Customer to hire an employee (or former employee) of SKYWIRE with the express written consent of SKYWIRE. MISCELLANEOUS
Customer Representation. Customer warrants and represents that this Agreement and all purchase orders, Patient Orders, amendments, and other documents provided hereunder has been and shall be duly executed by its duly authorized officers or agents, and that NxStage shall be entitled to rely on and perform under all such documents. Customer further represents that Fresenius USA Marketing, Inc. is the primary entity through which Fresenius Medical Care AG & Co. KGaA, and its subsidiaries, sell renal products (including dialysis equipment and related disposables) in the United States.
Customer Representation. You represent and warrant that you are at least 18 years old or, as applicable, the age of majority in the country, state or province in which you reside, and are legally entitled to and have all necessary power and authority to enter into this agreement. You represent and warrant that your name, user name, contact information and location are true and accurate. You agree to be financially responsible for your use of the Services (as well as for use of your account by others, including minors living with you). In order to use the Service, you agree, at your sole expense: to 1) provide and be responsible for payment for all equipment and service fees necessary to establish a connection to the Internet and/or to the Publicly Switched Telephone Network ('PSTN'), as may be required to use the Service; 2) supply and pay for all phone service features required for your use of the Service; and 3)
Customer Representation. Technical Point of Contact Customer agrees that Customer will identify in writing a Technical Point of Contact with the necessary authority to approve and authorize performance of work as described herein on behalf of the Customer. Customer further agrees that any changes to this contact will be communicated in writing.

Customer Representation. Customer represents that you possess the legal right and ability to enter into this Agreement and are authorized to act on behalf of your company. You also agree to provide Nu-TEL with your company name, address, phone number, email addresses, and other such company information and that this information is correct and for business use only. You understand that Nu-TEL relies on this accurate information to register phone numbers for the purposes of E911 routing to the proper emergency personnel (fully detailed below). You agree to immediately provide Nu-TEL with any information changes that may occur such as, but not limited to, physical address, email addresses, contact information, and credit card numbers and expiration dates. Failure to provide this information may result in the termination of Service.
Customer Representation. Customer represents and warrants that the Collateral will not be subject to any other liens or encumbrances other than those granted to the Bank under the Custodian Agreement.
Customer Representation. You represent and warrant that any information contained in the purchase of or registration for the Software is true and correct. The Company reserves the right to terminate this Agreement at any time, if it should determine that any such information was or is untrue.
