Without limiting Licensee ’s right to modify, enhance and supplement the Licensed Service and the functionality thereof, Licensee shall have the right to (i) use framing and/or navigational technology (including, without limitation, the DVR Functionality Tool Bar and the service guide) in connection with the playback by the Customer of any Included Program, (ii) allow Customers to elect to receive from Licensee and/or display any Customer Selected Overlays, (iii) allow Customers to select and display themes and gamer tiles, (iv) use data compression technology in connection with the delivery of the Licensor Content, and (v) afford the Customer the ability to modify the aspect ratio and resolution of Licensor Content during playback thereof; provided, that each of the foregoing is applied consistently to all Other Motion Picture Providers’ motion picture content made available on the Licensed Service on a Video-On-Demand basis. Licensor acknowledges and agrees that such framing and/or navigational technology (including, without limitation, the DVR Functionality Tool Bar and the service guide), Customer Selected Overlays, themes and/or gamer tiles may overlay, underlay, interrupt, dim, modify and/or obscure the playback by the Customer of the audio and/or video of any Licensor Content. No exhibition of any Included Program hereunder shall be interrupted for intermission, commercials or any other similar commercial announcements of any kind, and none of Licensee, Licensor or any third party shall be permitted to insert any commercial messages or promotions before, after or into any Included Program; [provided, that for sake of clarity, (i) the exhibition of each Included Program may be preceded and/or followed by a production card which indicates the applicable Licensed Service Brand; and (ii) the exhibition of each Included Program may be preceded by a video clip consisting of (a) the Licensed Service Brand (which may also include a “category open”, i.e., in which “mood” or category the Included Program is included)],), and/or (b) a promotional asset for: (y) the Licensed Service generally, and/or (z) one or more categories and titles that are then-currently available for viewing on the Licensed Service, and none of the above actions shall be a violation of this Section 12.

Subject to Clause 11.2, Licensee shall not make, or authorize any others to make, any modifications, deletions, cuts, alterations or additions in or to any Included Program without the prior written consent of Licensor. For the avoidance of doubt, no panning and scanning, time compression or so-called “up-conversion” (except as stated in Clause 2.6 of Schedule B) and similar modifications shall be permitted. Without limiting the foregoing, Licensee shall not delete the copyright notice or credits from the main or end title of any Included Program or from any other materials supplied by Licensor hereunder. No exhibition of any Included Program hereunder shall be interrupted for intermission, commercials or any other similar commercial announcements of any kind (namely no pre/mid/post roll advertising nor shall any advertising be displayed on the same page/window of the SVOD Service from which the Included Program is viewed). Nothing herein shall prevent Licensee from promoting other content available on the SVOD Service (provided such promotion does not occur before or during the transmission of the Included Program, after a user has initiated full playback of such Included Program and before a user pauses/stops such playback). Further, notwithstanding anything to the contrary in this clause, but without in any way limiting Licensee’s security obligations pursuant to Section 10 or Licensee’s indemnification obligations pursuant to Section 15.2, neither Licensee nor its affiliates shall be responsible or liable for any acts or omissions of, or resulting from a consumer’s use of, an Approved Device and/or any third party software which alters the effect of the placement of advertising in accordance with this clause 11 (including any Application or Playback Client) (e.g., a user’s use of functionalities inherent in his or her Approved Device).

No exhibitions of any Included Program hereunder shall be interrupted for intermission, commercials or any other similar commercial announcements of any kind.

Notwithstanding the foregoing, Licensee shall be entitled to insert a promotional card displaying Licensee’s logo or brand name prior to the Included Program provided that such promotional card runs for no longer than 3 seconds.
