VOD Availability Date. The VOD Availability Date for each Current Feature will be no later than day and date with any Other VOD ProviderDistributor (including Licensor) in the Territory; provided, however, that Licensor may authorize an earlier availability date for a Current Feature by such a third party Other VOD Provider Distributor in the Territory solely in the event that: (i) such earlier availability date is no later than 30 days after such Current Feature’s Home Video Street Date and (ii) if such Other VOD ProviderDistributor has agreed to offer Licensor minimum financial guarantees and/or more favorable financial, content protection, marketing, promotion, exhibition commitments revenue splits and/or other more favorable financial terms (other than terms relating to the timing of payment) and/or commitments as to the number of exhibitions and/or length of viewing period or window and/or marketing commitments(“Early VOD Avail Terms) which defined term shall also include all terms and conditions regarding copy protection in the event that such earlier VOD availability date occurs earlier than 30 days after U.S. home video street date); provided that Licensee is offered the opportunity to have the same VOD availability date upon matching such Early VOD Avail Terms. For the avoidance of doubt, the provisions of this Section 5.2 shall not be triggered by the customary hotel window that customarily precedes the window granted hereunder or any exhibition on a reasonably limited/testTest basis.
VOD Availability Date. The VOD Availability Date for each VOD Included Program in the applicable Territory shall be as determined by Licensor in its sole discretion; provided that the VOD Availability Date for each Current Film shall be no later than the date on which a program is first generally made available by Licensor in the “standard” residential VOD window on a non-exclusive basis for VOD distribution in the applicable Territory (i.e., the availability date for other residential VOD distributors who do not pay additional consideration of more than a de minimus amount for an earlier date or who are not granted exhibition rights on a limited test basis).

VOD Availability Date of the VOD Principal Terms shall be deleted in its entirety and replaced with the following: “The VOD Availability Date for each VOD Included Program shall be as determined by Licensor in its sole discretion; provided, however, that the VOD Availablity Date for: (a) each Premium Current Feature shall be (i) no less than two (2) weeks prior to its LVRS if the LVRS occurred 104 days or more after its theatrical release in the Territory, or (ii) 90 days after its theatrical release in the Territory if the LVRS occurred less than 104 days after its theatrical release in the Territory; and (b) each Current Feature that is not a Premium Current Feature shall be no later than its LVRS.”

  • Minimum Availability Borrower shall have minimum availability immediately following the initial funding in the amount set forth on the Schedule.

If funds become unavailable through the lack of appropriations, legislative or executive budget cuts, amendment of the Appropriations Act, state agency consolidation or any other disruptions of current appropriations, DFPS will reduce or terminate this Contract.

  • System Availability Although we will try to provide continuous access to the Service, we cannot and do not guarantee that the Service will be available 100% of the time and will not be liable in the event Service is unavailable. Actual service or network performance is dependent on a variety of factors outside of our control. If you notify us within twenty-four (24) hours and we confirm an outage consisting of a period of two (2) hours in any calendar month, and not due to any service, act, or omission of you, a third party, your applications, equipment or facilities, or reasons outside of our control, you shall be eligible for a service credit. A service credit shall be computed as a pro-rated charge for one day of the regular monthly fees for the Service in the next monthly statement. Intermittent service outages for periods of less than two (2) hours are not considered service outages. Outages caused by routine scheduled maintenance are also not considered an outage. You shall receive advance notice no less than forty-eight (48) hours in advance of our scheduled maintenance. Scheduled maintenance will be performed between 12:00 a.m. and 6:00 a.m. CST.

  • High Availability Registry Operator will conduct its operations using network and geographically diverse, redundant servers (including network-­‐level redundancy, end-­‐node level redundancy and the implementation of a load balancing scheme where applicable) to ensure continued operation in the case of technical failure (widespread or local), or an extraordinary occurrence or circumstance beyond the control of the Registry Operator. Registry Operator’s emergency operations department shall be available at all times to respond to extraordinary occurrences.

  • Service Availability You understand that Service availability is at all times conditioned upon the corresponding operation and availability of the communication systems used in communicating your instructions and requests to the Credit Union. We will not be liable or have any responsibility of any kind for any loss or damage thereby incurred by you in the event of any failure or interruption of such communication systems or services resulting from the act or omission of any third party, or from any other cause not reasonably within the control of the Credit Union.
