D elivery. Following receipt of all required license fees and completion or (if applicable) acceptance of the professional services under the Statement of Work, SiFive will deliver the Licensed Technology pursuant to the delivery method stated in the Commercial Terms.

(c) Seller may, in its sole discretion, without liability or penalty, make partial shipments of Goods to Buyer. Each shipment will constitute a separate sale, and Buyer shall pay for the units shipped whether such shipment is in whole or partial fulfillment of Buyer's purchase order. (d) If for any reason Seller is unable to deliver the Goods at the Delivery Point because Buyer has not provided appropriate freight carrier transportation instructions, documents, licenses or authorizations: (i) the Goods shall be deemed to have been delivered; and (ii) Seller, at its option, may store the Goods until Buyer picks them up, whereupon Buyer shall be liable for all related costs and expenses (including, without limitation, storage and insurance).
D elivery. Delivery to the carrier at the Plants or Factory shall constitute delivery to Purchaser. The securing of the goods onboard the carrier shall be deemed to have occurred subsequent to delivery. Risk of loss and damage shall pass to Purchaser upon delivery of the goods to the carrier, or upon receipt by Seller of Purchaser’s directive to place the goods purchased hereunder in storage. Xxxxxxxxx understands and agrees that delivery dates are estimated and approximate. Purchaser authorizes Seller to execute any shipper’s or carrier’s standard bill of lading or contract for carriage of the goods purchased hereunder.
D elivery. The normal shipping date of the Products herein quoted, dates from the receipt by NYMAT of an appropriate purchase order, and our acceptance of same, and with respect to special items, dates from the receipt by us of all information necessary to the design and manufacture of such equipment. Shipping schedules are not guaranteed and are best estimate only. All shipments are subject to the unavoidable delays caused by strikes, accidents, or other causes beyond our control, including any United States Government priority system. D elivery. Seller shall deliver the Products F.O.B. Seller factory and, if the Products are sold to a Customer outside the United States, shall clear the Products for export destined outside the United States. Customer shall pay all freight charges, applicable import duties, and other necessary fees and shall bear the risks of carrying out customs formalities and clearance. Orders are entered as close as possible to the Customer's requested shipment date, if any. Shipment dates are scheduled after acceptance of orders and receipt of necessary documents. Claims for shipment shortage shall be deemed waived unless presented to Seller in writing within forty-five (45) days of shipment.
D elivery. Delivery by Vendor of the Deliverables shall be as shown in the "Ship to" block on the face of this Purchase Order or as otherwise directed by Company. Unless otherwise specified on the face of this Purchase Order, all products will be packaged by Vendor in suitable containers to permit safe and secure transportation and handling. Time is of the essence. Delivery shall be strictly in accordance with the schedule set forth in the Purchase Order. Vendor shall expend its best efforts to conform to the mutually agreed upon delivery date or dates. Items delivered more than fifteen (15) days prior to the Purchase Order item delivery schedule, may at Company's option, be returned to Vendor at Vendor's expense. Vendor agrees to notify Company as soon as possible after Vendor becomes aware that it will not be able to deliver any or all of the Deliverables on the date specified for delivery, and Company may thereupon at its sole discretion (a) terminate this purchase order in whole or in part without liability to Company and without waiving any rights to recover damages (including incidental and consequential damages) under the Uniform Commercial Code ("UCC") as adopted in the State of Washington, or (b) require Vendor to use additional effort, including premium effort, and shall ship via air or other expedited routing to avoid or to minimize delay to the maximum extent possible and all at no charge to Company or change in the price and without prejudice to any of Company's rights or remedies, whereupon Vendor shall use such efforts.
D elivery. The Vendor shall promptly provide the Purchaser with a complete and accurate copy of: (a) the source code for each of the Assets (collectively, the “Source Code”); (b) the Documentation; and (c) the Login Information.
