D elivery. Delivery to the carrier at the Plants, Factory or Distribution Center shall constitute delivery to Purchaser. The securing of the goods onboard the carrier shall be deemed to have occurred subsequent to delivery. Risk of loss and damage shall pass to Purchaser upon delivery of the goods to the carrier, or upon receipt by Seller of Purchaser’s directive to place the goods purchased hereunder in storage. Xxxxxxxxx understands and agrees that delivery dates are estimated and approximate. Purchaser authorizes Seller to execute any shipper’s or carrier’s standard bill of lading or contract for carriage of the goods purchased hereunder.
D elivery. Except as otherwise provided in the applicable Order Form, the Delivery Date shall not be later than thirty (30) days after the Order Form Date.
D elivery. Following receipt of all required license fees and completion or (if applicable) acceptance of the professional services under the Statement of Work, SiFive will deliver the Licensed Technology pursuant to the delivery method stated in the Commercial Terms.
D elivery. Contractor shall deliver, install and implement the Licensed Software Programs in accordance with all Order Form(s) issued hereunder.
D elivery. Except as otherwise provided in the applicable IPA, INSOURCE will deliver the Licensed Software on the Delivery Date which shall not be later than thirty (30) days following the IPA Date or such longer time as may be agreed between INSOURCE and Licensee.
D elivery. Seller shall deliver the Goods to Buyer on the date(s) indicated the Purchase Order. If Seller anticipates that it will not deliver the Goods on the date(s) indicated, then Seller shall immediately notify Buyer by the fastest means available of the anticipated delay and the anticipated delivery date. Notwithstanding the foregoing, if Seller fails to deliver on the date(s) indicated the Purchase Order, Buyer may terminate the Purchase Order and pursue other remedies. All Goods shall be delivered F.O.B for domestic shipments, and DDP (Incoterms) for international shipments, to the destination designated by Buyer in the Purchase Order. Title and risk of loss shall remain with Seller until the Goods, complete and non-defective, are delivered to Buyer, its designated consignee or agent, regardless whether Buyer has made prior payment for such Goods. Seller shall mail bills of lading and shipping notices directly to Buyer’s designated destination on the day of shipment. Bills of lading shall indicate the applicable Purchase Order number. Buyer may require adherence to its routing instructions, and any savings resulting from such adherence shall be for the benefit of Buyer. Seller, or the carrier it uses to deliver the items, shall (a) maintain a “satisfactory” safety rating from relevant bodies as required by Buyer and shall provide Buyer with written proof of such rating upon request, and (b) shall maintain comprehensive general liability, personal injury and property damage insurance in at least the amounts required by the insurance section herein or any greater amounts required by any regulatory agency.
D elivery. (a) The Goods will be delivered within a reasonable time after the receipt of Buyer's purchase order. Seller shall not be liable for any delays, loss, or damage in transit.
D elivery. Delivery by Vendor of the Deliverables shall be as shown in the "Ship to" block on the face of this Purchase Order or as otherwise directed by Company. Unless otherwise specified on the face of this Purchase Order, all products will be packaged by Vendor in suitable containers to permit safe and secure transportation and handling. Time is of the essence. Delivery shall be strictly in accordance with the schedule set forth in the Purchase Order. Vendor shall expend its best efforts to conform to the mutually agreed upon delivery date or dates. Items delivered more than fifteen (15) days prior to the Purchase Order item delivery schedule, may at Company's option, be returned to Vendor at Vendor's expense. Vendor agrees to notify Company as soon as possible after Vendor becomes aware that it will not be able to deliver any or all of the Deliverables on the date specified for delivery, and Company may thereupon at its sole discretion (a) terminate this purchase order in whole or in part without liability to Company and without waiving any rights to recover damages (including incidental and consequential damages) under the Uniform Commercial Code ("UCC") as adopted in the State of Washington, or (b) require Vendor to use additional effort, including premium effort, and shall ship via air or other expedited routing to avoid or to minimize delay to the maximum extent possible and all at no charge to Company or change in the price and without prejudice to any of Company's rights or remedies, whereupon Vendor shall use such efforts.
D elivery. Seller shall deliver the Products F.O.B. Seller factory and, if the Products are sold to a Customer outside the United States, shall clear the Products for export destined outside the United States. Customer shall pay all freight charges, applicable import duties, and other necessary fees and shall bear the risks of carrying out customs formalities and clearance. Orders are entered as close as possible to the Customer's requested shipment date, if any. Shipment dates are scheduled after acceptance of orders and receipt of necessary documents. Claims for shipment shortage shall be deemed waived unless presented to Seller in writing within forty-five (45) days of shipment.
D elivery. The normal shipping date of the Products herein quoted, dates from the receipt by NYMAT of an appropriate purchase order, and our acceptance of same, and with respect to special items, dates from the receipt by us of all information necessary to the design and manufacture of such equipment. Shipping schedules are not guaranteed and are best estimate only. All shipments are subject to the unavoidable delays caused by strikes, accidents, or other causes beyond our control, including any United States Government priority system. All shipping schedules are subject to prior sale and should be confirmed with NYMAT at the time the order is placed. In the event of delays in shipment due to customer’s request, payment shall be due as quoted.
