Delivery Terms and Risk of Loss. (a) When shipment by express consignment courier (e.g., FedEx, DHL Express, etc.) is preferred, each Party shall ship the Materials or other goods, if applicable, at its own expense, using an express consignment courier (Courier) agreed to by the other Party. The shipping Party shall provide to the Courier for each article in the shipment documentation, as appropriate, that includes: (i) detailed description; (ii) statement of intended use;(iii) fair value; (iv) country of origin, if applicable; (v) name and address of manufacturer if different than shipper; (vi) contact information for both the sender and receiver of the shipment; and (vii) other information or documentation as required by the Courier to effect any necessary export and import clearances and enable transportation to the Material Receiving Party’s designated facility.

Delivery Terms and Risk of Loss. (a) Unless otherwise agreed to by the parties in writing, shipments of Products shall be delivered F.C.A. Seller’s warehouse within Japan (as per the 2000 Incoterms), and title and liability for loss or damage thereto shall pass to Purchaser upon Seller’s tender of delivery of such Products to a carrier for shipment to Purchaser, and any loss or damage thereafter shall not relieve Purchaser from any obligations hereunder.

Payments must be in accordance with the “Remit To” field on each invoice. Disputes as to invoices are deemed waived 15 days following the invoice date. Any disputes must be provided to King’s as soon as possible (in no event later than 15 days following the invoice date) and must be accompanied by detailed supporting information. In the event that any portion of an invoice is undisputed, such undisputed amount must be paid by no later than the invoice due date. Xxxx’x reserves the right to correct any inaccurate invoices. If Buyer is delinquent in payment to King’s, King’s may at its option (a) withhold performance until all delinquent amounts and service or late fees, if any, are paid; (b) repossess goods or software for which payment has not been made; (c) charge late fees on delinquent amounts at the lower of 1.5% per month or the maximum rate permitted by law, for each full or partial month; (d) recover all costs of collection, including but not limited to reasonable attorneys’ fees; (e) combine any of the above rights and remedies as may be permitted by applicable law. The late charge provides a reasonable compensation to Xxxx’x for the uncertain damages that Xxxx’x will incur as the result of Xxxxx’s late payment. In the event that an invoice (i) has not been timely and in good faith disputed by Xxxxx, and (ii) has not been timely paid by Buyer in accordance with this section, the purchases to which such invoice relates shall be deemed disqualified from any benefits under any program that King’s may make available from time to time. These remedies are in addition to those available at law or in equity. Xxxx’x may re-evaluate Xxxxx’s credit standing at any time and modify or withdraw credit.   • Delivery Terms All products sent to Customer shall be sent EX Works (EXW) or FCA Company’s facility in El Cajon, CA, and in domestic packing. Customer will bear and pay for all taxes of any nature imposed prior to, at the time of, or after delivery to, the carrier at the EXW point. Customer shall also bear and pay for all charges for freight, shipping, consular fees, customs duties, and all costs and charges. Customer must return the equipment in the same shipping container it was received in.

  • Delivery, Title and Risk of Loss Unless otherwise specified on the EDDYFI quotation, delivery is FCA (Manufacturing Site). In any case, delivery and risk of loss is in accordance with INCOTERMS 2010. Title to products shall pass to the Customer upon full payment of the invoice(s). In the absence of specific instructions, goods will be shipped via the carrier EDDYFI deems most practical. Debtor hereby assigns to Secured Party any monies which may become payable under any such policy of insurance and if an event of default has occurred and is continuing hereunder, then Debtor irrevocably constitutes and appoints Secured Party as Debtor's attorney in fact (a) to make, settle and adjust claims under each policy of insurance, (b) to make claims for any monies which may become payable under such and other insurance on the Collateral including returned or unearned premiums, and (c) to endorse Debtor's name on any check, draft or other instrument received in payment of claims or returned or unearned premiums under each policy and to apply the funds to the payment of the indebtedness owing to Secured Party; provided, however, Secured Party is under no obligation to do any of the foregoing; and provided further however, if an event of default has not occurred and is not continuing hereunder, then Debtor is permitted to handle all insurance claims. Debtor shall provide to Secured Party a true copy of each insurance policy. Should Debtor fail to maintain such policy in full force and provide evidence thereof to Secured Party, or to pay any premium in whole or in part relating thereto, then Secured Party, without waiving or releasing any default or obligation by Debtor, may (but shall be under no obligation to) obtain and maintain insurance and pay the premium therefor on behalf of Debtor and charge the premium to Debtor's indebtedness under this Security Agreement. The full amount of any such premium paid by Secured Party shall be payable by Debtor upon demand, and failure to pay same shall constitute an event of default under this Security Agreement.
