Developer’s Experience. Developer warrants and represents that its personnel are fully experienced and properly qualified to construct or cause Construction of the Hotel and Garage and that it is equipped, organized and financed to complete or cause completion of all Construction Work as set forth in the Plans and Specifications and in accordance with the Requirements and that it will use duly licensed design professionals and Contractors in connection therewith. Developer shall be and act as an independent contractor and not as the agent of County in performing this Agreement, maintaining complete control over its employees, agents, and other representatives, and all of its Contractors. Except for County’s intended third party beneficiary status under all Construction Agreements, nothing contained in this Agreement or in any Construction Agreement shall create any contractual or other relationship between any such Contractor and County. Developer represents and warrants that all Construction Agreements entered into shall incorporate by reference the terms and conditions of this Agreement and, further warrants that County is and shall be an intended third party beneficiary of any such Construction Agreement.

  • Investment Experience Holder understands that the purchase of this Warrant and its underlying securities involves substantial risk. Holder has experience as an investor in securities of companies in the development stage and acknowledges that Holder can bear the economic risk of such Holder’s investment in this Warrant and its underlying securities and has such knowledge and experience in financial or business matters that Holder is capable of evaluating the merits and risks of its investment in this Warrant and its underlying securities and/or has a preexisting personal or business relationship with the Company and certain of its officers, directors or controlling persons of a nature and duration that enables Holder to be aware of the character, business acumen and financial circumstances of such persons.

  • Prior Experience 3.4.6 The teacher is responsible for providing proof of experience satisfactory to the School Division in accordance with this article.
