Disclosure Required by Applicable Law. If disclosure of Confidential Information beyond that expressly authorized in this Agreement is required by Applicable Law, that disclosure does not constitute a breach of this Agreement so long as Service Provider: (i) notifies Sponsor in writing as far as possible in advance of the disclosure so as to allow Sponsor to take legal action to protect its Confidential Information; (ii) discloses only that Confidential Information required to comply with the legal requirement; and (iii) continues to maintain the confidentiality of this Confidential Information with respect to all other third parties. Disclosure Required by Applicable Law. Section 10.1 shall not apply to Confidential Information which the Receiving Party is required by Applicable Law (including, without limitation, any reporting requirements arising under the federal securities laws or the regulations promulgated by any national securities exchange on which securities of the Receiving Party are traded), court order, or similar requirements to disclose, provided that the Receiving Party:
(a) provides the Disclosing Party with prompt written notice thereof such that the Disclosing Party may seek a protective order or other appropriate remedy with respect to such Confidential Information, including, without limitation, confidential treatment to the extent available under any Applicable Law, and the Receiving Party shall provide the Disclosing Party with reasonable cooperation in order to obtain such a protective order or other remedy, including confidential treatment, and
(b) discloses only that portion of the Confidential Information that is legally compelled to disclose.
Disclosure Required by Applicable Law. If disclosure of Confidential Information beyond that expressly authorized in this Agreement is required by Applicable Law, that disclosure does not constitute a breach of this Agreement so long as Institution and Principal Investigator: (i) notify Sponsor in writing as far as possible in advance of the disclosure so as to allow Sponsor to take legal action to protect its Confidential Information; (ii) discloses only that Confidential Information required to comply with the legal requirement; and (iii) continues to maintain the confidentiality of this Confidential Information with respect to all other third parties.
Disclosure Required by Applicable Law. (a) If CONTRACTOR is required to disclose any of COMPANY’s CONFIDENTIAL INFORMATION because it is ordered by courts, arbitrators, or governmental authorities, under APPLICABLE LAWS, CONTRACTOR will:
(i) give immediate notice to COMPANY so that COMPANY may oppose the requirement or seek a protective order or other confidential treatment; and
(ii) withhold disclosure, where it may do so, until COMPANY has had a reasonable opportunity to obtain a protective order or notify CONTRACTOR of its decision not to do so.
(b) Thereafter, CONTRACTOR will furnish only that part of COMPANY’s CONFIDENTIAL INFORMATION that is legally required to be furnished and will use reasonable endeavours to ensure confidential treatment is accorded to that which is furnished.
Disclosure Required by Applicable Law. Notwithstanding this Article 11, each Party may disclose the terms of this Agreement, including the identity of the Parties and the payment terms, to any governmental authority if the Party wishing to make such disclosure determines, upon advice of counsel, that such disclosure is reasonably necessary. The Party wishing to make such disclosure shall consult with the other Party prior thereto, unless the Party wishing to make such disclosure determines in its reasonable judgment that such consultation would be inappropriate in the circumstances.
Disclosure Required by Applicable Law. If a Receiving Party is required by applicable law to disclose any Confidential Information, such Receiving Party shall immediately give the other Party written notice of any such disclosure, which notice shall specify the circumstances and substance of the disclosure. The Party making such a disclosure shall use its best efforts to minimize the amount of Confidential Information disclosed and shall take all reasonable steps to prevent further disclosure of such Confidential Information. The Party disclosing such Confidential Information shall use reasonable efforts to obtain proprietary or confidential treatment of such information by the third party to whom the Confidential Information is disclosed and shall, to the extent such remedies are available, seek protective orders limiting dissemination and use of the Confidential Information. This Agreement does not alter the rights of either Party to challenge any applicable law requiring the disclosure.
Disclosure Required by Applicable Law. If either party is requested to disclose the Confidential Information in connection with a legal or administrative proceeding or is otherwise required by Applicable Law to disclose the Confidential Information, such party will give the other party prompt notice of such request. The disclosing party may seek an appropriate protective order or other remedy or waive compliance with the provisions of this Agreement. If such party seeks a protective order or other remedy, the other party will cooperate. If such party fails to obtain a protective order or waive compliance with the relevant provisions of this Agreement, the other party will disclose only that portion of Confidential Information which its legal counsel determines it is required to disclose.

Section 10.1 shall not apply to Confidential Information which the Receiving Party is required by Applicable Law (including, without limitation, any reporting requirements arising under the federal securities laws or the regulations promulgated by any national securities exchange on which securities of the Receiving Party are traded), court order, or similar requirements to disclose, provided that the Receiving Party:
Disclosure Required by Applicable Law. This Section is not to be construed as prohibiting the disclosure of the discloser's Confidential Information to the extent that such disclosure is necessary to enforce a party's rights under this Agreement or as required by applicable law. However, the recipient must first have given written notice of the required disclosure to the discloser as soon as practicable in order to afford the discloser an opportunity to obtain a protective order or waive compliance with this Section. If the discloser waives compliance, or otherwise, the recipient will disclose only that portion of the discloser's Confidential Information the recipient is legally required to disclose as advised by legal counsel. Additionally, the recipient will make, at the discloser's request and cost, a reasonable effort to obtain a protective order or assist the discloser in opposing or limiting any such disclosure.

If disclosure of Confidential Information beyond that expressly authorized in this Agreement is required by Applicable Law (e.g. Act no. 106/1999 Coll. on Free Access to Information), that disclosure does not constitute a breach of this Agreement so long as Health Service Provider notifies Sponsor and CRO in writing as far as possible in advance of the disclosure so as to allow Sponsor and CRO to take legal action to protect their Confidential Information, discloses only that Confidential Information required to comply with the Applicable Law requirements, and continues to maintain the confidentiality of this Confidential Information with respect to all other third parties. Jestliže platný zákon (např. zákon č. 106/1999 Sb., o svobodném přístupu k informacím) vyžaduje sdělení důvěrných informací nad rámec výslovného povolení touto smlouvou, není takové sdělení porušením této smlouvy, pokud poskytovatel zdravotních služeb písemně předem informuje o sdělení zadavatele a CRO co možná nejdříve, aby toto umožnilo zadavateli a CRO podniknout právní kroky s cílem ochránit své důvěrné informace, sdělí pouze ty důvěrné informace, které jsou požadovány, aby bylo vyhověno požadavkům platných zákonů, a dále bude zachovávat mlčenlivost těchto důvěrných informací ve vztahu ke všem dalším třetím stranám.
