DLL Operations. DLL’s primary business is cattle production. Recreation, including pioneer handcart trek activities and big game hunting on the Ranch is a secondary important part of Ranch operations. DLL has long practiced holistic management in order to preserve basic ecosystem health – including soils, vegetation, water and a diversity of wildlife and wildlife habitats. In recognition of these holistic ranching principles and practices, the Society for Range Management in 2006 awarded the Ranch the X.X. Xxxxxxxx Stewardship Award, the Society’s highest award for land stewardship. In 2008, the Ranch was designated by the National Audubon Society as a Global Important Bird Area, due to DLL’s conservation of significant populations of GSG and other avian species. Long-term ground and satellite-based range monitoring demonstrate that the long-practiced grazing management of carefully planned rests and rotational grazing, in combination with periodic vegetation treatments, has been effective in achieving Ranch management goals. Monitoring information and data on the primary habitat for the Covered Species reveals a heterogeneous mix of early, mid and late-seral vegetative conditions. Bare ground is in decline and has been replaced by species-diverse shrub and herbaceous vegetation and litter cover. These changes indicate an upward trend in functional condition of both upland and riparian habitats on the Ranch. Concurrently, since 1985, the number of GSG leks on the Ranch has increased and persisted (Table 1). Habitat conditions on the Ranch for GSG are in accordance with the conditions described in the Final CCAA Policy as a “property that is already in suitable condition for the Covered Species or [that] may already be doing the necessary conservation measures that will maintain its population or provide habitat.” Given the anticipated 30-year duration of the Agreement, DLL expects that agricultural and range management practices are likely to evolve, and that it is possible that new or additional treatments for grazing lands could be employed on the Ranch to meet livestock production and wildlife habitat and conservation goals. This includes the potential reintroduction of strains of native vegetation providing greater forage values for cattle, the Covered Species, and other species in order to supplement or supplant existing vegetation should such strains be identified or become available.1 DLL’s wildlife management program is focused on game and non-game species, and sp...

  • School Operations The School’s governing board shall be solely responsible for the operation of the school and exercise continuing oversight over the School’s operations. The School’s governing board will define and refine policies regarding educational philosophy, and oversee assessment and accountability procedures to assure that the School’s student performance standards are met or exceeded.

  • Interim Operations (a) The Company covenants and agrees as to itself and its Subsidiaries that, from and after the execution of this Agreement and prior to the Effective Time (unless Parent shall otherwise approve in writing, which approval shall not be unreasonably withheld, conditioned or delayed, and except as (1) required by applicable Law, (2) expressly required by this Agreement or (3) otherwise expressly disclosed in Section 6.1(a) of the Company Disclosure Letter), the Company shall use its reasonable best efforts to conduct its business and the business of its Subsidiaries in the ordinary course of business consistent with past practice and each of the Company and its Subsidiaries shall, subject to compliance with the specific matters set forth below, use reasonable best efforts to preserve its business organization intact and maintain the existing relations and goodwill with Governmental Entities, customers, suppliers, distributors, licensors, creditors, lessors, employees and business associates and others having material business dealings with it and keep available the services of the Company and its Subsidiaries’ present employees and agents. Without limiting the generality of, and in furtherance of, the foregoing, the Company covenants and agrees as to itself and its Subsidiaries that, from and after the date of this Agreement and prior to the Effective Time, except (A) as required by applicable Law, (B) as Parent may approve in writing (such approval not to be unreasonably withheld, conditioned or delayed), (C) as expressly disclosed in Section 6.1(a) of the Company Disclosure Letter or (D) as expressly provided for in this Agreement, the Company shall not and will not permit any of its Subsidiaries to:

  • Safe Operations Notwithstanding any other provision of this Agreement, an NTO may take, or cause to be taken, such action with respect to the operation of its facilities as it deems necessary to maintain Safe Operations. To ensure Safe Operations, the local operating rules of the ITO(s) shall govern the connection and disconnection of generation with NTO transmission facilities. Safe Operations include the application and enforcement of rules, procedures and protocols that are intended to ensure the safety of personnel operating or performing work or tests on transmission facilities.

  • Processing operations The personal data transferred will be subject to the following basic processing activities:

  • System Operations Each party, at its own expense, shall provide and maintain the equipment, software, services and testing necessary to transmit Data Communications to, and receive Data Communications from the parties’ respective Receipt Computers.

  • Business Operations Company will provide all necessary equipment, personnel and other appurtenances necessary to conduct its operations.   • Operations Fire An “Operations Fire” is a fire caused by Purchaser’s Operations other than a Neg- ligent Fire. Forest Service, except as provided in B7.3, shall use cooperative deposits under B4.218 to perform fire sup- pression activities on Operations Fires. Xxxxxxxxx agrees to reimburse Forest Service for such cost for each Opera- tions Fire, subject to a maximum of the dollar amount stated in A14. The cost of Purchaser’s actions, supplies, and equipment on any such fire provided pursuant to B7.3, or otherwise at the request of Forest Service, shall be credited toward such maximum. If Purchaser’s actual cost exceeds Purchaser’s obligation stated in A14, Forest Service shall reimburse Purchaser for the excess.

  • Synchronization, Commissioning and Commercial Operation 4.1.1 The Power Producer shall give at least thirty (30) days written notice to the SLDC and GUVNL, of the date on which it intends to synchronize the Power Project to the Grid System.

  • Operations Logs Seller shall maintain a complete and accurate log of all material operations and maintenance information on a daily basis. Such log shall include, but not be limited to, information on power production, fuel consumption, efficiency, availability, maintenance performed, outages, results of inspections, manufacturer recommended services, replacements, electrical characteristics of the generators, control settings or adjustments of equipment and protective devices. Seller shall maintain this information for at least two (2) years and shall provide this information electronically to Buyer within one day of Buyer’s request.

  • Geotechnical Services Engineer will obtain all necessary subsurface investigations, tests, reports, and perform related surveys.
