Management Practices. Oakland's existing rights, privileges, and responsibilities to manage its academic and non-academic operations not specifically delineated by this Agreement shall continue in full force and effect. If specific terms of this Agreement conflict with such rights, privileges, and responsibilities, then the specific terms of this Agreement shall be controlling to the extent necessary to resolve such conflict; but this Agreement in all cases shall be interpreted so as not to deprive Oakland of its legal authority to control all final decisions regarding its academic and non-academic programs.

Scientific evidence has not identified any differences in udder or leg hygiene, somatic cell count or prevalence of intramammary pathogens that could be attributed to tail docking. Tail docking causes pain or discomfort, and neuroma formation, risk of post-operative infections and loss of ability to control flies are welfare concerns associated with tail docking. The American Veterinary Medical Association, Canadian Veterinary Medical Association, Australian Veterinary Association and the National Mastitis Council all oppose the routine tail docking of dairy cattle. Alternative management practices to avoid dairy cattle handler discomfort can be used such as:

Since March 1, 2016, with respect to the Station, Seller has not (a) conducted cash management customs and practices (including the timing of collection of receivables and payment of payables and other current liabilities) and maintained books and records other than in the ordinary course of business consistent with past custom and practice in all material respects, (b) made any material change in the material methods of operations of the business of the Station, including the material practices and policies relating to purchasing, marketing, selling and pricing, (c) entered into a transaction with respect to the Station incurring any liability or obligation that is material to the business or operation of the Station except in the ordinary course of business, or (d) sold, assigned, transferred, abandoned or permitted to lapse any licenses or permits which, individually or in the aggregate, are material to the Station’s business or operations.

Management Practices. All of the transactions of the Company have been conducted on an arms-length basis, except that in the case of transactions between the Company and a stockholder or any entity in which any of them has a direct or indirect interest, such transactions have been fair to the Company and on terms comparable to those which would have prevailed in an arms-length transaction. No portion of the sales or other ongoing business relationships of the Company is dependent upon the friendship or the personal relationships (other than those customary within business generally) of any stockholder or any director or other Officer. Except as set forth on Schedule 0, the Company has no outstanding loans or other advances to any stockholder or any director or other Officer or to any entity in which any of them has a direct or indirect interest, other than travel advances in the usual and ordinary course of business. No Officer has knowledge that any Officer or other key employee of the Company is considering the termination of employment. Neither the Company nor any person acting on its behalf has engaged in any business practices of the nature referred to in the Report of the Securities and Exchange Commission ("SEC") dated May 12, 1976, on Questionable and Illegal Corporate Payments & Practices or proscribed by the Foreign Corrupt Practices Act. Since commencement of the period covered by the Financial Statements, the Company has not forgiven or canceled, without receiving full consideration, indebtedness owing to it by any stockholder or any Officer or director.
