Down Times. Tenant may temporarily cease to operate areas or all or substantially all of the Leased Premises during the Term for, and only for, limited periods of down time (“Down Times”) for the limited purpose of, and only for the limited purpose of, one or more of the following circumstances for the applicable period specified below: (a) During the period following any fire, windstorm, hail, flooding or other Casualty or condemnation or other exercise by a Governmental Authority of the power of eminent domain to the extent, and only to the extent, necessary in order to repair and restore the Project Improvements in accordance with the terms of this Lease; (b) During any period of any Additional Work permitted pursuant to the terms of this Lease or otherwise Approved by Landlord; (c) As a result of such other commercially reasonable interruptions as are incidental to the normal operation of the Leased Premises; or (d) to the extent and only to the extent the same is not the result of Tenant’s failure to timely fulfill its obligation under this Lease, including its obligations to comply with Applicable Laws as provided in this Lease, during any period required by Applicable Law;

Down Times. Lessee may temporarily cease to operate areas or all or substantially all of the Convention Center Project during the Term for, and only for, limited periods of down time ("Down Times") for the limited purpose of, and only for the limited purpose of, one or more of the following circumstances for the applicable period specified below: (a) During the period following any fire or other casualty or condemnation or other exercise by a Governmental Authority of the power of eminent domain to the extent, and only to the extent, necessary in order to repair and restore the Convention Center Project in accordance with the terms of this Lease; provided that any portion of the Convention Center Project taken by eminent domain shall no longer be subject to the terms and provisions of this Lease including the operation covenant in Section 6.4; (b) During any period of construction of Additional Improvements, but only to the extent necessary to make such Additional Improvements; (c) As a result of such other commercially reasonable interruptions as are incidental to the normal operation of the Convention Center Project; (d) As a result of any remodeling or renovation of the Convention Center Project; or (e) To the extent and only to the extent the same is not the result of Lessee's failure to timely fulfill its obligation under this Lease, including its obligations to comply with Applicable Laws as provided in this Lease, during any period required by Applicable Law; provided, however that during all Down Times Lessee shall (x) use its commercially reasonable efforts to minimize the disruption of such Down Time, (y) use its commercially reasonable efforts to minimize the disruption to the areas of the Convention Center Project which remain open to the public, if any, and the services, aesthetic appearances and public and guest access to and in such portions of the Convention Center Project.

  • Valuation Time At the close of trading of the regular trading session on the Exchange; provided that if the principal trading session is extended, the Calculation Agent shall determine the Valuation Time in its reasonable discretion.

  • Make-up Time An employee may elect, with the consent of the employer, to work make-up time under which the employee takes time off during ordinary hours, and works those hours at a later time, during the spread of ordinary hours provided in the Agreement.

  • Show Up Time An employee who reports to work in the usual manner without having been notified that there is no work available and is sent home because of lack of work before having worked four (4) hours shall receive a minimum of four (4) hours pay at their prevailing hourly rate. The employee shall also receive their full accommodation allowance if and when applicable. Each employee must inform the Employer of a means of being contacted on short notice. If an attempt is made by the Employer at least two (2) hours before the employee’s shift commences by way of the contact information provided, in an effort to inform the employee of a lack of work, and the Employer is unable to do so, the employee will not be entitled to show up time.

  • Boxing Day If another Federal, Provincial or Municipal holiday should be proclaimed during the term of this Agreement, such additional proclaimed holiday will replace one of the above-named holidays as agreed by the parties. The intent is that there will be no more than twelve (12) paid holidays per calendar year for the duration of this agreement.

  • Additional Time If because of events beyond the Design Professional’s reasonable control, it is not able to meet the specified time period, then it should be entitled to ask the Owner for additional time, which request shall not be unreasonably denied.

  • Upset Date If the Closing shall not have occurred on or before December 31, 1997.

  • Holiday Falling on a Scheduled Workday An Employee who works on a designated holiday which is a scheduled workday shall be compensated at the rate of double time for hours worked, plus a day off in lieu of the holiday; except for Christmas and New Year's when the compensation shall be at the rate of double time and one-half (2½) for hours worked, plus a day off subject to this Agreement.

  • Break Time For daily work assignments of six or more hours, permanent and probationary employees (except bus drivers and bus aides) shall be entitled to one 15-minute break for each half of the work assignment. For work assignments of less than six hours, such employees shall be entitled to one 15-minute break. Employees who spend a majority of the workday working with a Video Display Terminal (VDT) shall be permitted to perform other job-related duties (i.e., work not involving use of a VDT) 10 continuous minutes out of each hour. Such time shall not be cumulative and shall be in addition to break time established above.

  • CONTRACT DATE The date the Contract begins. The Contract Date is shown on page 3.

  • Work Time Work time is defined as all hours actually spent in pay status including travel time required by and at the direction of the Employer before, during or after the regularly-assigned workday.
