During Disability. During any period that Employee fails to perform his duties under this Agreement as a result of incapacity due to physical or mental illness (a "disability period"), Employee shall continue to receive his Base Salary at the rate then in effect for such period until his employment by the Company is terminated pursuant to Section 5(c) hereof, provided that payments so made to Employee during the first 180 days of any such disability period shall be reduced by the sum of the amounts, if any, paid to Employee at or prior to the time of any such payment under disability benefit plans of the Company or under the Social Security disability insurance program, and which amounts were not previously applied to reduce any such payment. Employee shall also receive a pro rata portion of the Bonus described in Section 3(b) pursuant to the Company's applicable incentive compensation program (the amount of such pro rated Bonus to be determined as though the target level (or if there is no target level, at 50% of the Base Salary at the rate then in effect) was attained, multiplied by a fraction, the numerator of which is the number of completed months in the then current Bonus program year and the denominator of which is 12), as such may exist from time to time.
During Disability. During any period that the Executive fails to perform his duties hereunder because of ill health, physical or mental disability, or any other reason beyond his control, he shall continue to receive his full compensation and benefits pursuant to Sections 1.4 (Compensation) and 1.5 (Employment Benefits) until the Date of Termination.
During Disability. During any period that Executive fails to perform his duties pursuant to this Agreement because of ill health, physical or mental disability, or any other reason beyond Executive's control, Executive shall be entitled to receive the sick pay specified by the provisions of Section 3.4 of this Agreement.
During Disability. During any period that the Employee fails to ----------------- perform his duties hereunder because of ill health or physical or mental disability, he shall continue to receive his full salary and benefits pursuant to Section 1.4 (Compensation) through the Date of Termination, ------------ after giving effect to all disability benefits received by Employee under the terms of any applicable disability policy.
During Disability. During any period that the Executive fails to perform his duties hereunder because of ill health, physical or mental disability, or any other reason beyond his control, he shall continue to receive his full Basic Compensation until the Date of Termination.
During Disability. Upon Employee’s termination for disability, the Employee shall be entitled to all amounts to which the Employee is entitled pursuant to Company disability plans, programs and policies all in accordance with the terms thereof.
During Disability. During any period that Executive is unable to perform his duties hereunder during the Employment Period as a result of incapacity due to physical or mental illness or injury, the Company shall continue to pay to the Executive his full Base Salary and other benefits as in effect immediately prior to such physical or mental illness or injury until Executive's employment is terminated.
During Disability. During any period that Employee fails to perform his duties hereunder as a result of incapacity due to physical or mental illness ("disability period"), Employee shall continue to receive the full compensation for which he is entitled to offset by his base draw(offset by any payments to Employee received pursuant to disability benefit plans maintained by Company or disability benefits from governmental entities) until his employment resumes or is terminated pursuant to Section 4 hereof, and upon such termination, Employee shall be entitled to all amounts to which Employee is entitled pursuant to Company disability plans, programs and policies all in accordance with the terms thereof.
During Disability. During any period that RFB fails to perform his duties under this Retainer Agreement as a result of incapacity due to physical or mental illness (a "disability period"), RFB shall continue to receive his Retainer at the rate then in effect for such period until his engagement by the Company is terminated pursuant to Section 4(c) hereof, provided that payments so made to RFB during the first 180 days of any such disability period shall be reduced by the sum of the amounts, if any, paid to RFB at or prior to the time of any such payment under disability benefit plans of the Company or under the Social Security disability insurance program, and which amounts were not previously applied to reduce any such payment.
During Disability. If you become totally disabled, your Dental Plan Coverage will remain in force for a period of one year from date of disability.
