Salary and Other Benefits. Subject to the terms and conditions of this Agreement:
Salary and Other Benefits. (A) THE Company shall pay to the Executive during the continuance of his employment hereunder a salary at the annual rate set out in the Schedule hereto (or such rate as may from time to time be agreed or determined upon and notified by the Company to the Executive). In the event of any alternation of salary being so agreed or notified the alteration shall thereafter have effect as if it were specifically provided for as a term of this Agreement. Such salary shall be inclusive of any other sums receivable as Director's fees or other remuneration from the Company or any of its subsidiary or associated companies. The said salary shall be payable by equal monthly payments in arrears by the last day of each month.
Salary and Other Benefits. (a) Commencing as of the effective date of this Agreement, Employer shall pay Officer an annual salary at the rate of $340,000, which shall be payable in semi-monthly or bi-weekly installments in conformity with Employer's policy relating to salaried employees.
(b) Subject to the provisions of this Section 4, Officer shall also be entitled during his employment hereunder to all rights and benefits for which he is otherwise eligible under any bonus plan, stock option plan, stock purchase plan, participation or extra compensation plan, pension plan, profit-sharing plan, life and medical insurance policy or other plans or benefits which Employer or its subsidiaries may provide for him or, provided he is eligible to participate therein, for senior officers generally or for employees generally including, without limitation, beginning in December, 1997, participation in the annual award of stock options to Employer's executive officers, which awards are subject to the discretion and approval of Employer's compensation committee. In addition, the Company shall pay the annual premiums and become the irrevocable beneficiary of the $10,000,000 life insurance policy currently held by Xxxxxxx Mortgage (as more particularly provided in a separate letter agreement between Officer and Employer), which policy shall be assignable by the Employer in the event that the Officer's employment with the Employer is terminated (the benefits referred to in this para- graph may be hereinafter referred to as "Additional Benefits"). The Board shall review Officer's salary and Additional Benefits then being paid and provided to him not less frequently than annually in the light of Officer's services for the preceding period, the responsibilities which attend his office and duties hereunder, the profitability and progress of Employer and its subsidiaries and current salaries and benefits then being paid to others holding similar positions. Following such review, Employer may increase the salary and/or Additional Benefits, but may not decrease the salary or any of the Additional Benefits from the then existing levels; provided, however, that Employer shall have the right to reduce Officer's salary in conjunction with a pro rata salary reduction applicable to all of Employer's officers and to reduce one or more Additional Benefits in conjunction with a reduction of such benefits applicable to all of Employer's officers. 4.1.1 Party A shall provide Party B with a monthly salary of NT$ [62,720 (if P arty B has a bachelor’s degree) / 69,965 (if Party B has a master’s degree) 73,025 (if Party B has a doctoral degree.)] (Party B’s salary rate is based on his/her highest education level and amount of teaching experience, and calculated in accordance with Appendix B. Salary and Other Benefits. The annual salary from the date when employment under this contract commences will be NOK 2,000.000.-. The salary is to be paid on the Company's pay day each month with NOK 166,667.-. The Employee will not be paid any overtime or traveling time supplement. There will be a yearly salary review by January 1, first time January 1, 2003. The employee is entitled to the following benefits: Company car: Agreements regarding car arrangement according to the Company rules. Telephone: Free phone and equipment in connection with home office including use, and free mobile telephone. Newspapers: 3 newspapers. School fees: The Company will pay the school fees for the Employee's son by a gross salary payment, net equal to the fee. If the monthly salary is not correctly calculated, the Company may make necessary corrections, hereunder deductions in the salary, the following month.
Salary and Other Benefits. Salary and other benefits (except reimbursement benefits) for part‑time employees will be calculated on a pro‑rata basis. Reimbursement benefits will be paid on the same basis as for full‑time employees.
Salary and Other Benefits. (a) EMPLOYEE's original salary shall be set at One Hundred Thirty Eight Thousand and no/100 Dollars ($138,000.00) per annum payable in semi-monthly installments. It is anticipated that there will be an annual review of EMPLOYEE's performance and salary level. In addition EMPLOYEE shall be eligible for vacation pay and sick leave in accordance with the standard policies of ECC which may from time-to-time be in effect. Also EMPLOYEE shall be eligible to participate in ECC's group medical insurance plan as it currently exists or as it may, at ECC's sole discretion, be altered or amended.
(b) EMPLOYEE originally will work at ECC's Santa Barbara, California facility, and employment will commence on October 15, 1993. Expense of relocation to Santa Barbara, California will be reimbursed by ECC up to ------------------------ Dollars ($ 0 ).
(c) It is contemplated that ECC will adopt a stock option plan, bonus plan or some other form of providing incentive compensation. EMPLOYEE will be eligible to participate in any such plan, but the form and extent of EMPLOYEE's participation shall be at the sole discretion of ECC.
(d) EMPLOYEE's original employment will be in the capacity indicated on the job description set forth on Exhibit "a" attached hereto. However, EMPLOYEE agrees to serve in such capacity as ECC from time-to-time might designate.
