Effective Date and Initial Term. This Agreement will be effective on the first business day after it has been executed by: (a) Municipal Parties representing at least seventy-five percent (75%) of the population of Broward County; and (b) County (“Effective Date”). This Agreement begins on the Effective Date and continues for a period that ends forty (40) years after the Effective Date (“Initial Term”). Subject to Articles 3 and 17, no Party may terminate or otherwise withdraw from this Agreement during the Initial Term.

If this Service Agreement is terminated earlier pursuant to the termination provisions under Article 17 (Breach, Default, Remedies and Termination), however, the Term shall be deemed to have ended as of the date of such termination. All rights, obligations and liabilities of the parties hereto shall commence on the Contract Date, subject to the terms and conditions hereof. The BWS shall have no obligation to make Service Fee payments hereunder until the Acceptance Date. At the end of the Term, all obligations of the parties hereunder shall terminate, except as provided in Sections 3.3 (Survival) and 17.9 (Obligations of the DBOM Contractor Upon Termination or Expiration).

Upon the expiration or termination of this Agreement: (a) Wavetechs will immediately cease providing Services; (b) any and all payment obligations of Customer hereunder will become due immediately; (c) within ten (10) days after such expiration or termination, each party will return all Confidential Information of the other party in its possession and will not make or retain any copies of such Confidential Information except as required to comply with any applicable legal or accounting record keeping requirement; and (d) Wavetechs will remove the Equipment from Customer’s Site.
