Employment of Professionals. Subject to Section 3.13 hereof, the Practice shall be responsible for the hiring, compensation, supervision, evaluation, and termination of all Professionals. At the request of the Practice, Professional Business Manager shall be available to consult with the Practice respecting such matters. The Practice shall be responsible for the payment of such Professionals’ salaries and wages, payroll taxes, benefits, and all other taxes and charges now or hereafter applicable to them. The Practice shall employ and contract only with licensed Professionals who meet applicable credentialing guidelines established by the Practice. The Practice shall not in any fiscal year contract in the aggregate with Professionals for an amount (including the cost of associated benefits, payroll expense, and professional liability coverage) which is greater than the amount provided for such purpose in the Budget for such fiscal year. The Practice represents, warrants and covenants that on or before ninety (90) days from the effective date of this Professional Business Management Agreement it will have obtained, shall in the future obtain, and shall enforce formal written employment agreements from each of its present full-time (an average of thirty (30) or more hours per week) Professionals, except for the President of the Practice, and those employed in the future in substantially the form attached hereto as Exhibit 4.3A (“Employment Agreement”) containing a restrictive covenant (the “Restrictive Covenant”). The Practice further represents, warrants and covenants that the President of the Practice has entered into an employment agreement substantially the form attached hereto as Exhibit 4.3B, (the “Presidents Employment Agreement Commission”) which agreement is currently and shall remain in force and effect during the term of this Agreement unless terminated in accordance therewith.

Employment of Professionals. The Company may employ such brokers, agents, accountants, attorneys, and other advisors as the Manager may determine to be appropriate for the Company’s business. The Company may employ Affiliated or unaffiliated service providers as necessary or convenient to facilitate the operations of the Company. Alternatively, the Manager may elect to provide such services to the Company using its own in-house personnel. Any such services provided by the Manager or its Affiliates will be compensated for at Market Rates. The validity of any transaction, agreement, or payment involving the Company and the Manager or an Affiliate or principal of the Manager which is otherwise permitted by the terms of this Agreement shall not be affected by the relationship between the Company and the Manager or an Affiliate or principal of the Manager.

Employment of Professionals. SummitStone shall employ a licensed professional counselor, clinical mental health therapist, licensed psychologist, licensed marriage and family therapists or qualified mental health therapists as SummitStone determines is appropriate (the “Co-responders”), and provide other staff needed to support the YCRT Program. SummitStone shall hire Co-responders in coordination with the law enforcement agencies to ensure satisfaction of background checks. SummitStone shall ensure that Co-responders do not provide services that exceed what is appropriate and permissible given each Co-responders’ level of training, expertise, and licensure. SummitStone shall ensure that all Co-responders are at all times in full compliance with all legal requirements relating to the provision of services.
Employment of Professionals. The Trustees shall have the discretion, if necessary, to use income from the Trust to hire professionals to assist the beneficiary. It is contemplated that the class of professionals that may be needed to assist the beneficiary will be social workers, custodians, medical professionals who would not otherwise accept government entitlement, legal counsel, accounting professionals, and investment counsel. It is further provided that the principal of this trust may be invaded by the Trustee for the retaining and payment of legal counsel.

Employment of Professionals. Condominium Manager shall retain and employ such professionals and such other experts whose services may be reasonably required to effectively perform its duties and exercise its powers as required hereunder and shall employ same on such basis as it deems most beneficial for the Condominium. Condominium Manager shall obtain the approval of the Owners for the engagement of any professionals performing services for the Condominium other than routine and customary services such as collections, auditing and tax return preparation.

The Practice further represents, warrants and covenants that the President of the Practice has entered into an employment agreement substantially the form attached hereto as Exhibit 4.3, (the “Presidents Employment Agreement Commission”) which agreement is currently and shall remain in force and effect during the term of this Agreement unless terminated in accordance therewith.
