Engineering, Design and Construction. The HPL Facilities shall be designed, installed, and constructed by HPL or its designee in accordance with Engineering Standards as adopted by Enron Operations Corp., as the same may be amended or supplemented from time to time (the “Standards”). The Southern Facilities shall be designed, installed, and constructed by Southern or its designee in accordance with Engineering Standards as adopted by Southern, as the same may be amended from time to time (the "Southern Standards"). The Parties may conduct onsite inspections of the other Party's portion of the Interconnect during and after construction. Upon request by a Party, the other Party shall provide the following: (i) the welder’s test for buttwelds and branch welds; (ii) the fabrication and radiographic inspection; (iii) hydrostatic or nitrogen testing documentation; (iv) OPP documentation, as applicable; and (v) as-built drawings or information. The Parties shall arrange a mutually agreeable schedule for the tie-in of the Interconnect with the HPL Pipeline and the Southern Pipeline.

The Parties will arrange a mutually agreeable schedule for connecting the Connecting Party Facilities to the Company Facilities.

The Parties may conduct onsite inspections of the other Party's portion of the Interconnect during and after construction. Upon request by a Party, the other Party shall provide the following: (i) the welder’s test for buttwelds and branch welds; (ii) the fabrication and radiographic inspection; (iii) hydrostatic testing documentation; (iv) OPP documentation, as applicable; and (v) as-built drawings and information. The Parties shall arrange a mutually agreeable schedule for the tie-in of the Interconnect with the HPL Pipeline and the RNP Pipeline.

Engineering, Design and Construction. The HPL Facilities, except for HPL’s hot tap and valve on HPL’s Pipeline, and HPL’s EFM/SCADA, RTU, chromatograph and communication equipment, shall be designed, installed, and constructed by TEJAS HPL or its designee in accordance with Engineering Standards as adopted by Enron Operations Corp., as the same may be reasonably amended or supplemented from time to time (the “Standards”). The HPL Operated Facilities shall be designed, installed, and constructed by TEJAS or its designee in accordance with Engineering Standards. HPL shall install HPL’s hot tap, valve, chromatograph, EFM/SCADA, RTU and communication equipment. Prior to the commencement of construction, TEJAS shall submit all construction, material and equipment drawings and specifications for the HPL Operated Facilities to HPL for HPL’s approval. Such approval shall not be unreasonably withheld. HPL shall review such drawings and specifications within ten (10) days of receipt thereof. The TEJAS Facilities, except for the HPL Operated Facilities, shall be designed, installed and constructed by TEJAS in accordance with sound and prudent natural gas industry practice. Upon request by HPL, TEJAS shall provide, as to facilities constructed by TEJAS, the following: (i) the welder’s test for buttwelds and branch welds; (ii) the fabrication and radiographic inspection; (iii) hydrostatic testing documentation; (iv) OPP documentation, as applicable; and (v) as-built drawings, purchase orders, mill reports for pipe and any other material information. The Parties shall arrange a mutually agreeable schedule for the tie-in of the Interconnect with the HPL Pipeline and the TEJAS Pipeline.

The Parties shall arrange a mutually agreeable schedule for the tie-in of the Interconnect with the HPL Pipeline and the CPS Pipeline. Reimbursement of Costs. CPS shall pay to HPL a one time lump sum payment of $99,000.00 for all direct and indirect costs associated with the design, installation, procurement, and construction of the HPL Facilities.
