Exhibition Days. 4.1. An Exhibitor must not occupy its Site unless it has fulfilled all payment conditions under this Agreement and provided all documentation to the Organiser as outlined in the Application.
4.2. The Exhibitor must occupy its Stand by the Allocated Setup Time.
4.3. The Exhibitor must notify the Organiser in writing of any lateness, potential lateness and if it is unable or is likely to be unable to complete setup of its Stand prior to the Allocated Setup Time.
4.4. The Organiser, in its absolute discretion, may dismantle or reallocate a Site if an Exhibitor fails to complete setup by the Allocated Setup Time.
4.5. Each Stand must be completely setup at the end of the Allocated Setup Time.
4.6. The Exhibitor must not setup any displays during an Exhibition.
4.7. The Exhibitor must keep its Stand open and staffed during Exhibition hours.
4.8. The Exhibitor must keep its display, advertising and servicing areas within the confines of its Stand. The Exhibitor must not occupy aisle space for its display or for the sale of its goods or services.
4.9. The Exhibitor must maintain its supply of stock throughout the entire Exhibition. In the event stock
Exhibition Days. 40 days per episode, in the aggregate, to be used across all Licensed Services. Exhibitions of the Program that are exhibited contemporaneously on the high definition channel and the standard definition equivalent of such channel shall count as one Exhibition.
Exhibition Days. For purposes of this Agreement, an “Exhibition Day” shall mean a 24- hour period, commencing at 6:00 a.m. local time, during which the Program is exhibited at least one (1) time but no more than two (2) times. The parties agree that two (2) exhibitions within such 24-hour period shall be deemed one (1) Exhibition Day. The “License Period” for each Program shall commence on the applicable Start Date(s) set forth in Schedule 1 and end on the earlier of (a) the applicable End Date(s) set forth in Schedule 1 or (b) the last permitted exhibition thereof. A single License Period may be split into two or more separate time periods, as set forth on Schedule 1. Notwithstanding the foregoing, Licensor shall, upon no less than ninety (90) days prior written notice to Licensee, have the right to carve out an exclusive window to interrupt the License Period for any Program for a window for a Subscription Pay Television Service (“Licensor Window”) of not more than sixteen (16) months. During the Licensor Window, Licensor shall have the right to exploit the Program by means of Subscription Pay Television, and Licensee shall have no right to exploit the Program. The License Period for any Program for which a Licensor Window is established shall be extended by the duration of the Licensor Window.
Exhibition Days. For purposes of calculating Exhibition Days, a Licensed Service exhibited in Standard Definition (“SD Licensed Service”) and its corresponding service exhibited in High Definition (“HD Licensed Service”) shall be deemed one (1) Licensed Service to the extent that: (a) the HD Licensed Service has a programming schedule that is identical to and simulcast with the SD Licensed Service; (b) the HD Licensed Service is made available and marketed only to Subscribers who receive the SD Licensed Service; and (c) Licensee does not charge or receive any incremental or additional fee or consideration for such High Definition exhibition (collectively, the “Single Service Requirements”). In the event and at the time that any of the Single Service Requirements is not met, the SD Licensed Service and the HD Licensed Service shall be considered to be separate Licensed Services for purposes of calculating Exhibition Days and any exhibition of a Program on an SD Licensed Service and an HD Licensed Service shall constitute two (2) separate Exhibition Days.]3

4.9. The Exhibitor must maintain its supply of stock throughout the entire Exhibition. In the event stock is depleted during the Exhibition the Exhibitor must place a ‘low stock’ or ‘sold’ sign/sticker in its display to indicate stock that is low or sold out.
4.10. The Exhibitor is responsible for keeping its stand clean and tidy at all times during an Exhibition.
4.11. The Exhibitor must not pack up its Stand until the Exhibition has closed on the final day of the Exhibition.
4.12. The Exhibitor is responsible for the delivery, setting up and packing up of its Exhibit, displays and materials.
4.13. The Exhibitor is responsible for its waste or rubbish including any waste or rubbish from setting up or packing up its Exhibit.
4.14. The Exhibitor’s Site must be presented professionally and to the reasonable and professional standards of the Organiser including but not limited to the use of professional signage.
