Existing Approvals. The documents set forth on Exhibit "M" attached hereto (collectively, the "Approvals") are in full force and effect and, to Seller's Knowledge, constitute all necessary or appropriate certifications, approvals, consents, authorizations, licenses, permits, easements, rights of way, and all valid, final and unconditional certificates of occupancy, or the equivalent permitting required by the applicable licensing agency, required by any governmental authority in connection with the ownership, development, use and maintenance of the Property. To Seller's Knowledge, all of the Approvals are transferable to Buyer without the necessity of any approval or consent or additional payment and no such transfer will affect the validity thereof.

Existing Approvals. Prior to or concurrently with approval of this Agreement, the City will take several actions to review and plan for the future development and use of the Project (“Existing Approvals”). These include: 1. Certification of the EIR and adoption of Mitigation Monitoring and Reporting Program (“MMRP”), Findings and a Statement of Overriding Considerations by the City through City Council Resolution No. adopted on ; 2. Rezoning of the Property to establish P-District zoning through City Council Ordinance No. , introduced and adopted on (“Rezoning”); 3. Adoption of the Stanford in Redwood City Precise Plan through City Council Resolution No. , introduced _ and adopted on (“Precise Plan”); and 4. The Enacting Ordinance (defined in Recital J below).
Existing Approvals. The documents set forth on SCHEDULE 9.13 attached hereto (collectively, the "APPROVALS") are in full force and effect and, to Seller's knowledge, constitute all necessary or appropriate certifications, approvals, consents, authorizations, waivers, licenses, variances, permits, easements and rights of way, including proofs of dedication, which are required by any governmental authority in connection with the ownership, development, management, use and maintenance of the Property. None of the Approvals has been assigned or encumbered except for any Loan Obligations which may be assumed by Buyer. Seller has no knowledge of any governmental action to suspend or revoke any of the Approvals.

Existing Approvals. Following the applicable recommendations by the Planning Commission, the City Council adopted the following approvals applicable to the Project (“Existing Approvals”): (1) Station East EIR, which was certified pursuant to Resolution No. , on , 2021, and which includes a Mitigation Monitoring and Reporting Program (“MMRP”) as part of the Existing Approvals for which Developer is responsible; (2) General Plan text amendments, to adjust the targeted mix of uses in the Station East subarea, change the minimum and average density, delete minimum parcel size, adjust policies regarding timing of development, and update several figures for the Station East area, pursuant to Resolution No. , on , 2021; (3) Decoto Industrial Park Study Area (DIPSA) Specific Plan amendment, to reflect new land uses, circulation patterns, and design attributes of the Project, pursuant to Resolution No. , on , 2021; (4) Station East Mixed Use Residential (SEMU-R) Zoning District, for consistency with the General Plan SEMU designation, and a rezoning of the Property from Research and Development Campus (RDC) to apply the new SEMU-R zoning district to the Project, pursuant to Ordinance Nos. and , on , 2021; (5) Tentative Map for Tract 8251 – Station East and associated Conditions of Approval, to facilitate block configuration and the creation of condominium townhomes, and other improvements, pursuant to Resolution No. , on , 2021 (attached and incorporated into this Agreement as Exhibit C); and (6) This Development Agreement, to facilitate the orderly and phased development of the Project, pursuant to Ordinance No. , on , 2021. Ordinance No. will take effect on , 2021 (the “Effective Date”).

These include: (1) City Council certification of the EIR (EA- ), as further described in Recital D above; (2) City Council adoption of a Mitigation Monitoring and Reporting Program with the EIR through City Council Resolution No. on , 2015 (“MMRP”); (3) City Council approval of a General Development Plan/Rezoning (RZ- ) by Ordinance No. on , 2015; (4) Planning Commission approval of a Special Development Permit/Use Permit ( ) by Resolution No. on , 2015; and (5) City Council approval of vacation of the approximately 1-acre real property located at the terminus of Lincoln Centre Drive by Resolution No. on , 2015. The approvals and development policies described in this Recital E, together with this Agreement, are collectively referred to herein as the “Existing Approvals.” It is the intent of City and Developer to establish certain conditions and requirements related to review and development of the Project, which may be the subject of subsequent development applications and land use entitlements.
