Extension of Deadline. Section H of the Agreement is deleted in its --------------------- entirety and the following is substituted therefor: If the Merger Agreement has not been entered into by 5:00 p.m. New York City time on February 21, 2001, or, if entered into, the Merger Agreement is subsequently terminated, this Term Sheet shall become null and void, unless extended by mutual agreement of the parties, except that each party shall continue to be bound by the provisions relating to Expenses.
Extension of Deadline. (a) The second sentence of Section 5.6(a) of the Agreement shall hereby be replaced in its entirety with the following: “The Buyer shall have until May 31, 2012 to complete the 144A Offering and if the 144A Offering is not complete by such date, either the Buyer or the Seller may terminate this Agreement pursuant to Section 8.1(a)(iv).”
Extension of Deadline. In the event that the Notary has not been provided with all documents and information from the Grantor as are necessary for the execution of the Sale, the time period set forth in Article 5.1 hereinabove for the purchase by the Beneficiary shall automatically be extended until the tenth Business Day following that on which the Notary shall have been provided with the last of the requisite documents or information, it being specified that the date of execution of the Sale shall not be postponed by more than two (2) months following the date set forth in the notification of Offer referred to in Article 5 hereinabove.

Requisite Holder and Sole Holder hereby, effective as of May 7, 2015, extend the Deadline to deliver the Opinions of Counsel required pursuant Section 5.05 of the Indenture (in regards to the first anniversary of the First Issue Date) to (x) May 12, 2015 with respect to the Opinion of Counsel on behalf of Company and Gevo Development, LLC and (y) June 8, 2015 with respect to the Opinion of Counsel on behalf of Agri-Energy.

Subject to the proviso in the second sentence of this Section 3.2.5(b), if Xxxxxxx submits a Proposed Target Notice on or before the Proposed Target Deadline for an Initial Target, but if (i) the applicable Proposed Target is not Available, (ii) the applicable Proposed Target is a Synaffix Unavailable Target (and is a Synaffix Target) or (iii) Competition Law Filings are required with respect to such Initial Target and a Party withdraws such Proposed Target Notice in accordance with Section 3.6.1(b), then, in each case, such Proposed Target Deadline shall be extended for an additional [**] to permit Xxxxxxx to provide a new Proposed Target Notice to Mersana. A Proposed Target Deadline may be extended in accordance with the first sentence of this Section 3.2.5(b) multiple times until either (x) there is a Target Selection Date for such Initial Target, or (y) Xxxxxxx fails to deliver a new Proposed Target Notice to Mersana by the extended Proposed Target Deadline; provided, however, that the Proposed Target Deadline may not be extended past [**] prior to the Option Term Expiration Date (as defined in the Synaffix Agreement) for the applicable Option (as defined in the Synaffix Agreement) under the Synaffix Agreement unless the Proposed Target is a Non-Synaffix Target.

A Proposed Substitution Deadline may be extended in accordance with the first sentence of this Section 3.3.8(b) multiple times until either (x) Xxxxxxx provides a Proposed Substitution Notice for a Proposed Substitute Target that is Available and is a Synaffix Available Target, or (y) Xxxxxxx fails to deliver a new Proposed Substitution Notice to Mersana by the extended Proposed Substitution Deadline; provided that the Proposed Substitution Deadline for the first Target Substitution Right exercised by Xxxxxxx under this Agreement shall be no later than [**] before the deadline for exercise of the Initial Target Substitution Right with respect to the applicable Initial Target under Section 2.9(a) of the Synaffix Agreement, unless the Proposed Substitute Target with respect to such Initial Target is a Non-Synaffix Target.
