F inancial Statements. So long as the Named Tenant is the Tenant under this Lease, the provisions of this Section shall not apply. In the event Named Tenant assigns, sublets or otherwise transfers its interest in this Lease, and in order to induce Landlord to enter into this Lease, Tenant agrees that any transferee of the Named Tenant’s interest hereunder shall promptly furnish Landlord, from time to time, upon Landlord’s written request, with financial statements reflecting such Tenant’s current financial condition. Such party shall represent and warrant that all financial statements, records, and information furnished to Landlord in connection with this Section are true, correct, and complete in all material respects. In the event Tenant’s financial statements are available by public means (e.g., the internet) then the foregoing provision will not be applicable.

F inancial Statements. In the event a Guaranty is provided as Performance Security in lieu of cash or a Letter of Credit, Seller shall provide to Buyer, or cause the Guarantor to provide to Buyer, unaudited quarterly and annual audited financial statements of the Guarantor (including a balance sheet and statements of income and cash flows), all prepared in accordance with generally accepted accounting principles in the United States, consistently applied.
F inancial Statements. (i) The PsyTech Financial Statements: (i) are, in all material respects, consistent with the books and records of PsyTech for the periods covered thereby; (ii) contain and reflect all material adjustments for the fair presentation of the results of operations and the financial condition of the business of PsyTech for the periods covered thereby; and (iii) present fully, fairly and correctly, in accordance with IFRS, in all material respects, the assets and financial condition of PsyTech as at the dates thereof and the results of operations and the changes in financial position for the periods then ended, and nothing has occurred since the date of the PsyTech Financial Statements which would have a PsyTech Material Adverse Effect. PsyTech has sufficiently accrued in the PsyTech Financial Statements an adequate reserve related to present or future abandonment costs, in accordance with IFRS. PsyTech has no consolidated assets other than as set forth in the PsyTech Financial Statements. Other than as provided in the PsyTech Disclosure Letter, PsyTech has no consolidated liabilities other than as set forth in the PsyTech Financial Statements or as incurred in connection with the transactions contemplated hereby.
F inancial Statements. CONTRACTOR has delivered, or shall deliver, to the Bureau copies of the following financial statements with all sub schedules and footnotes: a balance sheet, profit and loss statement, and a change in financial position schedule for each of the prior three (3) years. Such financial statements fairly present the financial position of CONTRACTOR at the date shown and the results of its operations for the periods covered, and have been prepared in conformity with GAAP applied on a consistent basis, except as discussed in the notes to the financial statements.

The Company does not have any material liability of any nature whatsoever (whether absolute, accrued, contingent or otherwise and whether due or to become due), except for those liabilities that are reflected or reserved against on the consolidated balance sheet of the Company contained in the Company’s Reports for the Company’s most recently completed quarterly or annual fiscal period, as applicable, and for liabilities incurred in the ordinary course of business consistent with past practice or in connection with this Agreement and the transactions contemplated hereby.

  • Financial Statement If Lessor desires to finance, refinance, or sell the Premises or the Building, or any part thereof, Lessee and all Guarantors shall deliver to any potential lender or purchaser designated by Lessor such financial statements of Lessee and such Guarantors as may be reasonably required by such lender or purchaser, including but not limited to Lessee's financial statements for the past three (3) years.
