FAA Filings. Upon the execution and delivery of the Lessee FAA Bill xx Sale, the Lease Supplement and Trust Supplement covering the Aircraft, the Lease and the Trust Indenture shall be filed for recording with the FAA in the following order of priority: first, the Lessee FAA Bill xx Sale; second, the FAA registration application; third, the Trust Indenture, with the Trust Agreement and the Trust Supplement covering the Aircraft attached; and fourth, the Lease, with the Lease Supplement covering the Aircraft, the Trust Indenture and the Trust Supplement covering the Aircraft attached. Lessee agrees to furnish the Participants and the Indenture Trustee with copies of the foregoing documents with recording data as promptly as practicable following the issuance of same by the FAA.

FAA Filings. On the Delivery Date, Lessee and Owner Trustee will cause the FAA Xxxx of Sale, the Application for Aircraft Registration, the Lease and Lease Supplement No. 1 to be promptly filed and recorded, or filed for recording, with the FAA to the extent permitted under the Transportation Code or required under any other applicable United States law, in the following order: first, the FAA Xxxx of Sale; second, the Application for Aircraft Registration; and third, the Lease, to be effected by so filing the Lease with Lease Supplement No. 1 attached thereto.
FAA Filings. Each Lessee shall take all steps necessary to preserve and protect Lessor’s U.S. Registration of the Aircraft. Lessees shall file or caused to be filed a copy of this Lease with the appropriate FAA office, in compliance with all applicable laws and regulations.

Lessee agrees to furnish the Participants and the Indenture Trustee with PARTICIPATION AGREEMENT [N396SW] -45- 51 copies of the foregoing documents with recording data as promptly as practicable following the issuance of same by the FAA.

FAA Filings. Promptly following the Closing, each of NewCo and XLLC shall (i) execute, complete and cause to be filed with the Federal Aviation Administration Civil Aircraft Registry, Aircraft Registration Branch (the “Registry”), an Aircraft Registration Application for the Aircraft in the name of Newco, as registrant, (ii) execute, complete and cause to be filed a Statement in Support of Registration of a United States Civil Aircraft in the Name of a Limited Liability Company (an “LLC Statement”) setting forth information regarding (a) the date and jurisdiction of its formation, (b) the identity and citizenship of each of its managers and members and (c) the method of the management of such company, and (iii) cause to be filed such other supporting LLC Statements and/or other documentation as are necessary to effect the registration of the Aircraft, in each case, in form and substance satisfactory for filing with the Registry (collectively, the “FAA Filings”).

  • UCC Filings If the related Mortgaged Property is operated as a hospitality property, Seller has filed and/or recorded or caused to be filed and/or recorded (or, if not filed and/or recorded, has submitted or caused to be submitted in proper form for filing and/or recording), UCC financing statements in the appropriate public filing and/or recording offices necessary at the time of the origination of the Mortgage Loan to perfect a valid security interest in all items of physical personal property reasonably necessary to operate such Mortgaged Property owned by such Mortgagor and located on the related Mortgaged Property (other than any non-material personal property, any personal property subject to a purchase money security interest, a sale and leaseback financing arrangement as permitted under the terms of the related Mortgage Loan documents or any other personal property leases applicable to such personal property), to the extent perfection may be effected pursuant to applicable law by recording or filing, as the case may be. Subject to the Standard Qualifications, each related Mortgage (or equivalent document) creates a valid and enforceable lien and security interest on the items of personalty described above. No representation is made as to the perfection of any security interest in rents or other personal property to the extent that possession or control of such items or actions other than the filing of UCC financing statements are required in order to effect such perfection.

None of the SEC Documents, contained, when filed or, if amended prior to the date of this Agreement, as of the date of such amendment with respect to those disclosures that are amended, any untrue statement of a material fact or omitted to state a material fact required to be stated therein or necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading, except for the Warrant Accounting Issue and the Temporary Equity Issue. There are no material outstanding or unresolved comments in comment letters from the Commission staff with respect to any of the SEC Filings. Except for the Warrant Accounting Issue and the Temporary Equity Issue, the financial statements contained in the SEC Filings have been prepared in accordance with United States generally accepted accounting principles applied on a consistent basis during the periods involved (“GAAP”), except as may be otherwise specified in such financial statements or the notes thereto and except that unaudited financial statements may not contain all footnotes required by GAAP, and fairly present in all material respects the financial position of AMAO and its consolidated subsidiaries as of and for the dates thereof and the results of operations and cash flows for the periods then ended, subject, in the case of unaudited statements, to normal, immaterial, year-end audit adjustments.

The Town shall treat any reports and/or filings received from Competitive Supplier as confidential information subject to the terms of Article 16. Competitive Supplier shall be reimbursed its reasonable costs of providing such copies.
