Facilities Management. A full range of facilities management services, which include, without limitation, managing all of the facilities that Service Recipients occupy. This includes responsibility for planning, managing and administering leases, workspace allocations and designs, leasehold improvements, internal moves, and maintenance and security.
Facilities Management. The NOC monitors power, smoke detection, water ingress, atmosphere, security and communication from the Co-Location site to the NOC with in band and out of band communications. The temperature of Co- Location sites are maintained at between 18-22°C. Humidity levels can vary between 20% and 80%.

Upon successful completion of the Conversion to the System pursuant to a Facilities Management agreement, OSI shall be entitled to a license fee equal to [**] of the OSI License Fee payable by an OSI direct customer similarly situated to such Customer as of the effective date of such Facilities Management agreement. Such license fee shall be payable in equal monthly installments over the initial term of the Facilities Management agreement, not to exceed three years during the first three years of this Agreement and, thereafter, not to exceed five years. Payments shall commence on the first day of each month following the Conversion Date and thereafter until paid in full unless the Facilities Management agreement shall earlier terminate and BISYS is no longer an Outsourcing Services provider or Facilities Manager to such Customer. Where such agreement is renewed for an additional renewal term, OSI shall be entitled to an additional license fee equal to [**] of the difference, if any, between the License Fee payable by a similarly situated Financial Institution as of the date of such renewal and the License Fee payable by a similarly situated Financial Institution as of the date of the agreement. Such additional license fee, if any, shall be payable by BISYS over the renewal term of the agreement, not to exceed five years. Payments shall commence on the first day of each month following the renewal date and thereafter until paid in full unless the agreement shall earlier terminate and BISYS is no longer an Outsourcing Services provider or Facilities Manager to such Customer.

Procure and maintain office and facility space for the Company's administrative and operational functions; provide janitorial and maintenance services; arrange the procurement, installation, and maintenance of telephones, computers, telecopiers and other business equipment required by the Company.

Facilities Management a. Manage and oversee the overall safety of the facility, including day-to-day maintenance and cleaning of the property, including all buildings, parking lots and landscaping;
b. Contract management for all property utilities, property insurance policies, building related services and maintenance, and supply procurement;
c. Ongoing property assessments to inform preventative maintenance needs, forecast capital repair and replacement schedules, and ensure adequate capital reserves are maintained; and
d. Key point of contact for all building-related requests and concerns.
Facilities Management. Cantor shall provide facilities, management, maintenance and support services.
Facilities Management. To the extent requested by the Operating Committee, WFHM will provide facilities management services for the office locations used by the Venture including supplying office equipment, and arranging long distance service.
Facilities Management. The Company offers facilities management services whereby the Company operates a customer's electronic payments system for multi-year periods. Pricing and payment terms for facilities management services vary on a case-by-case basis giving consideration to the complexity of the facility or system to be managed, the level and quantity of technical services required, and other factors relevant to the facilities management agreement. CUSTOMER SUPPORT The Company offers its customers both a general maintenance plan and an extended service option, called the Enhanced Support Program ("ESP"). Maintenance fees, including ESP, were $63.9 million, $57.1 million and $48.7 million, or 18.0%, 19.1% and 20.0% of total revenues, during fiscal years 1999, 1998 and 1997, respectively.
Facilities Management. The Employee shall have primary oversight responsibility for overseeing and managing all facilities (owned or leased) of the Company.
