FORMATION, ASSETS & RESOURCES USED. 5.1 The Landowner shall set apart and allow to be used solely for the purpose of this Agreement the Included Land and neither the Landowner nor the Share Xxxxxx shall during the continuance of this Agreement deal with it in any way adverse to this Agreement or the rights or obligations of the parties under this Agreement.

FORMATION, ASSETS & RESOURCES USED. The Landowner shall set apart and allow to be used solely for the purpose of this Agreement the Included Land and neither the Landowner nor the Share Xxxxxx shall during the continuance of this Agreement deal with it in any way adverse to this Agreement or the rights or obligations of the parties under this Agreement. The Landowner hereby undertakes with the Share Xxxxxx not to sell, alienate, or deal with the Included Lands during the course of this Agreement in any way that would adversely affect the rights of the Share Xxxxxx hereunder and or the performance of this Agreement without the prior consent in writing of the Share Xxxxxx. The Landowner shall use his best endeavours to ensure that the Included Land has the benefit of an adequate water supply an electricity supply and that they are maintained to a good and sufficient standard. The day to day management of such supplies shall be the responsibility of the Share Xxxxxx. The costs of such supplies shall be borne in accordance with the provisions of TABLE G herein.

  • Use of State Facilities Resources and Equipment a. Meeting Space and Facilities. The Employer’s campuses and facilities may be used by the Union to hold meetings subject to the University’s policy and availability of the space. The Employer may provide private space for stewards and/or Union representatives to meet in confidence with those they represent on a space available basis. Staff representatives may reserve and utilize meeting rooms in accordance with University policy and procedure. Such requests will be subject to availability and all applicable fees.

  • Access to Personnel File Each employee shall have reasonable access to his/her personnel file for the purpose of reviewing any evaluations or formal disciplinary notations contained therein, in the presence of the Director of Personnel or designate. An employee has the right to request copies of any evaluations in this file.

  • Access to Personnel Records (a) Upon receiving the permission of the Chief Constable or designate, an employee may review the contents of his or her personnel file provided that such review is in the presence of a person authorized for such a purpose by the Chief Constable.

  • ACCESS TO OPERATIONS SUPPORT SYSTEMS 2.1 BellSouth shall provide Max-Tel access to operations support systems (“OSS”) functions for pre-ordering, ordering and provisioning, maintenance and repair, and billing. BellSouth shall provide access to the OSS through manual and/or electronic interfaces as described in this Attachment. It is the sole responsibility of Max-Tel to obtain the technical capability to access and utilize BellSouth’s OSS interfaces. Specifications for Max-Tel ’s access and use of BellSouth’s electronic Version R4Q01: 12/01/01 interfaces are set forth at xxx.xxxxxxxxxxxxxxx.xxxxxxxxx.xxx and are incorporated herein by reference.

  • DISASTER RECOVERY AND BUSINESS CONTINUITY The Parties shall comply with the provisions of Schedule 5 (Disaster Recovery and Business Continuity).

  • Employee Access to Personnel File An employee shall have the right to read and review his/her personnel file on reasonable notice and by written request to the Human Resources Manager. An employee may request and shall receive a copy of any record or document contained in the employee’s personnel file.

  • Access to Personnel Files All employees shall be allowed access to their personnel files during normal working hours for inspection and/or copies of documents which will be provided by the Employer. Such inspection shall be made subject to prior arrangement with the Employer.

  • Company Formation The Company has been formed as a limited liability company under and pursuant to the Act. The Managers shall file the Certificate and all other such instruments or documents and shall do or cause to be done all such filing, recording, or other acts, as may be necessary or appropriate from time to time to comply with the requirements of law for the formation and/or operation of a limited liability company in the State of Delaware. The Managers may also direct that the Company be registered or qualified to do business in other jurisdictions.

  • Defined Contribution Plan The Employer will establish the following Employer contribution programs in the existing salary deferral plans: » Beginning in 2006 and continuing throughout the term of the Agreement, a performance-based contribution

  • Allocation and use of scarce resources Any procedures for the allocation and use of scarce resources, including frequencies, numbers and rights of way, will be carried out in an objective, timely, transparent and non-discriminatory manner. The current state of allocated frequency bands will be made publicly available, but detailed identification of frequencies allocated for specific government uses is not required.
