General Procurement. This is a general procurement agreement that contemplates that Service Provider and Client may enter into one or more “Service Agreements,” each of which will be signed by the Service Provider and Client and will include, at least, a description of the Services, Service Levels and Charges for those Services. Each executed Service Agreement incorporates by reference the terms and conditions of this Agreement, unless otherwise agreed in that Service Agreement.

General Procurement relating to the Financing will be carried out in accordance with the provisions of the Procurement Guidelines and the Consultants Guidelines as well as in line with the provisions of this Agreement.
General Procurement. All Offices and Departments must use the Total Cost of Acquisition (TCA), as defined in this policy, to determine the dollar thresholds for procurement requirements. TCA includes the sales price, sales or use tax, freight or shipping charges, installation or set up charges, security deposits, and any other charges applicable to the acquisition. All bids and Request for Proposals must be submitted through OpenGov procurement software. 5.1 Purchase of goods, equipment, supplies, or materials not connected with a public works project An office or department may authorize purchases of goods of less than $10,000 without competitive bidding or quotes from a vendor list. It is recommended that purchases are made after obtaining three verbal or written quotes to verify the best purchase price. As a best practice, documentation to support purchase decisions should be retained to demonstrate that efforts were made to reduce costs. RCW 36.32.245(3) provides a competitive bid process exception for purchases between $10,000 and $50,000. Formal competitive bidding is not required. Offices and Departments must obtain quotes from the Vendor List. Lewis County uses the Municipal Research and Services Center (MRSC) Vendor List. Prior to soliciting quotes, offices and departments should verify the vendor is on the MRSC Vendor List. RCW 39.04.190 provides a uniform process to award contracts for the purchase of any materials, equipment, and supplies. Offices and Departments are authorized to use this process in lieu of the requirements for formal competitive bidding. To make a purchase using the vendor list, secure quotes from at least three of the vendors on the list, if possible, and award the contract to the lowest responsible bidder. The bid quotations obtained must be recorded, open to public inspection, and available for inquiries. RCW 39.04.200 requires the County to post a list of contracts awarded using the Vendor List, including the date, the name of the contractor, the amount of the contract, a brief description of the items purchased, and the location where the bid quotations for these contracts are available for public inspection. The awarded contract list must be posted at least once every two months. RCW 36.32.245 requires a formal, competitive process, such as Competitive Sealed Bids and Request for Proposal (RFP), for purchases that exceed $50,000.   • Equipment Procurement If responsibility for construction of the Connecting Transmission Owner’s Attachment Facilities or System Upgrade Facilities or System Deliverability Upgrades is to be borne by the Connecting Transmission Owner, then the Connecting Transmission Owner shall commence design of the Connecting Transmission Owner’s Attachment Facilities or System Upgrade Facilities or System Deliverability Upgrades and procure necessary equipment as soon as practicable after all of the following conditions are satisfied, unless the Developer and Connecting Transmission Owner otherwise agree in writing: 5.5.1 NYISO and Connecting Transmission Owner have completed the Interconnection Facilities Study pursuant to the Interconnection Facilities Study Agreement; 5.5.2 The NYISO has completed the required cost allocation analyses, and Developer has accepted his share of the costs for necessary System Upgrade Facilities and System Deliverability Upgrades in accordance with the provisions of Attachment S of the NYISO OATT; 5.5.3 The Connecting Transmission Owner has received written authorization to proceed with design and procurement from the Developer by the date specified in Appendix B hereto; and 5.5.4 The Developer has provided security to the Connecting Transmission Owner in accordance with Article 11.5 by the dates specified in Appendix B hereto.

  • Summary of Policy and Prohibitions on Procurement Lobbying Pursuant to State Finance Law §139-j and §139-k, this Contract includes and imposes certain restrictions on communications between OGS and a Vendor during the procurement process. A Vendor is restricted from making contacts from the earliest notice of intent to solicit offers/bids through final award and approval of the Procurement Contract by OGS and, if applicable, the Office of the State Comptroller (“restricted period”) to other than designated staff unless it is a contact that is included among certain statutory exceptions set forth in State Finance Law §139-j(3)(a). Designated staff, as of the date hereof, is identified in Appendix G, Contractor and OGS Information, or as otherwise indicated by OGS. OGS employees are also required to obtain certain information when contacted during the restricted period and make a determination of the responsibility of the Vendor pursuant to these two statutes. Certain findings of non-responsibility can result in rejection for contract award and in the event of two findings within a four-year period; the Vendor is debarred from obtaining governmental Procurement Contracts. Such studies, design and construction shall be based on the assumed accuracy and completeness of all technical information received by the Participating TO and the CAISO from the Interconnection Customer associated with interconnecting the Large Generating Facility.

The Company agrees that any violations of the restrictions set forth in this Section 6.03 by any of its Representatives shall be deemed to be a breach of this Agreement (including this Section 6.03) by the Company.
