Government Money Market Fund. Columbia Funds Series Trust II is a Massachusetts business trust: Classes A C R Columbia Funds Series Trust II Columbia Government Money Market Fund A C R 12b-1 Plan and Agreement – CFST II Fee Schedule The maximum fee for services under this Plan and Agreement shall be the lesser of the amount of expenses eligible for reimbursement (including any unreimbursed expenses) or a rate equal on an annual basis to the percentage of the average daily net assets of the Fund attributable to the applicable class as set forth in the table below (the “Lesser of Methodology”). The Lesser of Methodology shall be determined and applied on a quarterly basis by computing the amount of actual fees and expenses accrued during the prior quarter (for each share class of each Fund) that were eligible to be paid under Section 3 of the Plan (i.e., the “expenses eligible for reimbursement”) and comparing that amount to the flat rate for the applicable Class. If the flat rate exceeds the expenses eligible for reimbursement, then, based on the Lesser of Methodology, the maximum 12b-1 fee amount accrued for such Class is applied on a going forward basis to reflect the actual amount of expenses eligible for reimbursement for the prior quarter. This determination and calculation is re-applied each subsequent quarter. The frequency of application of the methodology (currently, quarterly) may be revised by the Distributor at any time, after consultation with the Board. Class Fee A 0.10 % C 0.75 % R 0.50 % For Class A shares, the fee shall be paid to the Distributor in cash within five (5) business days after the last day of each month. For Class C shares, the maximum fee under this Agreement will be equal on an annual basis to 0.75% of the average daily net assets of the Funds attributable to Class C shares for distribution expenses. The fee shall be paid to the Distributor in cash within five (5) business days after the last day of each month. For Class R, the maximum fee under this Plan and Agreement, which shall be reimbursed for distribution expenses, will be equal on an annual basis of 0.50% of the average daily net assets of the Fund attributable to Class R shares. Of that amount, for Class R, up to 0.25% may be reimbursed for shareholder servicing expenses. Government Money Market Fund. (b) All trust investment orders under Section 9(a)(i), (iii) and (iv) above shall be executed through Chase Asset Management ("CAM"), in the investment management division of The Chase Manhattan Bank. Subject to the principles of best execution, transactions shall be effected on behalf of the Escrow Fund through broker-dealers selected by CAM. An agency fee, in the amount specified in Schedule A hereto, shall be assessed in connection with each transaction. The Purchaser and the Stockholder Representative shall be provided with periodic statements reflecting the transactions executed on behalf of the Escrow Fund. The Purchaser and the Stockholder Representative shall also have the right, upon request, to receive a notification providing transaction details for the Escrow Fund within five (5) days of any securities transaction in that account. This notification shall be provided without any additional cost and shall reflect the amount of the agency fee.
Government Money Market Fund. The Fund pays the Advisor a fee equal to the annual rate of 0.20% of average daily net assets. CORE BOND FUND The Fund pays the Advisor a fee equal to the annual rate of 0.50% on the first $100 million of average daily net assets; 0.45% of the next $100 million of average daily net assets; 0.40% of the next $100 million of average daily net assets; and 0.35% of such assets in excess of $300 million. HIGH YIELD FUND The Fund pays the Advisor a fee equal to the annual rate of 0.60% on the first $100 million of average daily net assets; 0.55% of the next $100 million of average daily net assets; 0.50% of the next $100 million of average daily net assets; and 0.45% of such assets in excess of $300 million.
Government Money Market Fund. In consideration of the premises and of the covenants and agreements hereinafter set forth, the parties hereto covenant and agree as follows:
Government Money Market Fund. (b) The Escrow Agent shall have the right to liquidate any investments held, in order to provide funds necessary to make required payments under this Escrow Agreement. The Escrow Agent in its capacity as escrow agent hereunder shall not have any liability for any loss sustained as a result of any investment made pursuant to the instructions of the parties hereto or as a result of any liquidation of any investment prior to its maturity or for the failure of the parties to give the Escrow Agent instructions to invest or reinvest the Escrow Fund or any earnings thereon.
Government Money Market Fund. Escrow Agent may invest the Escrow Funds in alternative investments in accordance with written instructions as may from time to time be provided to Escrow Agent and signed by Purchaser and Seller. Any interest received by Escrow Agent with respect to the Escrow Funds, including reinvested interest, shall become part of the Escrow Funds, and shall be disbursed in accordance with the instructions set forth in Section 4.

Government Money Market Fund. We hold your Purchase Payments in the AZL Government Money Market Fund until we transfer them to the Index Options in accordance with your instructions. You cannot choose to allocate Purchase Payments to the AZL Government Money Market Fund. The AZL Government Money Market Fund is an underlying mutual fund with its own investment objective, strategies, and risks. For more information, please see Appendix F -
Government Money Market Fund. The Escrow Agent will promptly, but not less frequently than monthly, pay to the Seller, subject to the following sentence, all Earnings on the Escrow Deposit. The Escrow Agent shall deduct from Earnings on the Escrow Deposit all commissions or other transaction expenses payable in connection with the investment of the Escrow Deposit. The Escrow Agent shall furnish to the Seller, with a copy to the Buyer, within fourteen (14) days after the end of each month during which any amount is held hereunder, a statement detailing the balance of the Escrow Deposit as of such month-end, investment transactions with respect to the Escrow Deposit during such month and the amount of Earnings on the Escrow Deposit during such month.
